AMENDMENT NO. 1
This Amendment shall become effective when it has been signed by the City Administrator, Project Manager,
and Consultant. All copies forwarded to Consultant for signature shall be returned to the City of Gilroy properly
filled out. Upon acceptance by the City, the Consultant's copy will be returned to him as his authority to
proceed with the work.
This Amendment extends the term of the Agreement for Services between the City of Gilroy and HMH,
dated OCTOBER 1. 2012 to OCTOBER 1, 2015.
The scope of work authorized includes a sidewalk repair and /or replacement at several locations in the City of
Gilroy. See attached Exhibit A for scope of work and fee.
All requirements of the original Agreement Documents shall apply to the above work except as specifically
modified by this Amendment. The contract time shall not extend unless expressly provided for in this
Amendment.
HMH hereby agrees to make the above changes subject to the terms of this Amendment for ongoing
construction management services.

HMH will perform civil engineering, surveying, and related work to prepare plans,
specifications, and estimates suitable for Public Works bidding
Our anticipated scope of services and corresponding fees are as follows:
Task 400 — Multiple Tracts- Draft PS &E Submittal (95 %)
Prepare and submit a 95% PS &E to the City for review and comments. The scope of
improvements is to include removal and replacement of existing sidewalks for Tracts 8711,
8627, 8708, 8663, 9002 and Tract 8728. Curb ramp installation will be included if the
allocated construction funds allows for those improvements.
Prepare plans to provide an opportunity for the City to thoroughly review the details of the
project. The following plan types will be prepared:
• Title Sheet, Legend and Notes
• Sidewalk Improvement Plans
• Construction Details
Submit the technical specifications in draft form using City and Caltrans Standard
Specifications, and incorporate "boilerplate" legal and contractual provisions.
A preliminary estimate of cost will be provided prior to producing the design plans. An
additional Estimate of Probable Construction Cost will also be produced for the 95% PS &E
Documents using standard City items.

Task 410 — Multiple Tracts- Final PS &E Submittal (100 %)
After City review of the Draft PS &E (95 %), we will prepare the final Bid Documents in
accordance with the City's instructions.
Provide the City the opportunity to review the completed Bid Documents and direct minor
revisions. Submit final documents to the City.
Task 220 — Topographic Survey
Perform topographic field survey along property frontage located at 4 Monte Vista Way.
Also, perform field survey along the property frontage of the condominiums on the south
side of Chestnut Street (addresses 7730 - 7790).
Task 500 — Addl. Surface Improvement Design (95%)
Prepare and submit a 95% PS &E to the City for review and comments. Aerial photos will
be utilized to create the base files for these project areas. The scope of improvements is to
include the following projects:
1) Drainage modifications for the frontage located at 4 Monte Vista Way.
2) Surface improvements and possible signage improvements for the median located
on Santa Teresa Boulevard near Santa Barbara Bank and Trust.
3) Curb and gutter modifications for the frontage at 892 Plymouth Drive.
4) Approximately 70' of new sidewalk installation along 9th Street west of Eigleberry
Street.
5) Approximately 390' of new sidewalk installation along Chestnut Street between 8th
Street and 9th Street.
6) Design for the installation of two ADA compliant curb ramps at the McDonald's
frontage along 10th Street near the intersection with Chestnut Street, four ADA
compliant curb ramps at the intersection of Welburn Avenue and Gaunt Avenue,
three ADA compliant curb ramps at the intersection Welbum Avenue and Kelton
Drive, two ADA compliant curb ramps on the south side of the Welburn Avenue
intersection with Westwood Drive, and two ADA compliant curb ramps on the east
side of the intersection of Kern Avenue and Welburn Avenue.
7) Drainage improvements to the alley entrance on Church Street north of Gurries
Drive.
8) Approximately 250' of new sidewalk installation along Swanston Lane between
Leavesley Road and Casey Street.
9) Sidewalk improvements along Luchessa Avenue beginning on Monterey Street and
continuing westerly along Luchessa Avenue for approximately 2,300 feet. Additional

sidewalk improvements along Luchessa Avenue from Riverview Circle to Greenfield
Drive.
10) Sidewalk improvements along Monterey Road from Luchessa Avenue extending
northerly for approximately 1400 feet.
Prepare plans to provide an opportunity for the City to thoroughly review the details of the
project. The following plan types will be prepared:
• Title Sheet, Legend and Notes
• Improvement Plans
• Construction Details

Task 600 - Quality Assurance Review
Conduct an internal quality assurance review of the plans and specifications, concurrent
with review of the 95% Submittals by the City. HMH's quality assurance program provides
for independent checking of individual tasks as well as an independent review by
experienced senior staff. The purpose of this review is to provide oversight to specific
project details by professionals who are not closely involved in the design, and to review
the constructability, cost - effectiveness and completeness of design features relative to the
normal standard of professional care.
Task 610 - Post Design Services
Make available project staff to answer questions during the bidding process.

Assist City in preparation of addenda to the bid documents.
Attend the pre - construction conference(s) with the City and Contractor.
Review submittals which are required by the project specifications for general conformance
with the Consultant's design concept and general compliance with the contract documents,
if required.
Prepare Contract Change Orders for approval by the City when required by unanticipated
field conditions or to clarify the intent of the plans and specifications.
The following activities are the responsibility of Client. This is not intended to represent a
complete list but is included for additional clarity.
• Provide copies of available plans, exhibits, records and data pertinent to the project.
• Provide Consultant with permission to enter the grounds as necessary to perform
the services.
• Provide and coordinate services if required by other consultants including:
architectural and landscaping plans or exhibits; traffic engineering and studies;
archaeological services; biologic or biotic studies; tree surveys; and geotechnical
engineering or geologic services, reports and recommendations.
• Provide geotechnical investigation and /or soils exploration, testing and
recommendations if required for the project, including R- values and design of
pavement structural section, earthwork specifications and recommended shrinkage
factors.
• Pay the cost of all fees, permits, and other charges not specifically included in this
Agreement as a Consultant responsibility.
• Provide construction supervision, inspection, and coordination.
This Agreement does not constitute any express or implied warranty that the jurisdictional
agencies will approve the applications.
Consultant may utilize computer aided design and drafting software and other applications
of Consultant's choice in providing the services in this Agreement. File structure and
organization of data shall be at Consultant's discretion, and are intended only for
Consultant's use on the project.

Now
The following services may be required for successful completion of the project, but are
specifically not included in this scope of services. Consultant may provide some of these
services pursuant to the "Changes in Services" section of this agreement, or Client may
engage others to provide these services. This is not intended to represent a complete list,
but is added only for clarity.
• Uncovering or potholing existing underground facilities.
• Record of Survey maps.
• "ALTA" or "As- Built" plans or certifications to any entity as to quality or completeness
of construction.
• Architectural, structural, mechanical, electrical, fire protection, or geotechnical
engineering, including plans or calculations for retaining walls, masonry walls,
structural excavations and sheeting or shoring.
• Electrical, telephone, gas, or cable T.V. facilities including joint trenches.
Client may request changes in scope of or character of service, either decreasing or
increasing the amount of Consultant's services.
In the event that additional services not included in the Scope of Services are required, or if
the Client requests changes and revisions after Consultant has performed the services in
the Scope of Services, Client agrees to pay for all such additional services and expenses
incurred, on a charge rate basis in accordance with Consultant's Charge Rate Schedule.

For providing the services included in the Scope of Services, Client shall compensate
Consultant as follows:
Services performed on a Charge Rate (CR) basis as designated below shall be invoiced
based upon the actual hours expended by each employee classification for the services
performed on the project multiplied by the hourly charge rate for that employee
classification as shown on the Charge Rate Schedule in effect at the time the services are
performed.
