LEASE ASSIGNMENT AND BILL OF SALE
FOR OLD CITY HALL
Ross -Dove Company, Inc., as agent for the United States
Small Business Administration, (Seller) hereby agrees to
transfer to the City of Gilroy, a municipal corporation, (Buyer)
all of the United States Small Business Administration's rights,
title and interest in and to the leasehold interest, all items
listed on the Hoffman & Associates chattel mortage or financing
statement furnished to the lending bank for financing purposes and
contents of that building known as the Old City Hall, 6th & ,
Monterey Streets, Gilroy, California, including but not limited to
the following:
All of the United States Small Business Administration's
rights, title and interest in that certain lease dated, January
21, 1980, between the City of Gilroy and Hoffman & Associates to
the building above described, and the chattel mortage containing
original equipment list. All items on this list are not on the
physical premises. Neither Ross -Dove Company, Inc. nor the United
States Small Business Administration is warranting any
availability of these assets (not at the sale site). In the event
that the City of Gilroy chooses to exercise its right to pursue
these assets, Ross -Dove Company, Inc., and the United States Small
Business Administration waives any rights or interest to these
assets. Said sale is not contingent in any manner upon seller or
agents delivery of these assets.
Purchaser agrees to pay the sum of $95,000 cash plus sales
tax of $6,650 for a total purchase price of $101,650 under the
following terms:

LEASE ASSIGNMENT AND BILL OF SALE
1. Only cash or a Cashier's Check payable to Ross -Dove Company,
Inc. will be accepted. Personal or company checks must be
accompanied by a letter from your bank that guarantees payment. A
25% deposit is required upon award bid. Balance and full payment
due within 48 hours of execution of contract.
2. While descriptions are believed to be correct, the auctioneers
or the owners make no warranties or guarantees, expressed or
implied as to the genuiness, authenticity of, or defect in any lot
and will not be held responsible for advertising discrepancies or
inaccuracies. Everything sold "As Is" and "Where Is" except as
expressly made in writing. No warranties are made as to the
merchantability of any items or their fitness for any purpose.
3. It is the buyer's responsibility to secure all safety
equipment to meet all applicable government safety standards in
using or removing items purchased.
4. Sales Tax will be added to the purchase of all taxable items.
5. Purchaser does hereby indemnify and hold harmless auctioneer
and seller from any and all damages, claims or liabilities from
injuries to persons or property of any type whatsoever caused
during the sale or by the removal of items purchased.
6. All equipment located on the premises and transferred as part
of this Bill of Sale to be defined as equipment listed on attached
Exhibit A
7. As per request, proof of Ross -Dove Company Ines, right to
represent the United States Small Business Administration in this
transaction shall be by contract referred to as Exhibit B.
