therefor as prepared by Rays ton - Ha namoto - Beck - Abey ,herein entitled the Architect/Engineer,
and as enumerated in Paragraph 1. of the Supplemental General Conditions, all of which arc made a part hereof and col-
lectively evidence and constitute the contract.
The Contractor hereby agrees to commence work under this contract on or before a date to be specified in a
written "Notice to Proceed" of the Owner and to fully complete the project within~ consecutive calendar days
thereafter. The Contractor further agrees to pay, as liq uidated damages, the sum of $ 50.00 for each consecu-
tive, calendar day thereafter as hereinafter provided in Paragraph 19 of the General Condi lions.
The OWNER aprees to pay the CONTRACTOR in current funds for the performance of the contract, subject to
additions and deductions, as provided in the General Conditions of the Contract, and to make payments on account

prints, and other drawings and printed or written explanatory matter thereof, the specifications and contract documents
therefor as prepared by Rays ton - Ha namoto - Beck - Abey ,herein cntitled the Architect/Engineer,
and as enumerated in Paragraph 1 of the Supplemental General Conditions, all of which arc made a part hereof and col-
lectively evidence and constitute the contract.
The Contractor hereby agrees to commence work under this contract 011 or before a date to he specificd in a
written "Notice to Proceed" of the Owncr and to fully complete the project within~ consecutive calendar days
thereafter. The Contractor further agrees to pay, as liq uidated damages, the sum oC $ -20.00 Cor each consecu-
tive. calendar day thereafter as hereinafter provided in Paragraph 19 of the General Conditions.

Bidder understand that the Owner reserves the right to reject any or
all bids and to waive any informalities in the bidding, or award the Con-
tract on the Base Bid, Bid Item 1, or award separate Contracts for Bid Item
2, Landscape Improvements and'Bid Item 3, Park Building, Terrace, Steps,
Planter and Arbors.
In the event that two or more prime contractors are awarded the segments
of the project, these separate contracts shall be carried out simultaneously,
as practicable, and all Contractors shall insure that the work be thoroughly
coordinated and shall cooperate to their fullest in nrder that the project
proceed smoothly without delay. In areas of conflict between prime contractors
for responsibilities of work, the Engineer shall determine such responsibilities.
TIle Bidder agrees that this bid shall be good and may not be withdrawn
for a period of 30 calendar days after the scheduled closing time for receiving
bids.
Upon receipt of written notice of the acceptance of this bid, Bidder
will execute the formal contract attached within 10 days and deliver a

It is the policy of the Government of the United States to provide

GENERAL
Under the Equal Employment Opportunity Clause of Executive Order
#11246, Huettig & Schromm has agreed (1) to observe and carry out
the applicable provisions of the Clause of Executive Order #11246,
and of the rules, regulations and relevant orders of the President's
Committee on Equal Employment Opportunity with respect to its own
hiring practices and the treatment of its own employees and (2) to
take certain specified actions with respect to its nonexempt sub-
contractors and the subcontractors thereunder. For this reason,
the action required by this procedure is specified in two sections
headed, respectively,

RESPONSIBILITY
The responsibility for taking the action required by this procedure
is assigned to the Equal Employment Opportunity Compliance Officer,
to be appointed by the President.
PROCEDURE
A. Huetti~ & Schromm Hiring and Employment Practices
1. All Huettig & Schromm personnel concerned with the hiring,
upgrading, demotion, or transfer; recruitment or recruit-
ment advertising; layoff or termination; rates of payor
other forms of compensation; and selection for training,
including apprenticeship of Huettig & Schromm employees
shall perform their duties in connection with these
activities in such a manner as not to discriminate against
r-. any employee or applicant for employment because of race,
creed, color, or national origin.

2. Any formal or informal complaint by a Huettig & Schromm
employee or an applicant for employment of discrimination
because of race, creed, cOlor or national origin shall be
reported immediately to the Equal Employment Opportunity
Compliance Officer by the person receiving such complaint
and, if the EEO Officer finds, after investigation, that
such discrimination has occurred or may occur, he shall
take appropriate action to assure compliance with the
Equal Employment Opportunity Clause.
). The EEO Officer shall post a copy of the official "Equal
Employment Opportunity" poster supplied by the Government
on the bulletin board in the field office and in other
plaoes where employees congregate (for example. trailers,
jobsites, etc.) in such a manner that it is readily avail-
able to all employees and applicants for employment and
shall periodically check to assure that the poster remains
in place and is not covered or obscured by other material.
4. The EEO Officer shall provide all employment agenCies or
recruitment services (other than labor unions) who may be
called upon to assist Huettig & Schromm in securing
personnel with a notice in the form of Attachment "A"
adVising them that Huettig & Schromm is "an Equal Opportunity
Employer".
5. The EEO Officer shall include in all solicitations or
advertisements for employees the phrase "an equal oppor-
tunityemployer".
6. The EEO Officer shall forward the Nondiscrimination in
Employment notice (Standard Form )8), containing the
acknowledgment of receipt by and statement of policy of
the union as ShOlnl on Attachment "B" , hereto, to each

labor union or other organization of workers which
executes the Memorandum of Understanding. In addition,
the EEO Officer shall maintain records showing the
unions or other organizations to which this notice was
sent, those which have acknowledged its receipt and
signed the statement endorsed on the form, and those
which have failed or refused to do so.
7. The EEO Officer shall post a copy of Standard Form )8,
as forwarded to each such union or organization, on the
bulletin board in the Huettig & Schromm field office and
in other places where employees congregate (for example.
trailers, jobsites, etc.) and shall periodically check
to see that such notices remain posted and are not covered
up or obscured by other material.
8. The EEO Officer shall direct a memorandum, in duplicate,
in the form of Attachment "c" , hereto, to all supervisory
personnel now or hereafter employed by Huettig & Schromm,
the original to be retained by the employee and the duplicate
to be signed and returned to the EEO Officer. The signed
duplicate of the memorandum will be retained by the EEO
Officer in his files.
9. The EEO Officer shall prepare compliance reports (Form
WH-)8) as required by the Rules and Regulations of the
President's Committee on Equal Employment Opportunity.
B.
Subcontracts and Subcontractors
The Estimating Department, or the General Superintendent in
his capacity as Contracts Compliance Officer, shall be respon-
sible for taking all action required by this Part B, except
that which is specified to be taken by the EEO Officer.

1. The Estimating Department shall include the Equal Oppor-
tunity Clause in full in all nonexempt subcontracts
issued by Huettig & Schromm.
2. The Estimating Department shall deliver a letter, in
the form of Attachment "E" , together lTi th an adequate
supply of Equal Employment Opportunity posters and of
Standard Form 38, to each nonexempt subcontractor. If
the subcontract is a supply and services contract or a
purchase order, the letter shall be delivered to the
subcontractor together with his copy of the subcontract
or purchase order.

3. In the event that a nonexempt subcontractor affirmatively
refuses to sign and return a copy of the letter sent to
his pursuant to paragraph B.2, above, in such a manner
as to indicate that he does not accept or intend to honor
the obligations imposed upon him by the Equal Opportunity
Clause, such refusal shall be reported by the Estimating
Department to the EEO Officer, who, in turn, shall report
it to the President of Huettig & Schramm, Inc.
4. The job site offices of all subcontractors shall be checked
periodically by the EEO Officer and/or the General Super-
intendent to verify that the required notices are kept
posted on the contractor's project bulletin board in
accordance with the provisions of the Equal Opportunity
Clause in their respective contracts.

5. In the event that any subcontractor repeatedly fails
or refuses to comply with the requirements as to
posting of notices at their job site offices, such
failure or refusal shall be reported by the General
Superintendent to the EEO Officer for such further
action or report to the President as the latter may
deem appropriate.
6. In the event that any action be taken against a sub-
contractor, such action will be taken as directed.
In any such case the EEO Officer shall designate the
person or persons to be responsible for taking the
required action.
7. The review and confirmation of the subcontractor's
compliance or report of his noncompliance with the
Equal Opportunity Clause of his subcontract shall be
made by the General Superintendent and EEO Officer.
8. In the event that any formal or informal complaint
of discrimination by a subcontractor is received, it
shall immediately be reported by the person receiVing
it to the EEO Officer who shall take such action as
may be appropriate under the circumstances.

The following additional provisions which are attached to this
Subcontract agreement and hereby incorporated herein, were added to
this agreement before its execution.
In compliance with Executive Order 11246 and Executive Order 11375
the "Equal Opportunity Clause" hereinafter set forth is hereby incor-
porated in this subcontract. During the performance of this contract,
the contractor agrees as fo~lows.
~(l) The contractor will not discriminate against any employee or

origin. The contractor will take affirmative action to ensure that
applicants are enployed, and that employees are treated during employ-

NOTICE INVITING SEALED PROPOSALS OR BIDS
NORTHSIDE PARK CONSTRUCTION
PROJECT NO. 1972-1

Pursuant to the Gilroy City Code and the action directing this notice
on December 4, 1972, by the City Council of the City of Gilroy, said Council
invites sealed proposals or bids for the construction of Northside Park as more
particularly described in .the plans and specifications approved by said Council
on May 15, 1972.
All of said work is to be done at the places and in the particular
locations, of the forms, sizes and dimensions and of the materials, and to the
lines and grades and at the elevations as shown and delineated upon the plans,
profiles and specifications made therefor and preliminarily approved by said
Council on May 15, 1972.
Payments will be made in cash by said City to the contractor in
accordance with the provisions of the specifications and on itemized estimates
duly certified and approved by the Parks and Recreation Director submitted in
accordance therewith, based on labor and materials incorporated into said work
during the preceding month by the contractor.
All proposals or bids shall be accompanied by cash, cashier1s or
certified check payable to the order of the City Clerk, amounting to ten per
cent (10%) of the bid, or by a bond in said amount and payable to said Clerk
signed by the bidder and a corporated surety, or by the bidder and two sureties
who shall justify before any officer competent to administer an oath, in double
said amount and over and above all statutory exemptions. The amount so posted,
shall be forfeited to said City in case the bidder depositing the same does not,
within 15 days after written notice that the contract has been awarded to him,
enter into a contract with the City.
Contractor shall furnish to City a faithful performance bond and
labor and material bond as is required in said specifications.
Said sealed proposals shall be delivered to the City Clerk of said
City on or before 2:00 olclock P.M. of the 10th day of January, 1973, City Hall,
7390 Rosanna Street, Gilroy, California, said time being at least ten days from
the time of publication of this notice. Bids will be publicly opened, examined
and declared on said day and hour, and will be referred to and considered by
the Council at its meeting at 8:00 o'clock P.M. on January 15, 1972.
A copy of the plans and specifications may be obtained from the
office of the City Engineer, City Hall 7377 Church Street, Gilroy, California,
upon deposit therefor of $15.00 which will be refundable.

\ In view of the high Northside Park Bids rec,eived on Wednesday, August 16,
we feel an alternative may be reached to build the project within the
resources available. Af.ter discussing the project with Granite Construction
we feel we can build the basic park as designed with some deletions.
There are several portions of the project that could be deleted to bring us

Dear Bill:
After reviewing the figures submitted for Northside Park, we suggest
the following alternatives:
1. Reject all bids and ask for new bids in January, or before/
incorporating program changes and modifications to bidding
doctUllents.
2. Negotiate with Granite Construction to a figure of $225,00 to
$235,000. This can be done py omitting childrenrs spray pool,
one bridge, family picnic areas and the bollards in the parking
lot from the base bid for a deletion of approximately $31,000.
3. Same as No.2 above, but also omitting the building for an
additional $39,000. The building to be rebid later by the City.
The above figures are based on meetings with Granite Construction, the
low bidder, and I believe represent their fair analysis of bidding price.
Our recommendation is that the Council seriously consider Alternate No.2;
this avoids delay, and has an advantage over Alternate No. 3 in that later
construction of the building could cause inconvenience and damage to the
newly installed park areas, and there is no guarantee of a lower bid
figure.

Dear Mr. Wood:
A question has arisen as to the four bids received for
site development on Northside Park H.D.D. Project No.
Ca1 OSD 475. In the bid form, Bid Item 1 was the base
bid for the total project, which was divided into Bid
Item 2 for landscape improvements and Bid Item 3 for the
park building, terrace, steps, planters and arbors.
Contractors had the option of submitting bids on one or
more, or all bid items, but were further instructed that
if a bid were submitted on Bid Item 1, figures for the
other two bid items shall also be included. The owner
reserved the right to reject any and all bids, to waive
any informality in the bidding, to award the contract on
Bid Item 1 alone or to award separate contracts for Bid
Items 2 and 3.
Of the four bids reserved, one bidder submitted bids on Bid
I~ems 1 and 2.___b:\,lt_IJ.2.:L on 3 and another bidder advised the
Ci10r-by telegram that'arEnough his figure for Bid Item 1 was
correct, his Bid Items 2 and 3 were in error.

Since the City reserved the right to award the Contract on
the basis of Bid Item 1 only, and since there is no question
as to the correctness of four bids received on Bid Item 1, I
recommend that the bid be awarded to the lowest bidder for
Bid Item 1, the total project. In doing so, the City should
waive as an informality the failure of that bidder to submit
a figure for Bid Item since that ommission is not material
to the bid as accepte..

Our pre-bid cost estimate for all work was $ 231,639.00.
I understand that Aadco Construction Company has notified the City of
an error in their bid figure for Bid Item 2 and 3, and that the actual
figures for Bid Item 2 is $20, 000. 00 less, and for Bid Item 3 $20, 000. 00
more. I recommend that the Bid from Aadco Construction Company be
rejected.
This eliminates the favorable combination of awarding separate contracts
for the landscape improvements and for the park building.
If only Bid Item 1 is considered, including the bid submitted by Huettig
and Schromm, then Huettig and S chromm would be the low bidder.
Huettig and Schromm has worked on several projects for us in the past,
and at the present time, they are working on a park project for the City
of Millbrae.
I recommend that you consider awarding the contract to Huettig and
Schromm based on Bid Item 1 in the amount of $217,911. 00 for all of
the work.

Northside Park Bid Selection
We received bids for Northside Park construction on January 10, 1973. The
bids form called for bids on:
Bid Item #1 - All work shown on the drawings, including all site work
and the building.
Bid Item #2 - Included all site work excluding the pa r k bu i 1 ding.
Bid Item #3 - Included the park building excluding the site work.
The reason the bids were set up in this way was to give the city flexibility
in selecting one contractor for all the work or two separate contractors if
there was significant savings.
To complicate matters Huettig and Schrom didn't bid on Bid Item #3 and we
received a telegram from Aadco Construction Co. on January 11, 1973,
notifying us of a $20,000 error in Bid Item #3. With these facts in mind
we consulted with the City Attorney to clarify the basis on which we could
award the contract.
