This Grant of Easement ("Grant") IS made as of this Z day Ok Jtl~ ,2000, by
and between SOUTH COUNTY REGIONAL W ASTEW ATER AUTHORITY, a California non-
profit public benefit corporation ("SCRW A") ("Grantor") and CITY OF GILROY ("Grantee").
RECITALS
A. Grantor is the owner of that certain real property located in the County of Santa
Clara, State of California, designated as Parcel 1 on the site plan attached hereto as Exhibit A (the
"Site Plan"), and more particularly described in Exhibit B attached hereto.
B. Grantee is the owner of that certain real p'1pe:ty located in the County of Santa
Clara, State of California, designated as Parcel 2 on Exhibit A.
C. Grantor desires to create, in favor of Grantee, an easement for pedestrian and
vehicular ingress and egress across Parcell to Parcel 2.
NOW, THEREFORE, the parties agree as follows:
1. Grant of Easement. For valuable consideration, the receipt of which is hereby
acknowledged, Grantor hereby grants and conveys to Grantee, and Grantee's employees and
invitees, a non-exclusive easement, on, over and across a portion of Parcel 1 (the "Easement"), as
more particularly described in Exhibit C attached hereto (the "Easement Area"). The Easement
shall be an appurtenance to and for the benefit of Grantee's ownership interest in Parcel 2. The
Easement shall be for the purposes of providing pedestrian and vehicular ingress and egress across
Parcel 1 to and from Parcel 2 along an existing roadway within the Easement Area.
2. Maintenance. Grantor shall, at its sole cost and expense, maintain the Easement in
good condition and repair. Grantee shall not be required to share in such maintenance costs unless
attributable to excessive Grantee uses of the Easement Area.
3. Indemnity. Grantee shall indemnify, defend and hold harmless Grantor from and
against any claims, liabilities, damages, costs or expenses arising out of, connected with or resulting
from the use by Grantee or its employees or invitees of the Easement Area.

4. Binding Effect. This Grant shall be binding upon and inure to the benefit of the
parties hereto and their respective successors, assigns, heirs, executors, administrators and legal
representatives.

Certificate of Acceptance of Conveyance to the City of Gilroy by
South County Regional Wastewater Authority
This is to certify that the interest in real property conveyed by the grant of easement dated
June 2,2000 from South County Regional Wastewater Authority, to the City of Gilroy, a
municipal corporation of the State of California, is hereby accepted by the undersigned officer or
agent on behalf of the City of Gilroy pursuant to authority conferred by Resolution No. 99-90 of
the City of Gilroy adopted December 20, 1999, a certified copy of which resolution is on record
in the office of the County Recorder of the County of Santa Clara, State of California, document
#15167735, dated March 1, 2000 and the grantee consents to recordation thereof by its duly
authorized officer.
