CSG Consultants - 2013 Agreement - Amendment No. 1FIRST AMENDMENT TO AGREEMENT FOR SERVICES FOR ON -CALL PLAN CHECK AND INSPECTION SERVICES WHEREAS, the City of Gilroy, a municipal corporation ( "City "), and CSG Consultants Inc. ( "CSG ") entered into that certain agreement entitled Agreement for Services, effective on March 13, 2013, hereinafter referred to as "Original Agreement "; and WHEREAS, City and CSG have determined it is in their mutual interest to amend certain terms of the Original Agreement. NOW, THEREFORE, FOR VALUABLE CONSIDERATION, THE PARTIES AGREE AS FOLLOWS: 1. Article 5, section D "Insurance ", of the Original Agreement shall be amended to read as follows: In addition to any other obligations under this Agreement, CONSULTANT shall, at no cost to CITY, obtain and maintain throughout the term of this Agreement: (a) Commercial Liability Insurance on a per occurrence basis, including coverage for owned and non -owned automobiles, with a minimum combined single limit coverage of $1,000,000 per occurrence for all damages due to bodily injury, sickness or disease, or death to any person, and damage to property, including the loss of use thereof; and (b) Professional Liability Insurance (Errors & Omissions) with a minimum coverage of $1,000,000 per occurrence or claim, and $2,000,000 aggregate; provided however, Professional Liability Insurance written on a claims made basis must comply with the requirements set forth below. Professional Liability Insurance written on a claims made basis (including without limitation the initial policy obtained and all subsequent policies purchased as renewals or replacements) must show the retroactive date, and the retroactive date must be before the earlier of the effective date of the contract or the beginning of the contract work. Claims made Professional Liability Insurance must be maintained, and written evidence of insurance must be provided, for at least five (5) years after the completion of the contract work. If claims made coverage is canceled or non - renewed, and not replaced with another claims -made policy form with a retroactive date prior to the earlier of the effective date of the contract or the beginning of the contract work, CONSULTANT must purchase so called "extended reporting" or "tail" coverage for a minimum of five (5) years after completion of work, which must also show a retroactive date that is before the earlier of the effective date of the contract or the beginning of the contract work. As a condition precedent to CITY'S obligations under this Agreement, CONSULTANT shall furnish written evidence of such coverage (naming CITY, its officers and employees as additional insureds on the Comprehensive Liability insurance policy referred to in (a) immediately above via a specific endorsement) and requiring thirty (30) days written notice of policy lapse or cancellation, or of a material change in policy terms. 2. Exhibit "A" (Specific Provisions), item I. "Project Manager," of the Original Agreement shall be amended to include Kevin O'Connell as Project Manager for the scope of services included in this First Amendment. 3. Exhibit `B" (Scope of Services) of the Original Agreement shall be amended to incorporate the following services: A. ON -SITE STAFF SUPPORT: On -site staff support services in accordance with the attached "Scope of Services — On -call Engineering Services for Development Review." 4845- 8215 -55400 MOOLINGEM04706083 B. PLAN AND MAP REVIEW: On -call engineering services for development plan and/or map review in accordance with the attached "Scope of Services — On -call Engineering Services for Development Review." C. BRIDGE DESIGN REVIEW: On -call engineering services for bridge design reviews for Cameron Boulevard Bridge and Camino Arroyo Bridge in accordance with the attached "Scope of Services — On -call Engineering Services for Plan Review — Cameron Boulevard Bridge, Camino Arroyo Bridge." D. DRAFTING: Drafting services for City of Gilroy Standard Details in accordance with the attached "Scope of Services for On -call Engineering Services — Drafting Revisions to the City Standard Details." 4. Exhibit "C" (Milestone Schedule) of the Original Agreement shall be amended to incorporate the following timelines: A. ON -SITE STAFF SUPPORT: On -site staff support services will begin January 13, 2014 and continue, as needed, for the duration of this amendment. B. PLAN AND MAP REVIEW: Development plan and map review services will begin March 3, 2014 and continue, as needed, for the duration of this amendment. These services will be performed under an individual task order for each separate plan review assignment with an estimate of hours for each assignment. C. BRIDGE DESIGN REVIEW: Bridge design review services will take approximately three weeks to complete upon receipt of authorization to proceed. D. DRAFTING: Drafting services will take approximately three weeks to complete upon receipt of authorization to proceed. 5. Exhibit "D" (Payment Schedule) of the Original Agreement shall be amended to incorporate the attached CSG rate schedule and the following compensation terms: A. ON -SITE STAFF SUPPORT: Total compensation for on -site staff support services shall not exceed $100,000.. B. PLAN AND MAP REVIEW: Development plan and map review services will be performed under an individual task order for each separate plan review assignment with an estimate of hours and cost for each assignment. Compensation for each assignment will be billed on a time and materials basis. Development plan and map review assignments exceeding the initial estimate must be approved in advance by the Public Works Director /City Engineer. C. BRIDGE DESIGN REVIEW: Total compensation for bridge design review services will be billed on and time and materials basis and shall not exceed $6,000. D. DRAFTING: Total compensation for drafting services will be billed on and time and materials basis and shall not exceed $8,000. 6. Except as expressly modified herein, all of the provisions of the Original Agreement shall remain in full force and effect. In the case of any inconsistencies between the Original Agreement and this Amendment, the terms of this Amendment shall control. 8. This Amendment may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. DURATION OF SERVICES: Plan/Map Review Services: Services will be needed for an initial approximate six -month period. For the purpose of this task order, work is estimated to begin the week of March 3, 2014 and may continue to the end of the 2014 -2015 Fiscal Year on June 30, 2015. On -Site Services: For the purpose of this task order, work is estimated to begin the week of January 13, 2014 and may continue to the end of the 2014 -2015 Fiscal Year on June 30, 2015. CSG understands that the development review work associated with this task order may extend beyond the end of the current Fiscal Year and is prepared to continue services on a long -term basis as requested. STAFFING: Kevin O'Connell, Senior Engineer, P. E., will be assigned as the point of contact for the task. Additional CSG staff will be utilized as needed throughout the course of the work. Mark Lander, Principal Engineer, P.E., will provide coordination and scheduling of work at CSG's San Mateo and Pleasanton offices. Resumes of staff who would likely be assigned to the work are attached. We understand that the work will be performed offsite, with onsite coordination performed as needed. LEVEL OF EFFORT AND COMPENSATION: All services will be performed in accordance with the attached CSG rate schedule. Plan/Map Review Services: Total compensation under the amendment will be dependent on the actual number of plan review assignments performed by CSG. Work will be performed under a task order for each separate plan review assignment. CSG will provide the City with an estimate of the hours and cost for each assignment, as a basis for the City to request a plan check deposit from the developer. CSG will commence work on each assignment upon authorization by the City. All work performed by CSG will be segregated by assignment, or as may otherwise be requested by the City, and billed separately. Work will be performed on a time and materials basis. CSG will provide notice to the City if plan review costs on an assignment appear to be exceeding the initial estimate.. Page 1 of 2 On -Site Services: Total compensation for this work shall not exceed $100,000 unless previously authorized by the City. SCOPE OF SERVICES: Work may include but not be limited to the following activities: Development Review & Permitting: 1. Review of new or proposed amendments to specific plans, tentative maps, planned development zoning, and other development entitlement applications. 2. Assist City with development of conditions of approval, development agreements, and other requirements associated with development applications. Assist City in negotiations with developers regarding terms of agreements or conditions. 3. Review and recommend approval of improvement plans, subdivision maps, and other documents. Review documents for conformance to approved tentative map, specific plans, and conditions of approval. Confirm that plans conform to City standard design criteria, including draft or proposed standards as needed, and infrastructure or other master plans. Coordinate plan review with other City departments. Confirm that developer has obtained necessary permits or approvals from other public agencies as needed, and that plans conform to City's NPDES Municipal Regional Permit requirements for storm water treatment and retention. 4. Assist in research and document preparation, such as plats, maps, legal descriptions and findings, by a licensed surveyor to support summary and regular street vacations and City property disposition according to City Municipal Ordinance, Subdivision Map Act and California Streets and Highway Code. 5. Review and recommend approval of engineering bond estimates and subdivision guarantees. Assist the staff in preparing subdivision improvement agreements, other agreements, and staff reports. 6. Draft engineering reports and resolutions for Council approval as needed. 7. Meet with developers, consultants, or other agencies on behalf of staff, as requested. Page 2 of 2 Exhibit B4 SCOPE OF SERVICES On -Call Engineering Services for Development Review Cameron Boulevard Bridge Camino Arroyo Bridge The City of Gilroy is looking to obtain part time professional civil engineering services to assist the City's Public Works Department with review of the Cameron Boulevard and Camino Bridge Improvement Plan submittals. DURATION OF SERVICES: The work is estimated to take approximately three weeks to complete. We are prepared to begin work upon authorization by the City. STAFFING: Hatem Ahmed, Vice- President, P. E., will be assigned as the point of contact for the task. Additional CSG staff will be utilized as needed throughout the course of the work. A breakdown of the estimated hours by each staff position is attached (Attachment B4 -1). Actual hours worked by position may vary. LEVEL OF EFFORT AND COMPENSATION: All services will be performed in accordance with the attached CSG rate schedule. Mr. Ahmed's time will be billed at the Senior Rate of $160/hour. Total compensation shall not exceed $6,000 unless previously authorized by the City. Billing will be on a time and material basis. SCOPE OF SERVICES: The scope of work will include: 1. Review of the above listed two bridges plans, calculations, and supporting documents dated January 31, 2014. 2. Independent structural calculations preparations will not be included in this scope of work. HIRED AUTO PHYSICAL DAMAGE The following is added to Paragraph A.4., Cover- age Extensions, of SECTION III — PHYSICAL DAMAGE COVERAGE: Hired Auto Physical Damage Coverage If hired "autos' are covered "autos' for Liability Coverage but not covered "autos" for Physical Damage Coverage, and this policy also provides Physical Damage Coverage for an owned "auto ", then the Physical Damage Coverage is extended to "autos" that you hire, rent or borrow subject to the following: (1) The most we will pay for "loss" in any one "accident" to a hired, rented or borrowed "auto" is the lesser of., (a) $50,000: (b) The actual cash value of the damaged or stolen property as of the time of the "loss"; or (c) The cost of repairing or replacing the damaged or stolen property with other property of like kind and quality. (2) An adjustment for depreciation and physical condition will be made in determining actual cash value in the event of a total "loss ". (3) If a repair or replacement results in better than like kind or quality, we will not pay for the amount of betterment. (4) A deductible equal to the highest Physical Damage deductible applicable to any owned covered "auto". (5) This Coverage Extension does not apply to: (a) Any "auto' that is hired, rented or bor- rowed with a driver, or (b) Any "auto" that is hired, rented or bor- rowed from your "employee ". G. PHYSICAL DAMAGE — TRANSPORTATION EXPENSES — INCREASED LIMIT The following replaces the first sentence in Para- graph AA.a., Transportation Expenses, of SECTION III — PHYSICAL DAMAGE COVER- AGE: We will pay up to $50 per day to a maximum of $1,500 for temporary transportation expense In- curred by you because of the total theft of a cov- ered "auto" of the private passenger type. PLEASE READ IT CAREFULLY. AMENDMENT OF SECTION V. B. OPTIONAL EXTENDED CLAIMS REPORTING PERIOD This endorsement modifies insurance provided under the Design Professional Liability Policy. In consideration of the premium charged, it is agreed that Section V. EXTENDED REPORTING PERIOD, Paragraph B. Optional Extended CLAIMS Reporting Period is deleted in its entirety and replaced with the following: B. Optional Extended CLAIMS Reporting Period If YOU do not renew this Policy, or YOU do not purchase other insurance that covers professional liability, or if WE cancel or refuse to renew this Policy for reasons other than (1) nonpayment of premium or Deductible; (2) noncompliance with the terms and conditions of this Policy; or (3) fraud or material misrepresentation, YOU shall have the option to extend the period by which a CLAIM can be made against YOU and reported to US. The premium for the Optional Extended CLAIMS Reporting Period shall be determined by charging (1) 100% of the annual premium for twelve (12) months, (2) 150% for twenty -four (24) months, (3) 200% for thirty -six (36) months, or (4) 250% for sixty (60) months. The purchase of an Optional Extended CLAIMS Reporting Period shall be endorsed herein. YOUR right to purchase the Optional Extended CLAIMS Reporting Period must be exercised by notice in writing not later than thirty (30) days after the cancellation or termination date of this policy. Professional Liability Errors & Omissions Insurance To Whom It May Concern: CSG Consultants, Inc. has entered into an agreement with the City of Gilroy dated 3/3/2013 which requires the firm to maintain Professional Liability (Errors & Omissions) insurance with minimum limits of $1,000,000 per occurrence and $2,000,000 aggregate, or if written on a claims - made basis such insurance shall be maintained with minimum limits of $1,000,000 per claim and $2,000,000 aggregate for the entire term of the Agreement and if available and affordable for a five (5) year period after completion of all service under this Agreement for the purposes of providing continuous claims -made coverage during such periods. Please accept this letter as confirmation that CSG Consultants, Inc. maintains Professional Liability insurance written on a claims -made basis that meets the limits described above. The firm's 2013 -2014 Professional Liability policy includes a January 1, 1991 retroactive date and an optional extended reporting provision ( "tail coverage ") of up to five years in the event the policy is terminated.
