CONSERVATION EASEMENT AGREEMENT AND RESERVATION OF
REVERSIONARY RIGHTS
Parties City of Gilroy, a municipal corporation ( "City")
The COUNTY OF SANTA CLARA, a political subdivision of the State of California ( "County ")
The "Property" consists of that certain real property in the unincorporated area of the County
Property of Santa Clara, State of California, consisting of approximately 100 acres whose legal description
is fully set forth in Exhibit A, which is attached hereto and incorporated herein
By execution of this Conservation Easement Agreement and Reservation of Reversionary
Agreed Rights ( "Agreement"), and for good and valuable consideration, receipt of which each parry
hereby acknowledges, the parties hereto mutually acknowledge the matters described in the
RECITALS,
and agree to all the terms, covenants, and conditions of this Agreement set out above and below
RECITALS
A City is Owner City is the sole owner, in fee title, of the Property, subject to tlus
Conservation Easement and Reservation of Reversionary Rights as descnbed below, which have
been reserved by County from its grant of the Property to City pursuant to that certain Grant
Deed dated Feb 25, to which this Agreement is attached and of which it is a part

B Purpose of Agreement and Easement It is the intention of the parties to protect the
character of the Property so that the Property (or a suitable portion thereof) may be retained as
parkland, and may, at the County's discretion, be incorporated into the Reserve System of the
Santa Clara Valley Habitat Conservation Plan ( "Habitat Plan') at a future date This Agreement
provides for the implementation of the rights created by the reservation of Conservation Rights in
favor of the County as set out in the Grant Deed and as more particularly descnbed herein, which

allows, among other things, for the County to transfer this Conservation Easement in whole or in
part to the Santa Clara Valley Habitat Agency, a California Joint Powers Authority (the "JPA" or
"Implementing Entity ") Alternatively, the County may retain this Conservation Easement, and
may develop a second conservation easement to enroll this property into the Reserve System of
the Habitat Plan
TERMS, COVENANTS AND CONDITIONS
1 Grant of Conservation Easement As a condition of the transfer of fee
simple title in the Property to County from City, the County reserved from its grant a
conservation easement, in perpetuity, over the Property ( "Conservation Easement ") as provided
for herein and to the Grant Deed This Conservation Easement (whether in favor of the
County or the JPA) will count solely towards the County's (and not the City's) land acquisition
requirements or obligations set forth in the Habitat Plan or other implementing requirements and
the Property will be incorporated into the Reserve System
2 Use and Maintenance of Easement Area This Conservation Easement
requires that the Property shall be maintained in its current condition as a City owned, operated
and managed parkland open to the general public for park purposes and subject to City's
compliance with all terms and conditions of this Agreement and the Grant Deed Except as
otherwise expressly provided in this Agreement, City represents, warrants and agrees that it shall
not alter, disturb, develop, modify, pollute or improve the Property in any manner that could
adversely impact the ability of the Property to be incorporated into the Reserve System of the
Habitat Plan or the ability of the County or the City to record or transfer a Conservation
Easement in favor of the JPA as allowed by this Agreement
3 Maintenance City, and its successor(s), shall bear all costs, penalties, fees,
damages, liabilities and responsibilities (collectively and individually the "Costs ") associated
with or relating to administration, maintenance, operation and management of the Property
4 No Public. Access The reservation of this Conservation Easement by the
County does not authorize, and are not to be construed as authorizing the public or any member
of the public to enter, trespass on, or use any or all of the Property for purposes that do not fully
comply with this Agreement
5 Easement Appurtenant City acknowledges that this Conservation Easement
shall bind City and all of City's successors and assigns, and shall constitute a servitude on the
Property that runs with the land in perpetuity
6 Enforcement Any act, conveyance, contract or authorization by the City that
uses, or causes or allows the use of, the Property in a manner contrary to or inconsistent with the
terms of this Agreement or the Grant Deed constitutes a material breach of this Agreement The
County or its designee may bring an action in any court to enforce the terms of this Agreement
and City shall bear and be responsible for paying all costs, fees, damages, penalties and claims
associated with or relating to enforcement, litigation, remediation, mitigation and compliance
involving the terms of this Agreement The enforcement remedies in this paragraph are not

exclusive, and County may pursue any and all appropriate legal and equitable remedies,
including but not limited to specific performance and injunctive relief County's failure to
enforce the terms of this Agreement shall not be deemed a waiver of County's rights regarding
any subsequent breach In addition, a material breach of this Agreement or the Grant. Deed shall
result in County's right to exercise, without an obligation to do so, its right of reversion of all
right title and interest in the Property back to County
7 Right of Entry City grants to County and its agents, employees and
contractors a Right of Entry to enter the Property at reasonable times to inspect the Property for
compliance with the Agreement County shall indemnify, defend, and hold harmless City for
any and all claims, liabilities, losses, injuries (including death and bodily injury), penalties, fees
and damages, arising out of, relating to or in connection with, performance of the Right of Entry
by County and/or its agents, employees or contractors, excepting only loss, injury or damage
caused by the negligence or willful misconduct of County This Right of Entry includes the
right to enter the land to correct any dangerous condition as defined by California Government
Code section 830 et seq Prior to entering the Property, County will notify City at least
forty-eight (48) hours in advance, except for emergencies in which case County may provide
notice immediately upon or after entry The notice may be by telephone, personal service, or U S
mail delivered to the address of the City as listed on the most recent assessment roll of the Office
of the Assessor for Santa Clara County City may provide County written permission to enter in
lieu of the notice but permission is not a requirement of entry
8 Liability and Indemnification Except as provided in Section 7 of this
Agreement, County and its agencies, departments, officers, employees and agents (collectively
and individually the "County Agents ) are free from and shall not be subject to any and all
liabilities, claims, losses, obligations, causes of action, allegations, lawsuits, damages, fees or
penalties brought or alleged by any person or persons, entity enterprise, association,
organization, City, homeowner or property owner of any kind (collectively, the "Claims Against
County'), except for such Claims Against County directly caused by the negligence or willful
misconduct of the County or County Agents while on the Property City warrants, represents
and agrees that it and its successors, assigns, employees, agents, officers, members and
representatives shall at all times indemnify, defend and hold harmless County and County Agents
from any and all Claims Against County on account of, arising out of, in connection with or in
any way related to the Easement Area, regardless of how it may occur, with the exception of any
Claims Against County directly caused by the negligence or willful misconduct of County or
County Agents
9 Taxes and Assessments City warrants, represents and agrees to timely pay
or cause to be paid all real property taxes, assessments and liens (if any) levied or assessed
against the Property City does not waive any legal right or recourse relating to the assessment
or collection of taxes County makes no representations or assurances as to any method of
assessing or calculating property taxes, or the amount thereof, that might result from this
Agreement

10 Headings The titles and headings of the various sections of this Agreement
are intended solely for convenience of reference and are not intended to explain, modify or place
any construction on any of the provisions of this Agreement
11 Binding Effect This Agreement is and shall be binding upon, and inure to
the benefit of, the successors and assigns of all parties
12 Governing Law, Exclusive Jurisdiction This Agreement, and all the rights
and duties of the parties arising from or relating in any way to the subject matter of this
Agreement or the transaction(s) contemplated by it, shall be governed by, construed and enforced
in accordance with the law of the State of California (excluding any conflict of laws provisions
that would refer to and apply the substantive laws of another jurisdiction) Any suit or
proceeding relating to this Agreement, including arbitration or mediation proceedings, shall be
brought only in the State of California, County of Santa Clara EACH OF THE PARTIES
CONSENT TO THE EXCLUSIVE PERSONAL JURISDICTION AND VENUE OF THE
COURTS, STATE AND FEDERAL, LOCATED IN THE STATE OF CALIFORNIA,
COUNTY OF SANTA CLARA
13 Severability Each and every provision of this Agreement is severable from
any and all other provisions of this Agreement Should any provision or provisions of this
Agreement be for any reason unenforceable, the balance shall nonetheless be of full force and
effect If there is a conflict between a part of this Agreement and any present or future law,
regulation or other regulatory mandate or requirement, the part of this Agreement that is affected
shall be curtailed only to the extent necessary to bring it within the requirements of the law,.
regulation, regulatory mandate or requirement Such curtailment may commence as quickly as
necessary to ensure full compliance with applicable law, regulation, regulatory mandate or
requirement Furthermore, in that event, the parties agree to negotiate in good faith to amend
this Agreement in such a manner as will provide each party with the same economic benefit
while still complying with all applicable laws and regulations
14 Waivers No delay or omission by either party hereto to exercise any right
occurring upon any noncompliance or default by the other party with respect to any of the terms
of this Agreement shall impair any such right or power or be construed to be a waiver thereof A
waiver by either of the parties hereto of any of the covenants, conditions or agreements to be
performed by the other shall not be construed to be a waiver of any succeeding breach thereof or
of any covenant, condition or agreement herein contained
15 Other documents Each party agrees to execute whatever other documents
may be necessary to carry into effect the spirit and intent of this Agreement
16 Amendment This Agreement may be modified only in writing signed by the
duly authorized representatives of both parties
17 Cumulative Remedies The rights and remedies of the parties to this
Agreement, whether pursuant to this Agreement or in accordance with law shall be construed as

cumulative, and the exercise of any single right or remedy shall constitute neither a bar to the
exercise of nor the waiver of any other available right or remedy
18 Construction Tlus Agreement shall not be construed more strongly against
either parry regardless of who is more responsible for its preparation
19 Relationship of Parties The parties acknowledge that notlung set forth in
this Agreement shall be deemed or construed to render the parties as ,point venturers, partners,
agents, a ,point enterprise or employer and employee Under no circumstances shall City be
considered the employer of any County personnel, nor shall City have any right with respect to
any employee, agent or representative of County Neither party shall have authority to contract
for or bind the other in any manner
20 Voluntary Execution The parties acknowledge that each of them have been
furnished with copies of, and have read, this Agreement and that this Agreement has been freely
and voluntarily entered into by them and they agree to be fully bound by the terms hereof
Further, this Agreement is executed without reliance upon any representation by any person not
contained herem
21 Status of Parties, Authority to Sign Each signatory to this Agreement

22 Survival Those Sections and provisions that by their nature should survive,
shall survive, including but not limited to Sections 6, and 8 through 23, inclusive
23 Effective Date The effective date of this Agreement shall be the date that it
is fully executed by the property owner
