CSG Consultants - 2013 Agreement - Amendment No. 2SECOND AMENDMENT TO AGREEMENT FOR SERVICES FOR
ON -CALL PLAN CHECK AND INSPECTION SERVICES
WHEREAS, the City of Gilroy, a municipal corporation ( "City "), and CSG Consultants
Inc. ( "CSG ") entered into that certain agreement entitled Agreement for Services, effective on
March 13, 2013, hereinafter referred to as " Original Agreement "; and
WHEREAS, City and CSG have determined it is in their mutual interest to amend certain
terms of the Original Agreement including the Consideration for Services; and
WHEREAS, City and CSG entered into a First Amendment to the Original Agreement
effective on January 13, 2014 and is in effect through June 30, 2015.
NOW, THEREFORE, FOR VALUABLE CONSIDERATION, THE PARTIES AGREE AS
FOLLOWS:
1. Exhibit "B" (Scope of Services) of the Original Agreement, and in addition to the First
Amendment, shall be amended to incorporate the following services:
New Item:
`B. ON -CALL ENGINEERING SERVICES FOR INSPECTION: On -site staff
support services in accordance with the attached Exhibit "A" (Scope of Services —
On -call Engineering Services for Inspection).
2. Exhibit "C" (Milestone Schedule) of the Original Agreement, and in addition to the First
Amendment, shall be amended to incorporate the following timelines:
A. ON -SITE STAFF SUPPORT: On -site staff support to provide part-time
professional civil engineering services to assist the City's Public Works
Department with land development review will restart retroactively on June 30,
2014, and continue approximately two - months through August 31, 2014.
New Item:
"E. ON -CALL ENGINEERING SERVICES FOR INSPECTION: On -site staff
support services begin retroactively on July 1, 2014 and continues, as needed, for
the duration of this amendment."
3. Exhibit "D" (Payment Schedule) of the Original Agreement, and in addition to the First
Amendment, shall be amended to incorporate the following compensation terms:
A. ON -SITE STAFF SUPPORT: Total compensation for professional civil
engineering services to assist the City's Public Works Department with land
development on -site staff support services shall not exceed twenty -five thousand
dollars ($25,000) for the period June 30, 2014 through August 31, 2014.
New Item:
"E. ON -CALL ENGINEERING SERVICES FOR INSPECTION: Total
compensation for staff support services in accordance with the attached Exhibit
"A" (Scope of Services — On -call Engineering Services for Inspection) shall not
exceed seventy -five thousand dollars ($75,000) for the period June 30, 2014
through June 30, 2015.
4. This Amendment shall be effective retroactively on June 30, 2014 and will continue in
effect through June 30, 2015. The actual term of the work may be adjusted based on
workload and budget.
5. Except as expressly modified herein, all of the provisions of the Original Agreement
and the First Amendment shall remain in full force and effect. In the case of any
inconsistencies between the Original Agreement, the First Amendment and this
Amendment, the terms of this Amendment shall control.
6. This Amendment may be executed in counterparts, each of which shall be deemed an
original, but all of which together shall constitute one and the same instrument.
IN WITNESS WHEREOF, the parties have caused this Amendment to be executed as of
the dates set forth besides their signatures below.

SCOPE OF SERVICES
On -Call Engineering Services for Inspection
Various New Development Projects
The City of Gilroy is looking to obtain professional civil engineering services to assist the City's
Public Works Department with inspection of improvements to be installed with various private
new development projects throughout the City._
DURATION OF SERVICES: Services are estimated to be needed for an approximate four -
month period. For the purpose of this task order, work is estimated to begin the week of July 14
10, 2014 and will likely be completed by the end of October 2014, and may be adjusted based
on the workload and available budget.
CSG understands that the development review work associated with this task order may extend
beyond the end of the current Fiscal Year and is prepared to continue services on a long -term
basis as requested.
STAFFING: Erik Mendoza, Construction Inspector, will provide the inspection services under
this contract. Nourdin Khayata, Vice — President, will serve as point of contact for contractual or
staffing issues. It is our understanding that Erik will receive day -to -day assignments and
direction from Jim Maestri, the City's Public Works Inspector. A breakdown of estimated hours
is attached (Attachment 1).
LEVEL OF EFFORT AND COMPENSATION: All services will be performed in accordance
with the attached CSG rate schedule (Attachment 2). Total compensation shall not exceed
$75,000 unless previously authorized by the City. Billing will be on a time and materials basis.
SCOPE OF SERVICES: Work may include but not be limited to the following activities:
1. Inspection of contractor's work.
2. Preparation of daily inspection reports for projects.
3. Coordination with City inspection staff on construction issues.
