NewPath Networks, LLC - Right-of-Way Agreement - Amendment No. 1FIRST AMENDMENT TO RIGHT -OF -WAY AGREEMENT BETWEEN CITY OF GILROY AND NEWPATH NETWORKS, LLC This Amendment is made and entered into as of the date signed by the City ( "Effective Date ") and shall be identified as the First Amendment to the Right -of -Way Agreement dated June 14, 2013, (Agreement "), entered into by and between the City of Gilroy, a California municipal corporation ( "City ") and NewPath Networks, LLC, a New Jersey limited liability company ( "NewPath "), and collectively as the "Parties ". RECITALS A. WHEREAS, the Parties entered into a Right -of -Way Agreement on June 14, 2013 that authorized NewPath to remove and replace City -owned light poles with poles sufficient to attach its equipment to specified number and location of municipal streetlight facilities, with each replaced pole remaining under the control and ownership of the City; and B. WHEREAS, in Article 1.2 of the Agreement contemplates allowing subsequent authorization for the additional Municipal Facilities in the form of an amendment to the Agreement; and C. WHEREAS, consistent with Article 8.7 of the Agreement, the City and NewPath desire to amend the terns of the Agreement to allow NewPath to locate equipment on one (1) additional Municipal Facility. NOW, THEREFORE, in consideration of the Recitals stated above and incorporated herein, the City and NewPath agree as follows: 1. That the Agreement shall be amended to include the additional provisions contained in this First Amendment. 2. That the Agreement shall be amended to include one additional streetlight pole located on public right -of -way adjacent to: 7341 Eigleberry St. (Latitude/Longitude 33.005307/ - 121.569482). NewPath shall supply to City an updated map showing the new location that will replace existing Exhibit A, Node Location Map. 3. That the Parties, on the outset of this project incorrectly determined the above mentioned streetlight pole was owned by PG &E. Subsequent analysis concluded that ownership of the pole resides with the City and is now subject to the terms and provisions of the Agreement. 4. NewPath is hereby authorized to attach facilities to the streetlight pole at the location noted above subject to all terms and conditions contained in the Agreement. 5. Consistent with Article 1.6(c) of the Agreement, fees owed to the City by NewPath for this attachment will be due and payable by NewPath to the City on the first month following the fourth year after the effective date of the Agreement. Departing from Article 4.1 of the Agreement, NewPath will pay for the electricity consumed by its DAS Facilities, as well as for the electricity consumed by the single Street Light that is the subject of this Amendment whose location is described in Section 2 above. This electrical usage will be captured through NewPath's PG &E meter. 6. The representative for each Party signing on behalf of the respective Party hereby declares and represents that the signatory has authority to sign on behalf of the respective Party and agrees to hold the other Party or Parties hereto harmless if it is later determined that such authority does not exist. 7. All other terms and conditions of the Agreement shall remain in full force and effect. In witness whereof, and in order to bind themselves legally to the terms and conditions of this First Amendment to the Right -of -Way Agreement, the duly authorized representatives of the Parties have executed this First Amendment as of the effective date.
