HMH - 2012 Agreement - Amendment No. 4AMENDMENT TO THE AGREEMENT FOR SERVICES BETWEEN CITY OF GILROY AND HMH FOR ON -CALL CIVIL ENGINEERING SERVICES DATED OCTOBER 1, 2012 AMENDMENT NO.4 This Amendment shall become effective when it has been signed by the City Administrator, Project Manager, and Consultant. All copies forwarded to Consultant for signature shall be returned to the City of Gilroy properly filled out. Upon acceptance by the City, the Consultant's copy will be returned to him as his authority to proceed with the work. HMH to revise plans, specifications and estimates (PS &E) and project bid documents for an intersection safety improvement project at Wren Avenue and Byers Street. HMH to design two additional preliminary roadway layouts and provide plans, specifications and estimates (PS &E) for the Auto Mall Parkway project. See attached scope of work and fee, "Exhibit A ". All requirements of the original Agreement Documents shall apply to the above work except as specifically modified by this Amendment. The contract time shall not extend unless expressly provided for in this Amendment. HMH hereby agrees to make the above changes subject to the terms of this Amendment for ongoing acquisition/relocation services. This is the On -Call Civil Engineering Agreement, expiration date is October 1, .2015. All other terms of our original agreement remain unchanged. SCOPE OF SERVICES 461 Addl. Design Revisions — New Layout (Wren - Byers) A horizontal layout plan of the intersection was provided to City staff for preliminary comments. The 65% PS &E submittal was then prepared based on that horizontal layout. During the 65% review process, it was decided to change the intersection geometrics. As this is a small intersection, the design changes resulted in a complete re- design of the entire project area. 4.62 201.0 Specifications Preparation (Wren - Byers) The project design team prepared and provided specifications to the City in Caltrans 2006 Specification format, which was the format previously preferred by City staff. However, after the specifications had been prepared, the project team was directed to provide the plans and specifications utilizing the Caltrans 2010 format. 470 Preliminary Engineering Layout 1B (Auto Mall Parkway) The original scope of work for the Auto Mall Parkway Plan Line included one conceptual roadway layout. During subsequent discussion with City staff, two additional roadway layouts were requested to be shown. Layout 1 B and Layout 1 C were added to the plan sets. The goal of Layout 1 B was to revise the intersection of Chestnut Street (Auto Mall Parkway) and 10th Street to make vehicular operations more efficient. The easterly leg of the intersection was re- designed to accommodate a raised median which required revisions to the roadway layout in that area. Job No. 4231.01 May 26, 2015 Page 2 of 10 480 Preliminary Engineering Layout 1C (Auto Mall Parkway) The original scope of work for the Auto Mall Parkway Plan Line included one conceptual roadway layout. During subsequent discussion with City staff, two additional roadway layouts were requested to be shown. Layout 1 B and Layout 1 C were added to the plan sets. The goal of Layout 1 C was to revise the intersection of Chestnut Street (Auto Mall Parkway) and 10th Street to accommodate an 8 -phase signal operation. The entire intersection and adjacent roadway was re- designed to accomplish that goal. 200 Project Management Steve Loupe will be the Project Manager, and will be responsible for HMH services on the project. He will manage our subconsultant and coordinate the team with the City of Gilroy and other agencies involved. The Project Manager will be responsible for project organization and monitoring. This involves planning the work program, organizing the team personnel to implement the program, monitoring the team progress, and controlling the quality of the work products to complete the project on time and within budget. The work program will include periodic team meetings with the City to establish clear, concise project goals, design criteria, schedules and budgets. Minutes will be taken at meetings summarizing topics discussed, decisions made and action to be taken. Meeting minutes will be distributed to participants and appropriate affected parties. The project team is being directed to provide the plans and specifications utilizing the Caltrans 2010 format. 210 Preliminary Investigation Obtain and review available data and information pertinent to the project from the City, County, utilities, and other agencies. Such information may include the following: • Environmental clearance documents, regulatory permits, applications and other pertinent documents and relevant correspondence. Conceptual or preliminary plans and construction documents prepared previously for portions of the project. Job No. 4231.01 May 26, 2015 Page 3 of 10 • Aerial photos, topographic base sheets, master plans or record drawings of City, County and Caltrans facilities. • Record drawings of existing utility systems obtained from PG &E, AT &T, local water companies, cable TV and other utility service providers. • Survey notes, parcel maps, tract maps, records of survey and other record right-of- way documents, such as Caltrans right -of way record and monumentation maps. • Available traffic engineering studies and geotechnical and pavement design studies. 220 Title Reports Obtain current preliminary title reports for 5 properties within the project area. 230 Preliminary Riaht- of -Wav Surve Prepare a record data base sheet of the site boundary, easements and other encumbrances of record based upon the preliminary title reports. Perform field surveys of existing control and monumentation. Locate existing survey monuments and accessible property comers, and compute the existing right -of -way based -on field location of boundary evidence, record maps and preliminary title reports. Prepare a calculated base map of the existing record right -of -way for use in design. 240 Topographic Field Surve Perform field topographic surveys to obtain locations of utility surface facilities, and inverts of accessible storm drain manholes, inlets and sanitary sewer manholes. Obtain locations of street trees and other existing features that may affect the design. Obtain existing pavement elevations at points of conform and other spot elevations. 250 Traffic Signal Modifications and Street Lighting Engage a traffic engineering subconsultant, Hexagon Transportation Consultants, to perform signal design for the Tenth Street/Chestnut street intersection. Street light design along Chestnut Street (Auto Mall Parkway) will also be performed. See "Attachment 1" for additional details of this scope of work. 260 Preliminary Design (35 %) Develop Preliminary Plans to establish fundamental elements of the design for the roadway widening and improvements. The Preliminary Design Phase is intended to allow the City, utility companies and other involved agencies to review and comment upon the basic design concepts early in the process. The proposed plans for this preliminary submittal include: • Title /Index Sheet • Typical Cross Sections • Preliminary Street Improvement Plans • Preliminary Traffic Signal Plans • Preliminary Planting Plan (Street Trees) Striping Plans Prepare a Preliminary Estimate of Probable Construction Cost based on items and quantities of work shown on the Preliminary Plans and other anticipated improvements. Prices will be based on the magnitude of the quantities, our experience with similar local projects and engineer's judgment. 270 Coordination and Communication Utoll"IM Coordination Transmit preliminary plans to utility companies to confirm existing facilities and identify potential conflicts. Assist in coordinating potholing by the utility companies or others in order to locate existing utilities if required. Recommend relocation of overhead or underground facilities where required by the design. 280 Preliminary PS &E (65 %) Submittal Based on comments received from Preliminary Design, advance the design to the point. that all major design issues and solutions are represented in the plans. The intersection. of Tenth Street and Chestnut Street is showing severe pavement distress, so, pavement rehabilitation at this location will be one component of the proposed improvements. The technical specifications will reference City or Caltrans 2010 standard specifications sections for the various items of work, with specific consideration of measurement and payment provisions. The Preliminary Estimate of Probable Construction Cost will be updated to reflect the refinements from the Preliminary Design to the Preliminary PS &E (65 %) Submittal.. 290 Landscape Architectural Median Gateway Feature Design - Optional Prepare Landscape Construction Documents at an appropriate scale with enlargements of key areas based on approved conceptual plans of median gateway feature. Landscape Construction Documents shall include the following: Construction / Layout Plan: Illustrate dimensions and call -outs of all landscape construction improvements and amenities for a median gateway feature. Illustrate materials, finishes and colors.. Plans shall reference construction details with materials identified. HMH will coordinate all surface mounted and subsurface utilities and electrical, including lighting. Note, depending on the type of entry feature chosen, the services of a structural engineering subconsultant might be required. Construction Details: Illustrate specific methods of fabrication for specified landscape / hardscape improvements including materials and dimensions. HMH shall coordinate with City's structural engineer for all structural calculations and recommended reinforcing measures as needed. Irrigation Plan and Details: Illustrate location and layout of pressure main line, laterals, irrigation heads, pipe, sizing, calculations, legend, notes, and appropriate details. Planting Plan and Details: Illustrate location of all proposed plant materials in the gateway, including genus, species and variety of all trees, shrubs, and groundcover. HMH shall also provide container sizes, spacing, special requirements, and details and notes illustrating appropriate measures of installation. Specifications: Prepare notes on plan sheets with detailed descriptions of general conditions, special provisions, materials, quantities, and information on installing, fabrication procedures and application of products and materials. 300 Right -of -Way Documents Perform additional field surveys, if required where right -of -way acquisition is planned, of street monumentation and property corners. Perform office calculations to resolve existing property line locations, including side lines, for parcels where right -of- -way acquisition is planned. Job No. 4231.01 May 26, 2015 Page 6 of 10 Prepare plats and legal descriptions for up to 5 property acquisitions and utility or temporary construction easements identified in Preliminary Design or Preliminary PS &E. 310 Draft PS &E (95 %) Submittal After review of the Preliminary PS &E (65 %) by the City, utility companies and other agencies, work with the City and other reviewers to resolve any conflicts between the comments. Incorporate the resolved comments into the plans and complete Draft PS &E to provide an opportunity for the agencies to thoroughly review the details of the project. Update the technical specifications in draft form using City and Caltrans 2010 Standard Specifications, and incorporate "boilerplate" legal and contractual provisions provided by the City. Update the preliminary Estimate of Probable Construction Cost for use in the Bid Documents using standard City and /or Caltrans items. 320 Quality Assurance Review Conduct an internal quality assurance review of the plans and specifications, concurrent with review of the 95% Submittal by the City and other agencies. HMH's quality assurance program provides for independent checking of individual tasks as well as an independent review by experienced senior staff. The purpose of this review is to provide oversight to specific project details by professionals who are not closely involved in the design, and to review the constructability, cost- effectiveness and completeness of design features relative to the normal standard of professional care. 330 Final PS &E Bid Documents (100 %) Submittal After review of the Draft PS &E (95 %) by the City and other agencies, prepare the Final PS &E Bid Documents in accordance with the City's instructions. Provide the Final PS &E Bid Documents to the City and other agencies to review, provide minor final comments and approve the documents for advertisement and construction. Submit Final PS &E Bid Documents for signature. 340 Post Desiqn Services Make available project staff to answer questions during the bidding process. Assist City in preparation of addenda to the bid documents. Addenda to include changes beyond the control of HMH will be considered as extra services. Review shop drawings and submittals which are required by the project specifications for general conformance with the HMH's design concept and general compliance with the contract documents, if required. Prepare Contract Change Orders for approval by the City when required by unanticipated field conditions or to clarify the intent of the plans and specifications. Make occasional field reviews to assist City in observing the performance of the work and placement of materials to determine if the work is in general conformance to the requirements of the plans and specifications. 360 Monument Stakin Establish durable monuments for placement of property boundary corners and set control for replacement of street monuments in locations shown on the existing Record of Surveys, Tract Maps, Parcel Maps, or other documents such as corner records. City's contractor will install street monument well and monument disc. After installation of street monument wells, punch final monument location. 370. Record Drawings Prepare record drawings based on information provided by others. Job No. 4231.01 May 26, 2015 Page 8 of 10 The following activities are the responsibility of City. This is not intended to represent a complete list but is included for additional clarity. • Provide current preliminary title reports and other title company services. • Provide copies of available plans, exhibits, records and data pertinent to the project. • Provide HMH with permission to enter the grounds as necessary to perform the services. • Provide and coordinate services required by other consultants including: architectural plans or exhibits; archaeological services; biologic or biotic studies; and geotechnical engineering or geologic services, reports and recommendations. • Provide geotechnical investigation and /or soils exploration, testing and recommendations required for the project, including R- values and design of pavement structural section, earthwork specifications and recommended shrinkage factors. • Provide representation by Architect and other City consultants, as needed, at public hearings and presentations. • Pay the cost of all fees, permits, and other charges not specifically included in this Agreement as an HMH responsibility. • Obtain approval of all governmental authorities having jurisdiction over the project and from such bodies as may be necessary for the prosecution and completion of the project. This Agreement does not constitute any express or implied warranty that the jurisdictional agencies will approve the applications. The following services may be required for successful completion of the project, but are specifically not included in this scope of services. HMH may provide some of these services pursuant to the "Changes in Services" section of this agreement, or City may engage others to provide these services. This is not intended to represent a complete list, but is added only for clarity. • Environmental Impact Reports, Special Studies and Reports (Noise, Traffic, Biotic, etc.) or Phase I or Phase II analysis. • Processing or coordination of U.S. Fish & Wildlife, Army Corps of Engineers, Department of Fish & Game or other Regional, State or Federal Agency permits. • Processing or coordination of Geologic Hazard Clearance Application. • Uncovering or potholing existing underground facilities. • Record of Survey maps. • "ALTA" or "As- Built" plans or certifications to any entity as to quality or completeness of construction. Attachment 1 PRAW TOANSPOOTATION (ONSULTANTS, INC May 21, 2015 Mr. Steve Loupe HMH Engineers 1570 Oakland Road San Jose, CA 95131 Re: Proposal to Prepare Traffic Signal Modification Plans for the Intersection of Tenth Street and Chestnut Street in Gilroy, California Dear Mr. Loupe: Hexagon Transportation Consultants, Inc. is pleased to submit this proposal for preparing construction documents for the modification of the existing traffic signal at Tenth Street and Chestnut Street in Gilroy, California. Project Understanding As part of the Auto Mall Parkway Project, improvements will be made to the intersection of Tenth Street,and Chestnut Street, which will required the existing traffic signal equipment to be modified. The southeast corner radius will be reduced and the curb on the south side of Tenth Street, east of Chestnut Street, will be pulled back. This will require all new traffic signal equipment on the southeast comer of the intersection. New lane configurations on the south and east approaches will require new signal head alignments and potentially changes to the mast arm lengths on the poles on the northeast and northwest corners, respectively. This may require new signal equipment on those comers as well. A raised median island will be installed on Chestnut Street, just south of Tenth Street for approximately 350 feet. Comer bulbouts will be installed at the Chestnut Street/Stutz Way intersection and a chocker island will be installed on Chestnut Street between Stutz Way and Tenth Street. Chestnut Street will be restriped from Luchessa Avenue to Tenth Street with a bike lane and one travel lane in each direction and a wide center turn lane. Tenth Street will be restriped from just west of Chestnut Street to the US 101 southbound off -ramp intersection to accommodate the double westbound left -turn lane from Tenth Street onto Chestnut Street. Additionally, new street lighting facilities will be installed on the west side of Chestnut Street from Luchessa Avenue to about 670_ feet south of Tenth Street. Our scope of work includes the development of traffic signal modification plans for the Tenth Street/Chestnut Street intersection as well as street light improvement plans for the west side of Chestnut Street as described above. We understand that HMH will be preparing design plans for civil improvements as well as signing and striping improvements in the project area. As such, we will coordinate our design efforts with HMH to ensure that the various design elements are consistent and meet applicable standards and requirements. Hexagon will also prepare start-up signal timing plans for the intersection to be used when the new signal is activated. Equipment shown on the plans will conform to Caltrans standards (2010 editions) modified for any special City of Gilroy requirements. The traffic signal equipment layout and signal display will conform to the standards of the latest edition of the California Manual on Uniform Traffic Control Devices. Designs will utilize standard equipment and construction practices as shown in the 2010 editions of the Caltrans Standard Specifications and Standard Plans. All designs will reflect City standard details and City traffic signal specifications. The design of pedestrian facilities will conform to current ADA requirements. Street Light Design Plans Minor street light modifications resulting from the modifications of the traffic signal at Tenth Street and Chestnut Street will be designed and included on the traffic signal installation plans. The plans will document the necessary changes to the existing street lighting facilities in the vicinity of the signal improvements to ensure the continual operation of the adjacent street lights. The design of new street light facility on the west side of Chestnut Street from Luchessa Avenue to just south of Tenth Street will be prepared and included on separate plan sheets. Note that our scope and budget does not include time and cost for conducting photometric analyses of street lighting for the street segments in the project area. Our scope assumes that the City of Gilroy will specify street light spacing and luminaire types. Intersection Safety Lighting Photometric Analysis Hexagon will conduct a photometric analysis of the safety lighting at the Tenth Street/Chestnut. Street intersections. The analysis will be conducted using photometric analysis software and will include the characteristics of each specific luminaire type in the design. The results of the analysis will be presented to the City along with the project plans to verify that the safety lighting layout at the intersection and LED luminaire types specified in the design adequately satisfy the City's lighting standards at the intersection. Note that our scope and budget does not include time and cost for conducting photometric analyses of street lighting for the street segments adjacent to the signalized intersection. Start -up Signal Timing Plans Hexagon will develop start-up signal timing plans for the modified traffic signal at this location to be used by City forces for programming in the signal controller. Our scope assumes that three distinct time -of -day plans will be developed for this location. Since the traffic signals in the Tenth Street corridor (from Chestnut Street to Princevalle Street) have recently been interconnected and coordinated, the signal timing analysis will need to consider the signal coordination scheme that is currently in place as well as the traffic characteristics of the other signals in the coordinated system. We will rely on available existing traffic volume data at the intersections in the coordinated system. We will code a Synchro /SimTraffic model to represent.the entire coordinated system for evaluating various signal timing /phasing strategies at this intersection, and if necessary, within the coordinated system. Work Tasks 1. Preliminary Investigations Proiect Kick - off/Scopinq Meeting Hexagon staff will attend a kick -off and project scoping meeting with City staff and the design team to discuss the project and refine the scope of the design plans. Mr. Steve Loupe May 21, 2015 Page 3 of 7 Obtain and Review Backaround Information Hexagon will work with City staff to obtain any relevant background information that may be useful or required to complete the project, such as traffic signal as -built plans at nearby intersections, street light as- built plans, and traffic signal interconnect plans. Field Investiaations Our staff will visit the project area, make observations and take measurements and photographs as required to refine the base maps and verify their accuracy. Hexagon will field -verify existing traffic signal and street light facilities, the routing of electrical conduits, and the size, location, and contents of pull boxes and cabinets near the intersection. Record drawings for improvements in the area will be verified for accuracy and completeness and our design base maps will be updated as necessary to accurately portray existing traffic signal and lighting facilities. Potential conflicts with overhead utilities and obstructions, and other conflicts not readily apparent on the topographic maps will be identified in the field. 2. Design Development Preparation of Base Maps Hexagon will prepare base maps for the traffic signal and street light improvement plans utilizing files containing topographic mapping and proposed civil improvements to be furnished by HMH. At a minimum, the mapping files provided by HMH must cover the 10 Street/Chestnut Street intersection as well as 250 feet on the Tenth Street approaches and Chestnut Street from Luchessa Avenue to 150 feet north of Tenth Street. The mapping files should contain the following information: • Location and configuration of existing and new curb, gutter, edge of pavement, sidewalk, driveways, and wheelchair ramps; • Location of existing and new street lights, utility poles, and large trees; • Existing and new intersection and roadway signing and striping, including lane lines, legends, arrows, and crosswalk locations. The mapping files provided by HMH must also show the locations of existing and new pull boxes, utility vaults, cabinets, street light poles, utility poles, traffic signal poles, and all existing above and below ground utilities (for example: PG &E, water, telephone, cable, fiber, closed circuit TV, and sanitary sewer) for a distance of 25 feet from the 10"' Street/Chestnut Street intersection on all intersection approaches. If topographical mapping is not available within the limits specified above, then additional time and budget may be necessary for Hexagon to extend the coverage of base maps. Traffic Engineering Design Support Hexagon will work with HMH to ensure that the proposed geometry of new intersection curbs, islands and striping at the 10"' Street/Chestnut Street intersection will accommodate the turning movements of design vehicles and will be compatible with the safe and efficient operation of the proposed traffic signal system. Additionally, we will provide assistance, as needed, to locate new curb ramps such that the proposed ramp locations and crosswalk configurations are compatible with signal pole and push button locations to satisfy American's with Disabilities Act (ADA) standards. Preliminary Design We will develop a preliminary (35 %) design for the traffic signal modifications for early review and comment by City staff and the project team. The intent of this .task will be to provide the City and the project team with the opportunity to review the basic concept of the design, to resolve major design issues and constraints, and to help ensure that the following review submittals substantially achieve the goals and objectives for this project. Mr. Steve Loupe May 21, 2015 Page 4 of Plans - These plans will represent a conceptual layout of proposed improvements at the intersections and will include the base map with the outline of the following: civil improvements and roadway striping improvements, a layout of signal poles, street light poles, cabinets, signal display equipment, vehicle detectors, a signal operation phase diagram, and a completed pole and equipment schedule. We will submit preliminary plans to HMH and the City in the form of electronic PDF files. Cost Estimates - Hexagon will prepare a preliminary cost estimate for the traffic signal work based on the preliminary design plans. Desian Develooment Meetina Hexagon will attended one meeting with the project team and /or City staff to discuss the design development plans. The outcome of this meeting will be used to guide the development of the construction documents. 3. Construction Documents (Plans, Specifications, and Estimates) Plans, Specifications, and Estimates Plans Hexagon staff will respond to and address plan check comments on the preliminary design plans and produce construction plans. These plans will address any comments received on the design development plans and will add electrical conduits, pull boxes, circuitry, notes and details, a completed conduit/conductor schedule, full equipment specifications, and any other features required to bring the construction plans to a complete and biddable state. Review submittal plans will be submitted to HMH in the form of electronic PDF files. Specifications - A separate set of Technical Special Provisions for electrical systems construction, if required by the City, will be prepared on 8' /z" x 11" sheets for inclusion in the Project Specifications. Cost Estimates - A detailed estimate of probable construction cost will be prepared and will be submitted for review along with the construction plans. Each cost estimate submittal will be updated to reflect the comments received after the previous submittal. Review Submittals- Unless we are directed to prepare fewer submittals, ,the construction plans, specifications, and cost estimates will be submitted for review and comment at two levels of completion: 65% and 100 %. Unless specifically requested otherwise, all review submittals will be made electronically to HMH as high - resolution 24" X 36" PDF format files and Microsoft Excel spreadsheet files. As part of each submittal, we will return the marked -up plans from the previous submittal along with a list of the City comments and our responses. Additional Meetinqs Hexagon staff will attend additional design meetings with the design team and /or City staff, as necessary, during the design phase of the project. 4. Final Design (Bid Set Submittal) Upon notification that the 100% PS &E have been approved, Hexagon will prepare final deliverables (construction documents) which will include PDFs of the plan sheets featuring the signature of a responsible Professional Engineer and cost estimates printed on 8' /z" x 11" sheets. The City of Gilroy, we will also be furnished a CD -ROM containing electronic files of the traffic signal designs in AutoCAD format. Mr. Steve Loupe May 21, 2015 Page 5 of 7 5. Develop Start-up Signal Timing Plans Hexagon will develop start-up signal timing plans for the modified traffic signal at this location. Our scope assumes that the City will provide the following basic information needed to develop the timing plans: • Existing Signal Timing — existing signal timing sheets for the intersection and for the other intersections in the coordinated system along Tenth Street. • Signal Timinq Criteria — City policies regarding altemative phase sequences (use of lead /lag, permitted /protected, etc.), yellow and all -red policies, pedestrian phasing preferences, etc. • Electronic Analysis Files for Existing Coordinated System — electronic analysis files used by the City's consultant to develop the coordinated signal system that was analyzed in 2014. • Traffic Count Data — traffic count data for all signals in the coordinated system for each of the three time -of -day coordination periods. Signal timing plans will be developed based on existing traffic volumes. Timing plans for the intersection will be developed for the same time periods as are currently established in the coordinated signal system timing plans, up to three time periods. Additional time- of-day plans will require additional time and budget. We propose to use the Synchro /SimTraffic software package to perform the signal timing analysis for this project. The model will be coded to reflect the existing traffic volumes for the study time periods at the subject intersection as well as the other intersections in the coordinated system. The future lane configurations, turn pocket lengths, and signal phasing to be completed with. the improvement project will be coded for the subject intersection. Existing lane configurations and signal phasing will be used for the other intersections in the corridor. In order to limit the scope and fee for this task, we propose to use existing available count data for the intersections in the corridor for the signal timing analysis. Collecting new traffic counts would require additional time and budget. Start-up signal timing plans for the subject intersection will be developed based on the Synchro analysis results. Adjustments to the coordinated signal timing plans will be recommended based on the results of the Synchro optimization analysis. The optimization process will include an evaluation of cycle lengths, phase splits, and offsets for the corridor. The signal timing parameters will be recorded by Hexagon on timing sheets to be used by City forces for field implementation. 6. Prepare Record Drawings At the completion of construction, Hexagon will produce Record ( "As- Built ") Drawings to document the construction and installation of the traffic signal system designed in the plans. The as -built drawings will be based on redline comments on the plans to be provided by the contractor and /or the project inspector and field review by Hexagon staff. Additional Services Additional services in connection with the project, not otherwise provided for in this proposal, will be provided upon written authorization. Examples of additional services include the following: • Producing more than the number of submittals specified above, • development of base maps to cover areas excluded from the civil base maps, • redesign resulting from changes beyond Hexagon's control, • preparing signing and striping plans, • preparing traffic signal interconnect plans, • conducting a photometric analysis for street segments, Mr. Steve Loupe May 21, 2015 Page 6 of 7 • preparing traffic control plans, • response to additional reviews, • collecting new count data for the signal timing analysis, • providing bid and construction support services, and • attendance at pre - construction meetings or construction progress meetings. Time Schedule We are prepared to start work immediately upon receipt of authorization to proceed. Barring any unforeseen delays, we anticipate submitting the preliminary design plans within four weeks after receipt of notice to proceed and topographic mapping files. Each following submittal will be completed within one week of the receipt of respective review comments. Fee The total fee for completing the tasks outlined in the above scope of services will be based on applicable hourly labor rates as shown on the attached rate schedule and the direct cost of materials and will not exceed a total of $44,800. Should additional services be required, they will be performed for an additional fee to be authorized in advance by HMH. Additional Expenses Our fee for services listed above includes certain minor expenses necessary to provide the scope of work described above. This includes in -house and outside reproduction costs for the number of plan sets specified for each submittal and delivery expenses associated with the number of submittals specified above. Any additional expenses incurred beyond those included in the scope of work will be billed at cost, over and above the not -to- exceed amount quoted above. Such additional expenses may include: reproduction of more than the total number of plan sets specified in the scope, additional overnight mail and deliver /courier charges, PG &E application or engineering fees, and other costs and expenses incurred at your request. ELECTRONIC EQUIPMENT - BROADENED COVERAGE a. Section III — Version CA 00 01 03 10 of the Business Auto Coverage Form, Physical Damage Coverage, Limit of Insurance, Paragraph C.2 and Version CA 00 01 10 01 of the Business Auto Coverage Form, Physical Damage Coverage, Limit of Insurance, Paragraph C are each amended to add the following: $1,500 is the most we will pay for "loss" in any one "accident" to all electronic equipment (other than equipment designed solely for the reproduction of sound, and accessories used with such equipment) that reproduces, receives or transmits audio, visual or data signals which, at the time of "loss ", is: (1) Permanently installed in or upon the covered "auto" in a housing, opening or other location that is not normally used by the "auto" manufacturer for the installation of such equipment; (2) Removable from a permanently installed housing unit as described in Paragraph 2.a. above or is an integral part of that equipment; or (3) An integral part of such equipment. c. For each covered "auto ", should loss be limited to electronic equipment only, our obligation to pay for, repair, return or replace damaged or stolen electronic equipment will be reduced by the applicable deductible shown in the Declarations, or $250, whichever deductible is less. 9. EXTRA EXPENSE - BROADENED COVERAGE Under Paragraph A. - COVERAGE - of SECTION III - PHYSICAL DAMAGE COVERAGE, we will pay for the expense of returning a stolen covered "auto" to you. 10. GLASS REPAIR - WAIVER OF DEDUCTIBLE. Under Paragraph D. - DEDUCTIBLE - of SECTION III - PHYSICAL DAMAGE COVERAGE, the following is added: If another Hartford Financial Services Group, Inc. company policy or coverage form that is not an automobile policy or coverage form applies to the same "accident ", the following applies: (1) If the deductible under this Business Auto Coverage Form is the smaller (or smallest) deductible, it will be waived; (2) If the deductible under this Business Auto Coverage Form is not the smaller (or smallest) deductible, it will be reduced by the amount of the smaller (or smallest) deductible. 12. AMENDED DUTIES IN THE EVENT OF ACCIDENT, CLAIM, SUIT OR LOSS The requirement in LOSS CONDITIONS 2.a. DUTIES IN THE EVENT OF ACCIDENT,CLAIM, SUIT OR LOSS - of SECTION IV - BUSINESS AUTO CONDITIONS that you must notify us of an "accident" applies only when the "accident" is known to:. (1) You, if you are an individual; (2) A partner, if you are a partnership; (3) A member, if you are a limited liability company; or (4) An executive officer or insurance manager, if you are a corporation. 13. UNINTENTIONAL FAILURE TO DISCLOSE HAZARDS If you unintentionally fail to disclose any hazards existing at the inception date of your policy, we will not deny coverage under this Coverage Form because of such failure. 14. RESULTANT MENTAL ANGUISH COVERAGE The definition of "bodily injury" in SECTION V- DEFINITIONS is replaced by the following: "Bodily injury" means bodily injury, sickness or disease sustained by any person, including mental anguish or death resulting from any of these. 17. EXTENDED CANCELLATION CONDITION Paragraph 2. of the COMMON POLICY CONDITIONS - CANCELLATION - applies except as follows: If we cancel for any reason other than nonpayment of premium, we will mail or deliver to the first Named Insured written notice of cancellation at least 60 days before the effective date of cancellation. 18. HYBRID, ELECTRIC, OR NATURAL GAS VEHICLE PAYMENT COVERAGE In the event of a total loss to a "non- hybrid" auto for which Comprehensive, Specified Causes of Loss, or Collision coverages are provided under this Coverage Form, then such Physical Damage Coverages are amended as follows: a. If the auto is replaced with a "hybrid" auto or an auto powered solely by electricity or natural gas, we will pay an additional 10 %, to a maximum of $2,500, of the "non- hybrid" auto's actual cash value or replacement cost, whichever is less, b.The auto must be replaced and a copy of a bill of sale or new lease agreement received by us within 60 calendar days of the date of "loss," c. Regardless of the number of autos deemed a total loss, the most we will pay under this Hybrid, Electric, or Natural Gas Vehicle Payment Coverage provision for any one "loss" is $10,000. For the purposes of the coverage provision, a.A "non- hybrid" auto is defined as an auto that uses only an internal combustion engine to move the auto but does not include autos powered solely by electricity or natural gas. b.A "hybrid" auto is defined as an auto with an internal combustion engine and one or more electric motors; and that uses the internal combustion engine and one or more electric motors to move the auto, or the internal combustion engine to charge one or more electric motors, which move the auto. 19. VEHICLE WRAP COVERAGE In the event of a total loss to an "auto" for which Comprehensive, Specified Causes of Loss, or Collision coverages are provided under this Coverage Form, then such Physical Damage Coverages are amended to add the following: In addition to the actual cash value of the "auto ", we will pay up to $1,000 for vinyl vehicle wraps which are displayed on the covered "auto" at the time of total loss. Regardless of the number of autos deemed a total loss, the most we will pay under this Vehicle Wrap Coverage provision for any one "loss" is $5,000.
