CPS HR Consulting - Writing Workshop and Guide (2019) - Amendment No. 1FIRST AMENDMENT TO AGREEMENT FOR SERVICES: WRITING SKILLS TRAINING
WHEREAS, the City of Gilroy, a municipal corporation ("City"), and CPS HR Consulting
entered into that certain agreement entitled AGREEMENT FOR SERVICES for writing skills training,
effective on 1/10/2019 hereinafter referred to as "Original Agreement"; and
WHEREAS, City and CPS HR Consulting have determined it is in their mutual interest to
amend certain terms of the Original Agreement.
NOW, THEREFORE, FOR VALUABLE CONSIDERATION, THE PARTIES AGREE AS
FOLLOWS:
1. ARTICLE 1 of the Original Agreement shall be amended to read as follows:
This Agreement will become effective on 1/10/2019 and will continue in effect through
3/31/2019 unless terminated in accordance with the provisions of Article 7 of this Agreement.
2. EXHIBIT "A" Section 1 of the Original Agreement shall be amended to read as follows:
CPS FIR will provide (a) onsite training to the City of Gilroy on March 20, 2019 and (b) a
customized writing guide. Training will be located at Gilroy City Hall 7351 Rosanna Street,
Gilroy 95020 for up to 30 participants. Class times are 8:30 a.m. to 4:30 p.m.
CPS HR will provide (a) onsite training to the City of Gilroy on March 18, 2019 and (b) a
customized writing guide. Training will be located at The Willey House 140 Fifth Street,
Gilroy 95020 for up to 20 participants. Class times are 8:30 a.m, to 4:30 p.m.
CPS HR will provide the instructor and all course material for the training session.
Additionally,
CPS HR will handle all instructor travel arrangements and expenses.
The City of Gilroy will provide an appropriate facility, laptop, LCD projector, easel paper, and
easel.
3. EXHIBIT "A" Section 3 of the Original Agreement shall be amended to read as follows:
i.) Phone call to discuss custom writing guide expectations. To schedule for January 7th,
2019 or within two weeks of contract execution.
ii.) CPS to deliver draft writing guide for review by the City of Gilroy within two weeks of
completion of task' 1.'
iii.) The City of Gilroy is to provide CPS feedback on the writing guide within one week of
completion of task'2.'
iv.) CPS to finalize the writing guide and include in materials for the onsite training
v.) CPS to conduct onsite training on March 18`' and March 20`' 2019.
4. EXHIBIT 1113" of the Original Agreement shall be amended to read as follows:

The all-inclusive, flat rate pricing includes delivery of the course, all course materials, and any
instructor travel.
Writing Skills for Analyst Customized Course:
Date: March 18th and 201h, 2019
Price/Session: $3,750
Customization: $62.50 per hour
Estimate: $8,750
The price is not to exceed $9,750.00
5. This Amendment shall be effective on 3/11/2019
6. Except as expressly modified herein, all of the provisions of the Original Agreement shall
remain in full force and effect. In the case of any inconsistencies between the Original Agreement and
this Amendment, the terms of this Amendment shall control.
7. This Amendment may be executed in counterparts, each of which shall be deemed an original,
but all of which together shall constitute one and the same instrument.
IN WITNESS WHEREOF, the parties have caused this Amendment to be executed as of the
dates set forth besides their signatures below.
