OF GILROY AND M-GROUP, INC. FOR ON CALL ENVIRONMENTAL REVIEW
SERVICES
WHEREAS, the City of Gilroy, a municipal corporation ("City"), and M-Group, Inc. entered
into that certain agreement entitled "Agreement For Services, effective on November 6, 2015
hereinafter referred to as "Original Agreement"; and
WHEREAS, City and M-Group, Inc. have determined it is in their mutual interest to amend
certain terms of the Original Agreement.
NOW, THEREFORE, FOR VALUABLE CONSIDERATION, THE PARTIES AGREE AS
FOLLOWS:
1. Exhibit `B" (Scope of Services) of the original agreement will is hereby replaced with the
attached Exhibit "B".
3. This Amendment shall be effective on 06/03/2019.
4. Except as expressly modified herein, all of the provisions of the Original Agreement shall
remain in full force and effect. In the case of any inconsistencies between the Original Agreement and
this Amendment, the terms of this Amendment shall control.
5. This Amendment may be executed in counterparts, each of which shall be deemed an original,
but all of which together shall constitute one and the same instrument.

SCOPE OF SERVICES
Environmental Reviews
In general, M-Group, Inc. will be expected to provide comprehensive environmental services in
accordance with CEQA. M-Group, Inc.'s ability to complete the environmental reviews in a
timely manner is essential. The environmental firm should have the staffing resources available
(either in-house or assembled team) to complete multiple environmental reviews in an
expeditious manner.
Planning Services
In general, M-Group, Inc. will be expected to provide planning services at all types of levels, for
all types of projects requesting entitlements, including but not limited to new residential
subdivisions; new and redeveloped commercial, office, and industrial properties; requests for
General Plan and zoning amendments; requests for boundary (e.g. urban service area)
adjustments; use permits; tentative maps; and architectural design review. For the purposes of
application review and processing, M-Group, Inc. will function as an extension of city staff; and
therefore, will be expected to serve in a capacity from plannng technician to the project lead for
all assigned projects and be the main point of contact for city staff and the public.
The services that M-Group, Inc. will provide include, but are not limited to the following:
1. Write accurate, clear, concise and legally defensible environmental documents;
2. Acurately analyze projects for compliance with the City's General Plan, zoning
ordinancem Subdivision Map Act, applicable specific plans, and City Policies;
3. Write clear and concise letters, staff reports, resolutions, ordinances, and conditions of
approval.
4. Review projects and provide comments within timelines specified by the Permit
Streamlining Act and the City (shorter timelines may be required for certain projects);
5. Work with a consultant staff planner if applicable;
6. Attend Planning Commission and/or City Council meetings and give presentations when
necessary;
7. Prepare, circulate and file/record environmental documents and notices in accordance
with CEQA and within timelines specified by CEQA and the City (shorter timelines may be
required for certain projects);
8. Conduct site visits as necessary;
9. Maintain concise and accurate administrative record for the assigned project. The project
administrative record will be returned to the City upon request, or at project completion;

10. Be available during regular business hours to answer questions from city staff, outside
agencies, and the public, at the public counter or by phone; and
11. Provide brief weekly updates to Gilroy Planning staff on the status of the application
processing as requested.
Prior to assigning a specific project, the City will provide an introductory overview of the project
and the scope of services to be provided. All available drawing and other applicable technical
and property information will be available to M-Group, Inc.
