RESOLUTION NO. 75-28
RESOLUTION OF THE COUNCIL OF THE CITY OF GILROY APPROVING
THE TRANSFER OF STOCK OF GILROY CABLE TV, GRANTEE OF A
CATV FRANCHISE IN THE CITY OF GILROY,
WHEREAS. application has been made for the Council to consent
to the transfer of all of the 300 outstanding shares of stock of
GILROY CABLE TV, a California corporation, grantee of a CATV franchise
in the City of Gilroy, from the present owners, EDWIN DRISCOLL, JR"
FRANK J. CALIRI and BEN TSUDA. to FALCON COMMUNICATIONS, a joint
venture composed of ADVANCE BHANDS, INC., a Delaware corporation. and
FALPRO CORPORATION, a New York corporation; and
WHEREAS, GILROY CABLE TV. a California corporation. continues
in existence as grantee of the franchise, and
illIEREAS. evidence of the financial responsibility of the pro-
posed transferee has been submitted with the application, the
transferee agrees that GILROY CABLE TV will continue to comply fully
with all provisions of its CATV franchise, and good cause appearing
therefore.
BE IT RESOLVED BY THE COUNCIL OF THE CITY OF GILROY that the
transfer of 300 shares of stock of GILROY CABLE TV from EDWIN
DRISCOLL, JR.. FRANK J. CALIRI and BEN TSUDA to FALCON COMMUNICATIONS,
a joint venture composed of ADVANCE BRANDS, INC" a Delaware
corporation, and FALPRO CORPORATION. a New York corporation, is
hereby approved.
PASSED AND ADOPTED this 2nd day of June, 1975, by the following
vote;
