Resolution 1992-29 . . ..... -- RESOLUTION NO. 92 - 29 RESOLUTION OF THE COUNCIL OF THE CITY OF GILROY APPROVING THE POLICIES AND PROCEDURES OF THE SANTA CLARA COUNTY CONGESTION MANAGEMENT AGENCY POLICY ADVISORY COMMITTEE REPRESENTING THE CITIES OF GILROY, MILPITAS AND MORGAN HILL. WHEREAS, the Cities of Gilroy, Milpitas and Morgan HilI are members of the Santa Clara County Congestion Management Agency (CMA), and share representation on the CMA Board of Directors; and WHEREAS, the Cities of Gilroy, Milpitas and Morgan Hill have established a Policy Advisory Committee pursuant to the CMA Bylaws; and WHEREAS, the Policy Advisory Committee provides guidance to the CMA Board member representing the Cities of Gilroy, Milpitas and Morgan Hill; and WHEREAS, the Policy Advisory Committee has determined that guidelines outlining the Policy Advisory Committee's function and responsibilities should be formally established. NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Gilroy that it hereby approves the attached "Policies and Procedures" (Exhibit "A") that will serve as the guidelines by which the CMA Policy Advisory Committee representing the Cities of Gilroy, Milpitas and Morgan HilI will operate. "Exhibit A" Santa Clara county Congestion Management Agency policy Advisory Committee Representing the cities of Gilroy, Milpitas, and Morgan Hil1 Policies and Procedures Serving as a Policy Advisory Committee (PAC) of the Santa Clara County Congestion Management Agency, the cities of Gilroy, Milpitas and Morgan Hill are agreed that the following policies and procedures shall guide the operation of the Policy Advisory Committee. Term of Office - CMA Board Member Pursuant to the CMA bylaws (Sec. 2.2.c.), members of the CMA Board of Directors are appointed to serve a two-year term. CMA Board Membership - PAC Representation Pursuant to the CMA bylaws, a PAC shall determine its own method for selecting a representative to the CMA Board and shall establish its own rotation system (Sec. 2.2.a., 2.2.b.). The cities of Gilroy, Milpitas and Morgan Hill are agreed that the PAC representative from each member agency shall have an opportunity to serve on the CMA Board. The PAC also agrees to the following rotation schedule: the City of Gilroy will serve as the first CMA Board member, the City of Milpitas will serve as the second member and the City of Morgan Hill will serve as the third member. It is also agreed that the PAC member agency which is next in line to provide the CMA Board member shall be the alternate CMA Board member. PAC Meetings According to Section 4.2.a. of the Cr-1A bylaws, !lit is manaa'Cory that each advisory committee meet on a regular basis with their representative from the CMA Board." It is agreed that a regularly - scheduled meeting of the PAC will be held on the second Friday of each month. If all of the PAC members ~gree that a meeting is not necessary, the meeting will be cancelled. voting - CMA Board Member Responsibility It is agreed that if a majority of the PAC member agencies agree on how a vote should be taken, the CMA Board member must cast this majority vote at the CMA Board meeting. If any PAC member voices a minority opinion, the CMA Board member must cast the majority vote, but shall also voice the minority opinion for the record. . . CMA Board Alternate - Meeting Conflict It is agreed that when a PAC member agency serving as the CMA Board alternate is unable to regularly attend the CMA Board meetings, the PAC will petition the CMA Board to reconsider its meeting time. In the event the CMA Board is unable to change its meeting time, the PAC will then select another PAC member to serve as the CMA Board alternate. This appointment will be effective until the two-year term 'of the CMA Board member is complete. The established CMA Board member rotation schedule will not be effected by this appointment. . . . .
