ORDINANCE OF THE CITY OF GILROY CONSENTING TO TRANSFER
OF A COMMUNITY ANTENNA TELEVISION FRANCHISE FROM GILROY
CABLE TV, INC. TO FALCON COMMUNICATIONS
WHEREAS, on October 24, 1966, by Ordinance No. 779, the City
Council did grant GILROY CABLE TV, INC., a franchise to construct,
operate and maintain a community antenna television system within
the City of Gilroy; and
WHEREAS, on June 2, 1975, the City Council adopted a resolution
giving its consent for the owners of all of the outstanding stock of
GILROY CABLE TV, INC. to sell and transfer all of said stock to
FALCON COMMUNICATIONS, a joint venture composed of ADVANCE BRANDS,
INC., a Delaware corporation and FALPRO CORPORATION, a New York
corporation; and
WHEREAS, FALCON COMMUNICATIONS desires to transfer the franchise
of its wholly-owned subsidiary, GILROY CABLE TV, INC., to itself as
franchisee and has requested that the Council give its consent to
such transfer;
NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF GILROY DOES
ORDAIN AS FOLLOWS:
Section 1. That the Council does hereby consent to the transfer
of the aforementioned community antenna television franchise from
GILROY CABLE TV, INC., a wholly-owned subsidiary of FALCON COMMUNICATIONS,
to FALCON COMMUNICATIONS.
Section 2. That this consent i~ subject to submission by FALCON
COMMUNICATIONS of a bond in the amount of Ten Thousand ($10,000.00)
Dollars for faithful performance of its obligations and a written
acceptance and agreement to comply with all requirements, all in
accordance with the terms, conditions and restrictions set forth in

Chapter 24, Article III, of the Gilroy City Code or otherwise
imposed by law.
Section 3. That all ordinances and parts of ordinances in
conflict herewith are hereby repealed.
Section 4. That this ordinance shall take effect and be in
full force thirty (30) days from and after its passage and approval.
PASSED AND ADOPTED this 17th day of November, 1975, by the
