Terratech, Inc. 1'20 ,t. AGREEMENT FOR PROFESSIONAL SERVICES (Project 7267/2) THIS AGREEMENT is entered into by and between TERRATECH, INC., a California corporation (hereafter called "TERRATECH") and (hereafter called "CLIENT"). The parties hereto agree as follows: 1. The property or location (hereafter called .PROJECT"), at which the PROFESSIONAL SERVICES set forth in this agreement are to be performed, is described as follows: In accordance with TERRATECH's agreement letter for Estimated Costs for Construction Inspection and Testing Services, Project 7267/2, dated July 8, 1992, which is made a part hereof. 2. TERRATECH agrees to perform PROFESSIONAL SERVICES at the PROJECT, or elsewhere as appropriate, consisting of the following: In accordance with TERRATECH's agreement letter for Estimated Costs for Construction Inspection and Testing Services, Project 7267/2, dated July 8, 1992, which is made a part hereof. 3. In consideration of the PROFESSIONAL SERVICES to be performed by TERRATECH, CLIENT agrees to pay TERRATECH as follows: In accordance with TERRATECH's agreement letter for Estimated Costs for Construction Inspection and Testing Services, Project 7267/2, dated July 8, 1992, which is made a part hereof. 4. CLIENT will be invoiced monthly, as the PROFESSIONAL SERVICES are performed, unless otherwise provided by this agreement. Each invoiced amount shall be due and payable upon receipt. Interest on past due balances shall accrue at the rate of one and one-half percent (1 1/2 %) per month (but not exceeding the maximum rate allowed by law), payments thereafter received to be applied first to accrued interest and then to principal amount. 5. Any change order or additional work to be performed by TERRA TECH in connection with the PROJECT shall be effected by execution of a SUPPLEMENTAL AGREEMENT FOR PROFESSIONAL SERVICES which, except to the extent that this agreement is expressly modified, shall be governed by each and every term of this agreement. 6. TERRATECH's liability for damages arising from any claimed error, omission, or other professional negligence shall be limited to twenty-five thousand dollars ($25,000.00) or the fee to be paid by CLIENT, whichever is less. At CLIENT'S election, TERRATECH will waive this limitation on its liability in consideration of the payment by CLIENT to TERRATECH of the greater of five hundred dollars ($500.00) or ten percent or (10%) of the charges billed in connection with the PROJECT. CLIENT's fee for such waiver, in the sum of Not Applicable . Shall be payable in full within seven (7) days after the execution of this agreement; failure to remit payment within such period shall void CLIENT's election to purchase such waiver. IF CLIENT ELECTS TO PURCHASE SUCH WAIVER OF LIMITATION OF LIABILITY, CLIENT SHOULD SO INDICATE BY INITIALLING HERE: 7. TERRATECH shall perform its PROFESSIONAL SERVICES hereunder in accordance with generally accepted professional practice in its fields of specialty. No other warranty or representation, either express or implied, is included or intended in our proposal, agreements, or reports. 8. In the event that CLIENT requests termination of TERRATECH's PROFESSIONAL SERVICES prior to completion thereof under this agreement, TERRATECH reserves the right to complete such analyses, records and reports as may be necessary to place its file in order and to protect its reputation for professional competence. All files, drawings, samples and reports shall remain the property of TERRATECH, in TERRATECH's discretion, until TERRATECH has received payment in full for its PROFESSIONAL SERVICES. 9. TERRATECH will diligently proceed to complete the PROFESSIONAL SERVICES described in this agreement in a timely manner. Dear Mr. CernollJ:' Cn.t......I/U~"'. Thank you for expressing interest in Terratech's Construction Inspection and Testing Services for the Expansion of Gilroy City Hall project. As requested, we have prepared this agreement to provide these services. TERRATECH will perform the scope of work listed in support of and under the direction of your designated staff representatives. We will perform this work with certified and experienced personnel fully equipped to perform the required tests and services. All work will be done in accordance with project plans and specifications, and in accordance with the requirements outlined in Section 306 of the Uniform Building Code. SCOPE OF WORK The scope of our work will be limited to the following: 1. Observe and advise during demolition, site clearing and stripping, and subexcavation within building areas. 2. Test and advise on acceptability of proposed import fill, prior to delivery to site. 3. Observe, test and advise during subgrade preparation, and placement of structural fill in all areas where reprocessing will be carried out, and/or new imported fill will be placed. 4. Observe and advise on building foundation excavations. 5. Perform special inspections and tests per UBC Section 306 and the general notes in the project plans and specifications for the following: A. Review concrete mix designs. B. Reinforced concrete for footings, piers and slabs. This would i ncl ude inspection of steel rei nforcement, conti nuou-s inspection during placement of concrete, concrete field sampling and testing, and laboratory compression strength testing of concrete cylinders. C. Structural steel shop and field welding. D. Installation and pull-out tests of epoxy anchors. ESTIMATED FEES TERRATECH will provide the specified testing and inspection services on a time and materials basis in accordance with the appended Fee Schedule{s} modified for discount in the following manner: 1. No daily minimum charges will be used. The client will be billed only for time spent on the job site, and for nominal charges for time spent by supervisory personnel in scheduling inspectors, engineering reviews and charges for preparation of required documentation. 3. A 5% discount on all invoice amounts will be extended for prompt {30 day net} payment. As you are aware, the testing laboratory's involvement in a project such as this is directly influenced by the contractor's and sub-contractors' methods, scheduling and performance. Our involvement will be further influenced by the supplier's deliverables, the client's project manager's requests and the contractor/designer change order process. Therefore it is impossible for us to absolutely identify our scope and costs on a guarantee not to exceed basis without built-in contingency charges which are not in the client's financial interest. TERRATECH submits the following fee scenario for the purpose of this estimated cost agreement and the client's project budgeting.
