MEMORANDUM OF TERMINATION OF AGREEMENT FOR CHARITABLE TRANSFER
OF LAND TO CITY OF GILROY AND AGREEMENT OF PURCHASE AND SALE
1. This Memorandum of Termination of Agreement for Charitable Transfer of
Land to City of Gilroy and Agreement of Purchase and Sale ("Memorandum") is entered into
,~ between Day Ranch, a Partnership (hereafter referred to as "Donor") and City of Gilroy, a
municipal corporation (hereafter referred to as "City"),
2. On June 20, 1996, Donor and City caused to be recorded as document number
13339181 in the Official Records of Santa Clara County, California, a Memorandum of
Agreement for Charitable Transfer of Land to City of Gilroy and Agreement of Purchase Sale (the
"Original Memorandum") in connection with certain real property located in Santa Clara County,
California and more particularly described on Exhibit "A" attached hereto. The Agreement for
Charitable Transfer of Land to City of Gilroy and Agreement of Purchase and Sale referenced in
the Original Memorandum has been terminated by Donor and City pursuant to that certain
Termination of Agreement for Charitable Transfer of Land to City of Gilroy and Agreement of
Purchase dated as of February 27, 1998 (the "Termination Agreement"), the terms and conditions
of which are made a part of this Memorandum by this reference.

3. This Memorandum is prepared for the purpose of recordation, and it in no way
modifies the provisions of the Termination Agreement referenced in Section 2 of this
Memorandum above.
