GRANT OF EASEMENT
Santa Clara Valley Transportation Authority, a Public Agency of the State of California
(hereinafter referred to as "Grantor") does hereby grant to the City of Gilroy, a Municipal Agency
of the State of California (hereinafter referred to as "Grantee") an non-exclusive easement on,
over and through the real property situated in the City of Gilroy, County of Santa Clara, State of
California described on Exhibit A and delineated on Exhibit A-I and Exhibit B and delineated on
B1, both of which are attached hereto and made a part hereof.
This easement is for the use of the Grantee to install, construct, maintain, operate and repair
traffic signals and streetscape improvements.
Grantee agrees to indemnify and defend Grantor from any loss, claim or liability to Grantor
arising in any manner out of Grantee's use of the easement. Grantee shall be liable for its own
negligence and that of its agents, independent contractors, and employees in the installation
construction, inspection, maintenance, operation and repair of the traffic signals and streetscape
improvements within the easement pursuant to the Agreement. Grantee assumes all risk arising
out of its use of the easement
The respective rights, covenants and conditions contained herein shall insure to the benefit of and
be binding upon the respective heirs, successors and assigns to the parties hereto.

All that real property situated in the City of Gilroy, County of Santa Clara, State of California,
being a portion of that certain parcel of land described in the deed to the Santa Clara County
Transit District (SCCTD) filed for record December 30, 1991, in Book L985, Page 1256 (L985
OR 1256), Official Records of Santa Clara County, California, said properties being described as
follows:
PARCEL ONE
Commencing at the most southerly comer of said SCCTD parcel (L985 OR 1256), said point
lying at the intersection of the easterly line of Monterey Street (88.00 feet wide) with the
northerly line of Ninth Street (60.00 feet wide); thence along said easterly line of Monterey
Street North 20000'00" West 480.21 feet to the POINT OF BEGINNING ofthis description;
thence leaving said easterly line, North 03052'14" West 5.59 feet to the beginning ofa tangent

LEGAL DESCRIPTION
All that real property situated in the City of Gilroy, County of Santa Clara, State of
California, being a portion of the land described in the deed to the Santa Clara County
Transit District (SCCTD) recorded on December 30,1991 in Book L985 of Official
Records at Page 1256, Santa Clara County Records, being a strip of land the uniform
width of 16.00 feet lying 8.00 feet on either side of the following described line.
COMMENCING at the most southerly corner of said deed recorded December 30,
1991, said point lying at the intersection of the easterly line of Monterey Street (88.00
feet wide) with north line of Ninth Street (60.00 feet wide); thence along the easterly line
of Monterey Street North 20000'00" West 473.96 feet to the POINT OF BEGINNING;
thence leaving last said line North 39002'45" East 54.00 feet to the point of termination of
said strip, containing 864 square feet (0.020 acres), more or less. The sidelines of said
