FOR A VALUABLE CONSIDERATION, receipt of which is hereby acknowledged,
CONAGRA FOODS INC., a Delaware corporation, ("Grantor"), hereby GRANTS to the CITY
OF GILROY, a municipal corporation ("Grantee"), a thirty foot (30') wide non-exclusive public
service easement (the "Easement") for the purpose of constructing, reconstructing, repairing,
maintaining and operating pipeline(s) for the conveyance of water and sewer under that strip of
land more particularly described on Exhibit A attached hereto. The Easement shall be kept open
and free from buildings and structures of any kind, except private utility structures, driveways,
and fences.
IN WITNESS WHEREOF, Grantor has executed this Easement Grant Deed as of
September 10, 2001.

This is to certify that the interest in real property conveyed by the easement grant deed
dated September 10, 2001 from CONAGRA FOODS, INC. a Delaware corporation, to the City
of Gilroy, a municipal corporation of the State of California, is hereby accepted by the
undersigned officer or agent on behalf of the City of Gilroy pursuant to authority conferred by
Resolution No. 99-90 of the City of Gilroy adopted December 20, 1999, a certified copy of which
