Authority a. This contract is entered into pursuant to Health and Safety Code Sections 50661.5, 50661.7 and 50671.5 (added by Chapter 4, Stats. 1989) which established the California Natural Disas'er Assistance Program ("CALDAP-R" or the "Programj to provide financial assistance in the form of residential rehabilitation loans to owners oC rental housing ("rental propertiesj damaged or destroyed by a natural disaster. (All future code rererences are to the Health and Safety Code, unless otherwise noted.) b. The Department of Housing and Community Devdoprnent (hereinafter the "Departmentj is charged with administering the Program and has adopted Guidelines Cor Rental Property Rehabilitation Loans (the "Guidelinesj under the Program. The Guidelines govern the rates, terms and conditions of loans and implement other requirements of the Pro~ram. The Guidelines are hereby incorporated by reference as part of this Standard Agrcement ("Agreementj. Contractor agrees to abide by and comply with said Guidelines as amended Crom time to time by the Department. The Contractor agrees to indemnify, defend and save harmless the State, its officers, agents and employees from any and all claims and losses accruing or resulting to any and all contractors, subcontractors, materialmen, laborers and any other person, firm or corporation furnishing or supplying work, services, materials or supplies in connection with the performance of this contract, and from any and all claims and losses accruing or resulting to any person, firm or corporation who may be injured or damaged by the contractor in the performance of this contract. 2. The contractor, and the agents and employees of Contractor, in the performance of this agreement, shall act in an independent capacity and not as officers or employees or agents of State of California. I 3. The State may terminate this agreement and be relieved of the payment of any consideration to Contractor should Contractor fail to perform the covenants herein contained at the time and in the manner herein provided. In the event of such termination the State may proceed with the work in any manner deemed proper by the State. The cost to the State shall be deducted from any sum due the Contractor under this agreement, and the balance, if any, shall be paid the Contractor upon demand. 4. Without the written consent of the State, this agreement is not assignable by Contractor either in whole or in part. 5. Time is of the essence in this agreement. 6. No alteration or variation of the terms of this contract shall be valid unless made in writing and signed by the parties hereto, and no oral understanding or agreement not incorporated herein, shall be binding on any of the parties hereto. 7. The consideration to be paid Contractor, as provided herein, shall be in compensation for all of Contractor's expenses incurred in the performance hereof, including travel and per diem, unless otherwise expressly so provided. Contractor agrees to utilize funds received hereunder for the purposes and in accordance with terms stated herein. Contractor warrants and agrees that all statements, assertions and assurances contained in Contractor's application for funding commitment are substantially true and correct. b. The statute (Section 50671.5) provides that the special conditions for loans set forth therein shall prevail over conflicting provisions of Chapter 6.5 and the current Regulations promulgated thereunder. The Program is thus governed by Section 50671.5 and the Guidelines issued therefore as they may be amended from time to time by the Department. Compliance with the Guidelines and the terms of this Agreement shall be deemed compliance with the Program requirements. Any question of a conflict between the requirements of Section 50671.5 and the Guidelines, and the provisions of Chapter 6.5 not resolved by the Guidelines or this Standard Agreement shall be decided by the Department at its sole discretion. Contractor agrees to seek the assistance and guidance of the Department in resolving such questions. 9. Funding Commitment a. Upon receipt of a certified resolution authorizing this Agreement and the proper execution of the appropriate security instruments and other documents required by the Department, the Department agrees to disburse funds to the Contractor or its authorized agent subject to fund availability and approval of applications for individual loans and administrative grants. b. The Contractor agrees to use and disburse said funds only for the approved, eligIble purposes set forth in the Program Guidelines and this Agreement. c. Funds will be encumbered and disbursed in accordance with the following procedures: (i) Loan packages are accepted on a first come-first served basis. Notification of receipt will be sent to the Contractor after initial staff assessment of the loan package. Any deficiencies in the loan package will be noted. ( ( Contractor: Ci ty of GiJroy Contract No. 89-CDAP-RL-OIO Page 4 of 14 (ii) Loan applications found to be eligtble and substantially complete will have the requested funds reserved for a maximum of 30 calendar days from the date on the Contractor Notification Letter. Contractor will have 30 calendar days to submit all loan documentation required, as noted in the Contractor Notification Letter. (ill) If the loan package is fully completed within the 3D-day period, the approved loan amount will be encumbered. The Request for Funds , and the Amendment to this Agreement reflecting the encumbered amount will be executed and funds disbursed as appropriate. (iv) If the loan package remains incomplete or deficient after the 3D-day period has expired, the loan fund reservation will expire. Contractor will be notified in writing by the Department of the expiration of fund reservation. The loan fIle will be inactivated by the Department. If, after expiration, the Contractor submits all required loan documentation needed for loan approval, the loan funds will be reserved for an additional 3D-day period if there are unreserved funds available. If there are no funds available at the time the additional documentation is submitted, the funds cannot be reserved until additional funds become available. (v) Department will notify the Contractor on a regular basis of available fund balances. \Vhen available funds are expended, the Department will notify Contractor and may refuse to accept further loan applications. 10. Term a. The effective date of this Agreement is the date of approval and execution by the Department. b. The Contractor agrees to complete performance of its obligations under this Agreement within three years of effective date. c. This Agreement shall terminate no later than five years from effective date, unless terminated sooner pursuant to the terms of this Agreement provided that in all cases, the Contractor shall continue to be bound by all the terms and conditions hereof until all Borrower's loan files are delivered to the Department. File shall be delivered to the Department within fifteen (15) days of the filing of the Notice of Completion. ( ( Contractor: City of Gil roy Contract No. 89-CDAP-RL-OlO Page 5 of 14 11. Terms of CALDAP-R Loans to Borrowers a. Loans shall be limited to the amount necessary to cover the cost of meeting rehabilitation standards which cannot be financed by a combination of funds otherwise available to Borrower. b. Loans shall bear simple interest at the rate of three (3) percent per annum on the principal balance from the time of disbursal by the Contractor until repayment. ' c. No payment of principal or interest shall be required until the end of the loan term. Borrower may repay the entire amount of the loan earlier at Borrower's discretion with no penalty for prepayment. All rental and occupancy restrictions will remain in effect through the original or extended loan term regardless of prepayment. d. The Borrower receiving CALDAP-R loan funds shall agree, prior to receiving funds, to limit rents and rent increases and to abide by the occupancy restrictions set forth in the Program Guidelines for the full term of the loan. Said requirements shall be set forth in the Regulatory Agreement between the Borrower and the Department. e. If the ownership of property with assisted rental units is transferred, the transferee may assume the loan with the prior written approval of the Department. In all cases, the transferee shall take the property subject to the restrictions of the Regulatory Agreement. 12. Loan .Package a. Prior to advancing funds to or on behalf of Borrower pursuant to this Agreement, the Contractor shall, for each loan approved, require the Borrower to: (i) Prepare and submit a loan application package containing such information and documentation as the Department and the Contractor may reasonably require. (ii) Execute and deliver a promissory note, payable to the Department, evidencing the obligation of the Borrower to repay the amount of the loan, and a deed of trust, with the Department as beneficiary, securing ( ( Contractor: City of Gil roy Contract No. 89-CDAP-RL-010 Page 6 of 14 said note. The note and deed of trust shall be in a form prescribed or approved by the Department and shall contain terms and conditions consistent with the Program requirements. (ill) Execute a Rehabilitation Loan Agreement with Contractor and a Regulatory Agreement with the Department, in a form approved by the Department, providing for the proper use of Program funds and compliance with Program requirements, including restrictions on rent and occupancy as provided herein and in the Guidelines. (iv) Obtain, at the expense. of either the Borrower or Contractor, a Preliminary Title Report or acceptable alternative and, where required by the Guidelines, a title insurance policy for the secured property, insuring the Department's interest as lender in said property. (v) Provide evidence of fire and extended coverage insurance meeting the requirements of the Guidelines. b. With the specific, prior, written approval of the Department, Contractor may allow Borrower to provide property other than the assisted rental property as collateral or security for the loan. In such case, Contractor shall ensure that such alternative security is sufficient in form and value to protect the interests of the Department. c. Prior to advancing funds received pursuant to this Agreement, the Contractor shall for each loan: (i) Ensure that all required documents are properly completed and executed; the Regulatory Agreement, the Deed of Trust and a Request for Notice of Default and Sale, and any other documents required under the Guidelines are properly recorded. (ii) Ensure that the total amount of existing epcumbrances plus the encumbrances proposed to finance the rehabilitation, including the CALDAP-R loan, shall not exceed the loan-to-value ratios established in the Guidelines using the procedures set forth therein. An appraisal on the property shall be prepared in accordance with the Guidelines. (iii) Where required by law, provide a Truth-in-Lending Disclosure Statement approved by the Department to the Borrower. ( ( Contractor: Contract No. Page 7 of 14 Ci ty of Gil roy 89-CDAP-RL-OIO 13. Accounts a. The Contractor agrees to establish a California Natural Disaster Assistance Program Loan Account in an institution with deposits insured by the federal or the state government which shall be maintained as long as the Local Agency retains or anticipates receiving funds under this Agreement (the "Account"). b. The Contractor agrees to deposit all funds received under this Agreement and any amendments thereto in a segregated Account. . c. The Contractor further agrees to maintain records that accurately and fully show the date, amount, purpose, and payee of all expenditures from the Account. d. The Contractor shall utilize a system by which all expenditures from said account will be authorized and documented. e. The Contractor shall allow the Department to have reasonable access to and the right of inspecting all records that pertain to the account and agrees to submit to an independent audit, if this should be requested by the Department at the expense of the Contractor. f. The Contractor shall adopt accounting procedures in order to ensure that Contractor's disbursals are properly expended by or on behalf of the Borrower including establishing on-site inspections of rehabilitation and repairs, disbursing progress payments to Borrowers and contractors, and incorporating other procedures commonly used by a reasonable and prudent lender. g. Contractor agrees to retain the above-mentioned records for a period of three years after the termination of this agreement and to permit the Department to inspect those records. 14, Reguests for Disbursals of Funds a. For each disbursal of funds from the Department, the Contractor shall submit, in duplicate and in a form determined by the Department, a written Request for Funds and to attach to said request any documents required by the Department. ( ( Contractor: City of Gil roy Contract No. 89-CDAP-RL-OIO Page 8 of 14 b. The Contractor shall submit said request so as to be received by the Department prior to the Comractor's need for the funds. All requests shall be signed and dated by the contractor's authorized signa tor. c. Contractor is authorized to designate in writing a third party including an escrow holder or a Borrower of CALDAP-R funds, as payee for any fund disbursement hereunder, provided however, that such designation shall not relieve Contractor of its responsibility to ensure proper use of funds. d. Contractor is authorized to designate in writing a subcontractor as payee for all or any portion of Contractor grant funds, provided however, that such action shall not relieve Contractor of its responsibility to insure proper use of the funds. e. The Contractor shall request prior written approval from the Department for changes to any fund disbursement for Borrower previously approved by the Department. f. Contractor agrees to abide by any escrow instructions or other such directives issued by the Department with respect to fund disbursement. g. Any loan funds disbursed to Contractor and not loaned to or on behalf of the Borrower within three months after disbursal to the Contractor, shall be repaid to the Department, with interest earned, upon demand. 15. General Terms of Use of Funds a. The Contractor shall only approve loans to Borrowers who own an "eligtble property" as defined in the Guidelines. h. CALDAP-R loan funds shall be utilized only to the extent that other federal, state, or private lending institution resources are not available or do not provide sufficient assistance or coverage needed to rehabilitate or reconstruct the rental property. To the extent feasible, CALDAP-R funds shall be used in conjunction with federal, state, or other funds available for similar purposes. c. CALDAP-R loan funds, not including administrative funds, shall be used only for actual approved eligible rehabilitation and related costs as specified in the Guidelines for eligtble rental properties damaged or destroyed by the (- ( Contractor: City of G il ro y Contract No. 89-COAP-RL-OIO Page 9 of 14 natural disaster and shall not be used for governmental administrative costs, personal property, overhead costs, costs of collection or foreclosure, or other costs not eligible pursuant to the Guidelines. d. The Contractor agrees to minimize the impact of physical rehabilitation activities on tenants in a rental property to the extent feasible. To the extent feasible and where necessary to minimize displacement of tenants, rehabilitation activities shall include phased repairs, temporary or permanent relocation, or other similar measures as required by Government Code Section 7265.3. e. The Contractor agrees not to discriminate or permit discrimination on account of race, color, religion, ancestry, sex, age, national origin, marital status, and mental or physical handicap in accordance with local, state, and federal laws governing and restricting discrimination or requiring affirmative action. f. The Contractor agrees not to discriminate in the use of CALDAP-R funds due, in whole or in part, to the considerations, characteristics, or trends in the neighborhood surrounding the property to be rehabilitated unless the Contractor can demonstrate that such consideration in the particular case is required to avoid an unsafe and unsound business practice. The Contractor also agrees to comply with applicable truth-in-Iending disclosure requirements. g. Properties rehabilitated with loans pursuant to this Agreement must be located within the jurisdictional boundaries of Contractor or within the jurisdiction of a city, county or city and county which has approved Contractor's rehabilitation and lending activities within its boundaries. AU properties rehabilitated with CALDAP-R loans must be located in counties included in the proclamation establishing a state of emergency as a result of tbe natural disaster. h. No more than one CALDAP-R loan shall be made for anyone eligible property. 1. The Contractor agrees to follow procedures established by the Department to prevent CALDAP-R loan proceeds from being used to fund repairs or rehabilitation costs already paid for by another federal, state, local, or private institutional lending source of funds, and to certify in each request for funds to the best of its knowledge that no CALDAP-R loan funds have been or will be used to duplicate the benefits provided by any other funding entity. ( ( Contractor: City of Gil roy Contract No. 89-CDAP-RL-010 Page 10 of 14 j. Prior to making a loan commitment to a Borrower, Contractor shall fOIWard the loan application and loan document package to the Department for approval unless Contractor has received written permission from the Department to fund loans below a designated amount without the Department's prior review of the loan package. k. The Department reserves the right to withdraw, in writing, the Contractor's authority to approve loans without the Department's prior approval, based upon substandard performance by the Contractor in originating loans. Substandard performance shall include, but not be limited to: approval of loan funds for ineligible costs; improper or faulty origination, preparation or recording of loan documents; failure to keep or maintain adequate records; and apprO\'31 of loans to ineligible Borrowers, or on ineligible properties. l. Contractor shall not approve or permit program loans to be assumed, renewed, subordinated or refinanced without prior written approval by the Department. 16. Rehabilitation Construction Activities a. The Contractor shall require all building contractors performing rehabilitation and construction work financed under this Agreement to be licensed in accordance with applicable California law. b. Contractor shall periodically inspect the property to be rehabilitated to ensure proper code compliance and construction work performance. Contractor shall require correction of all work found by inspections not to conform to the applicable requirements and to withhold payments to the building contractor or subcontractor until it is so corrected. c. Within ten (10) days of completion of rehabilitation, Contractor shall require that the Borrower execute and record a Notice of Completion. 17. Administrative Grants a. Department shall provide the Contractor with administrative grant funds to be applied toward the Contractor's administrative expenses incurred in connection with operating the Program. Contractor shall apply and utilize administrative grant funds in accordance with the Guidelines and this Agreement. ,( ( Contractor: Ci ty of Gil roy Contract No. 89-CDAP-RL-OlO Page 11 of 14 b. The Department may disburse approved administrative grant funds together with loan funds at the time of a loan fund disbursement. c. The Contractor shall report on the use of administrative grant funds as required by the Department. d. Grant funds disbursed' to a Contractor in conjunction with a loan disbursement on behalf of a Borrower shan be repaid to the Department, upon request by the Department, if the loan funds are subject to the provisions of paragraph 14.g. 18. Tenant Relocation a. Contractor shall determine the eligtbility of tenants for relocation assistance payments, and shan make such payments, in accordance with standards and procedures set forth in the Guidelines. 19. Breach and Default a. The occurrence of one or more of the following shall constitute a breach by Contractor of this Agreement: (i) The violation by Contractor of any of the provisions of this Agreement or the Guidelines. (ii) Contractor's inability or failure to proceed with the Program in a timely fashion as evidenced by Contractor's failure to obtain approved loans within the timeframes set forth herein. (ill) Contractor's inability or failure to maintain adequate books, records or documentation as to permit the Department to determine Contractor's performance under this Agreement and its compliance with Program requirements. (iv) Contractor's inability or failure to provide adequate and sufficient fiscal controls over the use of Program funds to ensure compliance with Program requirements. b. Upon the event of breach, the Department shall notify Contractor specifying: (1) the nature of the breach, (2) the actions by Contractor required to ( ( Contractor: City af Gi 1 ray Contract No. 89-COAP-RL-010 Page 12 of 14 remedy the breach, and (3) the time period, not less than fifteen days from the date of mailing, in which Contractor shall remedy the breach. c. If Contractor fails or refuses to remedy the breach as specified in the notice the Department may, without further notice to Contractor, declare a default under this Agreement and thereafter the Department may, at its sole discretion, do any or all of the following: (i) Withhold any further advances of Program funds hereunder; (ii) Demand, and be entitled to, the return of any Program funds held by or in the control of Contractor; (ill) Terminate this Agreement and be relieved of any obligations hereunder; and (iv) Seek any other remedy legal or equitable available under law. 20. Reporting a. Unless and until a longer period is specified by the Department or until such time as all funds have been loaned to Borrowers pursuant to this Agreement, every month from the effective date of this Agreement, Contractor agrees to submit to the Department a report that details the progress made with respect to each Borrower on lending and rehabilitation activities to date; the amount of loan funds the Contractor is likely to request during the next three (3) months; any problems the Contractor is experiencing in Program activities; any technical assistance the Contractor needs to accelerate or improve the Program; and any other Program information that may be required by the Department. The Department shall provide the Contractor with the format for the reports. b. At least once .each year while the term of this Agreement is in effect, in a form and at a time provided for by the Department, the Contractor shall provide such information requested by the Department with respect to summarizing all rehabilitation activities so as to assure compliance with this Agreement. c. Contractor agrees to grant the Department permission and to obtain Borrower's permission to enter and inspect properties subject to this {- (' Contractor: Contract No. Page 13 of 14 Citv of Gil roy 89-CDAP-RL-01O Agreement and to inspect all records of the Contractor relating to compliance with this Agreement. d. Contractor shall retain originals of all records related to use of CALDAP- R funds. All records shall be retained until delivered to the Department and shall be made available upon request for inspection or audit by the Department Copies or records shall be forwarded to the Department when required. 21. Governmental Oearance a. Contractor shall ensure compliance with local, state, or federal laws, ordinances, and regulations applicable to proposed loans, rehabilitation, and use of rehabilitated dwellings, including zoning ordinances, building codes, planning, historic preservation, environmental, and relocation regulations. b. To the extent necessary, the Contractor shall satisfy the Department that all of the requirements of the California Environmental Quality Act have been fulfilled and that appropriate permits from the California Coastal Commission have been obtained when required on local rehabilitation acti\;ties. 22. Technical Assistance In the event the Contractor experiences difficulty in progressing with the rehabilitation activities approved by the Department, the Contractor agrees to notify the Department promptly of the difficulty and to accept whatever technical assistance the Department may, at its option, be able to provide. 23. Nondiscrimination Gause a. During the performance of this contract, contractor and its subcontractors shall not unlawfully discriminate against any employee or a flplicant for employment because of race, religion, color, national origin, ancestry, physical handicap, medical condition, marital status, age (over 40) or sex. Contractors and subcontractors shall insure that the evaluation and treatment of their employees and applicants for employment are free of such discrimination. Contractors and subcontractors shall comply with the provisions of the Fair Employment and Housing Act (Government Code, Section ]2900 et seq.) and the applicable regulations promulgated thereunder (California Administrative Code, Title 2, Section 7285.0 et seq.). The applicable regulations of the Fair Employment and Housing Commission implementing ( c Contractor: City of Gi 1 ray Contract No. 89-CDAP-RL-010 Page 14 of 14 Government Code, Section 12990, set forth in Chapter 5 of Division 4 of Title 2 of the California Administrative Code are incorporated into this contract by reference and made a part hereof as if set forth in full, Contractor and its subcontractors shall give written notice of their obligations under this clause to labor organizations with which they have a collective bargaining or other agreement. b. This contractor shall include the nondiscrimination and compliance provisions of this clause in all subcontracts to perform work under the contract. 24. Contract Manager The State Contract Manager for this Agreement is the California Natural Disaster Assistance Program-Re'\tal Manager, Division of Community Affairs. Any notice, report or other communication required by this Agreement shall be mailed by first class mail to: Mary C. Amendment This Agreement may be amended in writing, upon the mutual written agreement of both parties. However, such amendment shall not take effect until approved by the Department and may not have retroactive effect. 26. CDAPR.SA SERVICE AGREEMENT FOR CALIFORNIA NATURAL DISASTER ASSISTANCE PROGRAM (CALDAP-O) THIS AGREEMENT is entered April , 1990, by CITY OF GILROY, (hereinafter "Agency"); (hereinafter "NTA"); and UNITED STATES "USE"). into as of the lOth day of and between the NILSEN TRUDEAU ASSOCIATES ESCROW, INC. (hereinafter WIT N E SSE T H WHEREAS, Agency has entered into an Agreement with the California Department of Housing and Community Development ("Department"), to directly administer the California Natural Disaster Assistance Program ("Program") to homeowners and/or owners of rental housing whose properties were damaged as a result of the October 17, 1989, Lorna-Prieta Earthquake and subsequent aftershocks; and WHEREAS, Agency agrees to follow Department guidelines established pursuant to sections 50661.5, 50661.7, and 50671.5 of the California Health and Safety Code; and WHEREAS, Agency desires to engage NTA and USE to render services in connection with loans made under the Program; and WHEREAS, NTA and USE represent that individually each is qualified to provide services under this Agreement; NOW, THEREFORE, THE PARTIES HERETO DO MUTUALLY AGREE AS FOLLOWS: I. COMMITMENTS/RESPONSIBILITIES OF PARTIES TO THIS AGREEMENT A. NILSEN TRUDEAU ASSOCIATES AGREES TO: 1. Initial Inspection, Work Writeup and Cost Estimate a. Set appointments to meet with Program applicants for the purpose of inspecting the damaged dwellings. b. The payment of costs for outside services ordered by USE (title, credit, appraisal, mortgage verification) on behalf of Program applicants who are denied or reject a CALDAP loan, shall remain the responsibility of the Agency. It is understood by NTA and USE that fees for services rendered shall be paid from administrative grants received by Agency from Department at the time individual Program loans are funded. III. ADDITIONAL TERMS During the performance of this Agreement, Agency, NTA and USE individually agree as follows: A. INDEPENDENT CONTRACTOR STATUS NTA and USE agree individually to provide those services for which each is designated as responsible as set forth in section I, A and B. In providing such services, Agency agrees that each is an independent contractor of Agency and nothing herein shall affect such independent contractor status. Both NTA and USE shall be directly responsible to Agency only for their own per.formance under the terms of this Agreement and neither shall be held liable for the acts of the other. B. INDEMNIFICATION BY NTA AND USE NTA and USE individually shall indemnify, defend and hold harmless each other and Agency, of and from any claim, liability, judgements, costs, and demands arising as a result of loss, demand, penalty, fine, forfeiture, reasonable attorney fees, damage, or expense sustained due to the failure to perform commitments and/or responsibilities under the terms of this Agreement, provided that such indemnification shall not extend to any loss incurred by errors, omissions or inconsistencies in guidelines supplied by Agency to NTA or USE. 5 C. INDEMNIFICATION BY AGENCY Agency shall indemnify and hold harmless both NTA and USE and/or its agents, against all claims and damages of whatsoever nature, arising out of Agency's instructions, written or verbal, regarding rehabilitation work or administrative services; reliance of NTA and USE upon any authentic instruction or notice; the performance or non- performance of both the borrower(s) and licensed contractor(s) under the Program whose actions could not reasonably have been monitored. NTA and USE are not responsible for loss or liability which Agency incurs under the Program which is caused by fraudulent acts of borrowers, licensed contractors, or any third party not an agent or employee of NTA or USE. Agency's obligation under this paragraph shall not extend to negligent or willful acts of omission by NTA and USE. D. REPRESENTATIONS As an inducement to the execution of this Agreement by the Agency, NTA and USE individually represent that each has, and will continue to have, adequate and proper facilities and personnel to perform the services and work agreed to be performed by each hereunder, that each party is duly qualified by law to perform such services and work, and that each has not employed any person to solicit or procure this Agreement, and has not made, and will not make, any payment or any agreement for the payment of any commission, percentage, brokerage, contingent fee or other compensation in connection with the procurement of this Agreement. F. CONFLICT OF INTEREST No officer or employee of the Agency shall have any personal interest, direct or indirect, in this Agreement nor shall any such officer or employee participate in any decision relating to the Agreement which effects his personal interest or the interest of any corporation, partnership or association in which he is, directly or indirectly, interested, in violation of any State statute or regulation. 6 G. NONDISCRIMINATION AND EQUAL OPPORTUNITY NTA and USE shall not discriminate against any employee or applicant for employment because of their race, religious creed, color, national origin, ancestry, physical handicap, medical condition, marital status, or sex. NTA and USE will take affirmative action to ensure that the applicants are employed, and that employees are treated during employment without regard to their race, religious creed, color, national origin, ancestry, physical handicap, medical condition, marital status, or sex. Such action shall include, but not be limited to, the following: employment, upgrading, demotion or transfer, recruitment or recruitment advertising, layoff or termination, rates of payor other forms of compensation and selection for training, including apprenticeship. H. SOLICITATIONS FOR EMPLOYEES NTA and USE will, in all solicitations or advertisements for employees placed by or on behalf of NTA or USE, state that all qualified applicants will receive consideration for employment without regard to race, religious creed, color, national origin, ancestry, physical handicap, medical condition, marital status, or sex. I. SUBCONTRACTS NTA and USE will cause the foregoing provlslons to be inserted in all subcontracts for any work covered by this Agreement so that such provisions will be binding upon each subcontractor, provided that the foregoing provisions shall not apply to contracts or subcontracts for standard commercial supplies or raw materials. J. COMPLIANCE TO APPLICABLE STATUTES, REGULATIONS, ORDINANCES, AND DEPARTMENT GUIDELINES Each party to this Agreement, in performing their respective duties, shall comply with all applicable statutes, regulations, ordinances and Department guidelines including the Federal Truth in Lending Act and Regulation Z thereto; the Real Estate Settlement Procedures Act as amended; the Freedom of Information Act; the Equal Credit Opportunity Act and Regulation B thereto; Title VI of the civil Rights Act of 1964; and Title VIII of the Civil Rights Act of 1968. 7 K. DISPUTES In the event of any dispute arising under this Agreement, the injured party shall notify the injuring party and the other party in writing of its contentions by submitting a claim therefor. The injured party shall continue performing its obligations hereunder so long as the injuring party commences to cure such default within ten (10) days of service of such notice and completes the cure of such default within forty-five (45) days after service of the notice, or such longer period as may be permitted by the injured party. Compliance with the provisions of the Paragraph shall be a condition precedent to termination of the Agreement for cause and to any legal action, and such compliance shall not be a waiver of any party's right to take legal action in the event that the dispute is not cured, provided that nothing herein shall limit Agency's right to terminate this Agreement without cause pursuant to Section III, M. The default of one party shall not be considered by Agency to be default of the other party. L. TERMINATION FOR CAUSE In the event of default of a condition or provision of this Agreement by NTA or USE, which party having been served notice as stipulated in section III, K, continues to remain in default, Agency shall have the right, by prior written notice, to terminate the independent contractor status of the defaulting party hereunder and cancel this Agreement, take over the work called for herein and provide for completion by contract or otherwise, without prejudice to any other rights or remedies of the Agency. The Agency shall have the benefit of such work as may have been completed up to the time of such termination and with respect to any part which shall have been delivered to accepted by the Agency, there shall be an equitable adjustment of compensation. M. TERMINATION WITHOUT CAUSE Irrespective of any default hereunder, the Agency may also, at any time at its discretion, terminate this Agreement, in whole or in part, by giving NTA and/or USE thirty (30) days written notice thereof. In such event, NTA and/or USE shall be entitled to received compensation specified herein with respect to loans approved and funded prior to the date of termination or cancellation. An equitable adjustment shall be made, as compensation to NTA and/or USE, to the date of such termination, for work completed, but not yet delivered to Agency. 8 NTA and/or USE, at its discretion, may terminate its respective portion of the services by giving the Agency one hundred twenty (120) days written notice of said termination. In the event of termination by NTA and/or USE, the terminating party agrees to concientiously continue to provide the required services prior to termination, to turn over all records to the Agency upon termination, and to provide an orderly transition of services to ensure continuation of the Program and timely completion of any projects in progress. NTA and/or USE shall be entitled to compensation for services performed up to the date of termination. N. TERM OF AGREEMENT The term of this Agreement shall commence upon execution of this Agreement by all parties and shall remain in full force and effect concurrent with the Agreement between the Agency and the Department.
