WHEREAS, the City of Gilroy, a municipal corporation ("City'), and RBF Consulting entered
into that certain agreement entitled Agreement For Services, effective on August 28, 2014, hereinafter
referred to as "Original Agreement and
WHEREAS, City and RBF Consulting have determined it is in their mutual interest to amend
certain terms of the Original Agreement.
NOW, THEREFORE. FOR VALUABLE CONSIDERATION, THE PARTIES AGREE AS
FOLLOWS:
I. Article 1, of the Original Agreement shall be amended to extend its term to December 31,
2015.
2. Article 4.A. of the Original Agreement shall be amended to include a total compensation of
S100,748.
3. Exhibit B, Scope of Services of the Original Agreement shall be amended to include the
attached Additional Work Request Summary, prepared by Michael Baker International and dated
February 13, 2105.
3. This Amendment shall be effective on February 20, 2015.
4. Except as expressly modified herein, all of the provisions of the Original Agreement shall
remain in full force and effect. In the case of any inconsistencies between the Original Agreement and
this Amendment, the terms of this Amendment shall control.
5. This Amendment may be executed in counterparts, each of which shall be deemed an original,
but all of which together shall constitute one and the same instrument.

ADDITIONAL WORK REQUEST SUMMARY

Project: Santa Teresa Boulevard Townhouse Project IS /MND

SUMMARY OF ADDITIONAL WORK:
On January 8, 2015, RBF submitted the Public Review IS /MND and TIA to the City for their review /use.
RBF was previously informed by the City (D. Bischoff) the TIA would undergo a third -party peer review
on behalf of the Applicant.
On February 11, 2015, the City informed RBF of their requested revisions to the TIA and IS /MND,
specifically pertaining to revisions to the recommended mitigation measures (D. Bischoff Email
02/11/15). This Scope of Work and Fee Proposal address the additional work to be performed to
incorporate the requested revisions and update the TIA and IS /MND.
Traffic Impact Analysis Revisions
Task 1, Update Mitigation Analysis. RBF will update the analysis of potential mitigation measures per
the City of Gilroy's request and comments. The analysis will evaluate alternative improvements to the
following intersections: First Street (SR -152) / Kelton Street — Project Access; and First Street (SR -152) /
Santa Teresa Boulevard. Because the City has suggested changing traffic control at First Street /Santa
Teresa Boulevard from a signal to a roundabout, this intersection will also need to be added to the
Caltrans Intersection Control Evaluation (ICE), given it is a State - controlled intersection.
Task 2, Update Traffic Impact Analysis Report. RBF will update the Traffic Impact Analysis Report based
on the findings of the mitigation measures analysis performed in Task 1. Task 2 will also include
modifying the project applicant's responsibility for the mitigation measures per the City's comments. A
revised Traffic Impact Analysis Report will be submitted to City of Gilroy staff for their review.
IS /MND Revisions
RBF will revise IS Section 4.15, Transportation /Traffic, for consistency with the Revised TIA described
above. This Task includes preparing new exhibits and updating remainder of IS, including Appendices.
