Hovnanian at Gilroy 60, LLC, a California limited liability company ( "DEVELOPER "). RECITALS: This AGREEMENT is made and entered into with reference to the following facts: A. The CITY is authorized and required to regulate and control the disposition of storm and surface waters as set forth in the CITY's National Pollutant Discharge Elimination System permit. B. The DEVELOPER is developing a certain tract or parcel of land more particularly described in Exhibit "A" attached hereto (the "PROPERTY "). C. The DEVELOPER desires to construct certain improvements of the kind or nature described in the Post Construction Storm Water Pollution Prevention Ordinance, Gilroy City Code Chapter 27D (the "ORDINANCE ") on the PROPERTY that may alter existing stormwater conditions on both the PROPERTY and adjacent lands. D. To minimize adverse impacts due to these anticipated changes in existing storm and surface water flow conditions, the DEVELOPER is required by the CITY to implement Best Management Practices ( "BMPs ") and to build and maintain, at DEVELOPER's expense, stormwater management facilities ( "FACILITIES "), more particularly described and shown in the "Storm Runoff Management Plan" prepared by Caleb A. La Clair, Ruggeri- Jensen -Azar & Associates, dated August 2013, which plans and any amendments thereto, are on file with the Public Works Department of the City of Gilroy, California, and are hereby incorporated by reference. E. The CITY has reviewed and approved the Storm Runoff Management Plan subject to the execution of this AGREEMENT. NOW, THEREFORE, in consideration of the benefit received and to be received by the DEVELOPER, its successors and assigns, as a result of the CITY'S approval of the Stormwater Runoff Management Plan, the DEVELOPER, hereby covenants and agrees with the CITY as follows: Covenants Running With the Land: Property Subiect to Agreement: All of the Initial Covered Property and Annexable Property, as defined in the Declaration of Covenants, Conditions and Restrictions, and Reservations of Easements for Monterey Manor, recorded on July 7, 2014 as Document No. 22638635, in the Office of the Recorder of the County of Santa Clara, State of California, as amended (the "DECLARATION "), shall be subject to this AGREEMENT. The Initial Covered Property and Annexable Property shall be collectively referred to herein as the "PROPERTY ". It is intended and determined that the provisions of this AGREEMENT shall run with the land subject to the DECLARATION or any portion thereof and shall be for the benefit of each owner of any of said parcels or any portion of said PROPERTY and shall inure to the benefit of and be binding upon each successor in interest of the owners thereof. Each and all of the limitations, easements, obligations, covenants, conditions, and restrictions contained herein shall be deemed to be, and shall be construed as equitable servitudes, enforceable by Developer subject to this AGREEMENT against any other owner, tenant or occupant of the said property, or any portion thereof. 2. Responsibility for Installation. Operation and Maintenance: At its sole expense, the DEVELOPER, its successors and assigns, shall construct, operate and perpetually maintain the FACILITIES in strict accordance with the Storm Runoff Management Plan and any amendments thereto that have been approved by the CITY and /or the ORDINANCE. Facility Modifications: At its sole expense, the DEVELOPER, its successors and assigns, shall make such changes or modifications to the FACILITIES as may be determined as reasonably necessary by the CITY to ensure that the FACILITIES are properly maintained and continue to operate as originally designed and approved. DEVELOPER agrees that it shall not modify BMPs and shall not allow BMP maintenance activities to alter the designed function of the FACILITIES from its original design unless approved by the CITY prior to the commencement of the proposed modification or maintenance activity. 4848 - 8399- 0806v2 WAKHARIA104706091 4 Facility Inspections by the CITY At reasonable times and in a reasonable manner as provided in the ORDINANCE, the CITY, its agents, employees and contractors, shall have the right of ingress and egress to the FACILITIES and the right to inspect the FACILITIES in order to ensure that the FACILITIES are being properly maintained, are continuing to perform in an adequate manner and are in compliance with the ORDINANCE, the Storm Runoff Management Plan and any amendments thereto approved by the CITY 5 Failure to Perform Required Facility Repairs or Modifications If the DEVELOPER fails to implement the BMPs, maintain the facilities or correct any defects in the FACILITIES In accordance with the approved design standards and /or the Storm Runoff Management Plan and in accordance with the law and applicable regulations of the ORDINANCE, the authorized enforcement officer, described in Gilroy City Code 27D 2, can give a thirty (30) day written notice to correct the violation If the DEVELOPER fails to correct the violations within the thirty (30) days as specified in the notice of violation, the CITY shall have the right to enter the PROPERTY to abate the nuisance and then recover costs from DEVELOPER pursuant to Gilroy City Code 27D 17 In the event that maintenance or repair is neglected, or the FACILITIES become an Immediate danger to public health or safety, the CITY shall have the authority to perform maintenance and /or repair work with twenty -four (24) hours written notice to DEVELOPER Whenever the CITY completes remedial work or maintenance, the CITY will collect reimbursement for the costs of the work from the DEVELOPER, pursuant to Gilroy City Code 27D 18 The CITY is under no obligation to maintain or repair the BMP, and this Agreement may not be construed to impose any such obligation on the CITY Additionally, conditions from failure to implement the BMPs or to maintain or repair the FACILITIES shall be deemed a public nuisance subject to all procedures, abatement of such conditions and remedies as provided in Chapter 27D of the Gilroy City Code In addition, the CITY may pursue such other remedies as provided by law, including, but not limited to, such civil and criminal remedies set forth in the ORDINANCE 6 Indemnity The DEVELOPER, its successors and assigns, shall defend, indemnify, and hold the CITY harmless of and from any and all claims, liabilities, actions, causes of action, and damages for personal injury and property damage, including without limitation reasonable attorneys' fees or costs and court costs, arising out of or related to the DEVELOPER'S, its successors' and /or assigns' construction, operation or maintenance of the BMPs FACILITIES except claims, liabilities, actions, causes of action, and damages that arise out of the CITY's sole negligence or willful misconduct or the sole negligence or willful misconduct of any of the CITY'S employees, agents, representatives, contractors, vendors, or consultants 7 Obligations and Responsibilities of DEVELOPER Initially, the DEVELOPER is solely responsible for the performance of the obligations required hereunder and, to the extent permitted under applicable law, the payment of any and all fees, fines, and penalties associated with such performance or failure to perform under this AGREEMENT. Notwithstanding any provisions of this AGREEMENT to the contrary, upon the assignment of this Agreement and /or the obligations hereunder ( "ASSIGNMENT ") to the Monterey Manor Community Association ( "ASSOCIATION "), the DEVELOPER shall be released of all of its obligations and responsibilities under this AGREEMENT accruing after the date of such ASSIGNMENT The ASSOCIATION'S maintenance obligations are set forth in DECLARATION 8 Property Transfer Nothing herein shall be construed to prohibit a transfer by the DEVELOPER to subsequent owners and assigns, including the Association Attorneys' Fees In the event that any party institutes legal action against the other to interpret or enforce this AGREEMENT, or to obtain damages for any alleged breach hereof, the prevailing party in such action shall be entitled to reasonable attorneys' fees in addition to all other recoverable costs, expenses and damages 10. Further Documents The parties covenant and agree that they shall execute such further documents and instructions as shall be necessary to fully effectuate the terms and provisions of this AGREEMENT. 4848 - 8399- 0806v2 WAKHARIA104706091 11. Entire Agreement: This AGREEMENT constitutes the entire agreement of the parties with respect to the subject matter contained herein and supersedes all prior agreements, whether written or oral. There are no representations, agreements, arrangements, or undertakings, oral or written that are not fully expresses herein. 12. Severability: In the event any part or provision of this AGREEMENT shall be determined to be invalid or unenforceable under the laws of the State of California, the remaining portions of this AGREEMENT that can be separated for the invalid, unenforceable provisions shall, nevertheless, continue in full force and effect. 13. No Waiver: The waiver of any covenant contained herein shall not be deemed to be a continuing waiver of the same or any other covenant contained herein. 14. Amendment: This AGREEMENT may be amended in whole or in part only by mutual written agreement. Any such amendment shall be recorded in Santa Clara County, California. In the even any conflict arises between the provisions of any such amendment and any of the provisions of any earlier document or documents, the most recently duly executed and recorded amendment shall be controlling. 15. Termination: In the event that the CITY shall determine at its sole discretion at any future time that the FACILITIES are no longer required, then at the written request of the DEVELOPER, its successors and /or assigns, the CITY shall execute a release of this AGREEMENT which the DEVELOPER, it successors and /or assigns, shall record in the Clerk's Office, at its/their expense. 16. Successors and Assigns: The covenants of the DEVELOPER set forth in numbered Sections 1 through 15 above shall run with the land, and the burdens thereof shall be binding upon each and every part of the property and upon the DEVELOPER, its successors and assigns in ownership (or any interest therein), for the benefit of koaStreet and its storm drains and each and every part thereof and said covenants shall inure to the benefit of and be enforceable by the CITY, its successors and assigns in ownership of each and every part of the Street and storm drains. Hovnanian at Gilroy 60, LLC This Landscaping Installation and Maintenance Agreement ( "Agreement ") is made as of I (� , 2014 between K. HOVNANIAN AT GILROY 60, LLC, a California limited liability company ( "Developer ") and the CITY OF GILROY, a municipal corporation ( "City ") with reference to the following facts: WHEREAS, Developer is developing all of that real property in the City of Gilroy, County of Santa Clara, State of California, known as and called: Monterey Manor, Tract 10189, APNs: 799 -33 -048 through 799 -33 -064 (Tract No. 9916), described in the project improvement plans entitled Monterey Manor, Tract 10189, and more particularly described on Exhibit A attached hereto and made a part hereof (the "Property"); and WHEREAS, City adopted Resolution No. 2012 -47 (the "TM Approval "), approving TM 12 -02, a Tentative Map to create sixty (60) single family residential lots on the Property, subject to the Tentative Map Conditions (the "TM Conditions ") and other requirements described therein; and WHEREAS, City adopted Resolution No. 2012 -48 (the "A/S Approval "), approving A/S 12 -02, an application for architectural and site approval of a planned unit development for the 60 lot single family subdivision which is the subject of the TM Approval, subject to conditions of approval and other requirements described therein (the subdivision and project to be built thereon being the "Project "); and WHEREAS, Number 47 of the TM Conditions ( "TM Condition 47 ") requires that before recordation of the final map for the Property, Developer must establish funding for the maintenance of the road side landscaping on the Monterey Road fi-ontage, said landscaping area (the "Frontage Landscape Area ") to include all areas located outside of the Property which are within the public right of way from the back of the curb on Monterey Road, together with Parcels B and C as shown on Tract Map 10189 ( "Parcels B and C ") which are located within the Property; and WHEREAS, this Agreement is entered into to address the Developer's obligations with respect to the Frontage Landscape Area, as contemplated and required by TM Condition 47 and to establish covenants, conditions, obligations and restrictions which run with the land and which bind all persons and entities now or hereafter owning a fee interest in all or any portion of the Property, in accordance with the Declaration of Covenants, Conditions and Restrictions, and Reservations of Easements for Monterey Manor, recorded on July 7, 2014 as Document No. 22638635, in the Office of the Recorder of the County of Santa Clara, State of California, as amended (the "Declaration "). NOW, THEREFORE, FOR VALUABLE CONSIDERATION, THE RECEIPT OF WHICH IS HEREBY ACKNOWLEDGED, THE PARTIES HEREBY AGREE AS FOLLOWS: 4826 - 2681- 7046v5 2 KKSk04706084 Pu se. The purpose of this Agreement is to insure the timely and proper construction and installation of the Landscape Improvements (defined in Section 2 below) on the Frontage Landscape Area in accordance with the Approved Landscape Plans (defined in Section 2 below), and the proper and diligent maintenance of the Landscape Improvements in perpetuity. 2. Landscape Improvements and Approved Landscape Plans. The Landscape Improvements consist of those described in the landscaping plans and specifications identified on Exhibit B attached hereto and made a part hereof (the "Approved Landscape Plans "). Copies of the Approved Landscape Plans are on file with the City in the office of Community Development Department, 7351 Rosanna Street, Gilroy, California 95020. Duty to Construct and Install Landscape Improvements. Developer shall cause all Landscape Improvements to be constructed and installed in a good and workmanlike manner, in accordance with the Approved Landscape Plans, the TM Approval, the A/S Approval and all other applicable federal, state, county, city and other governmental statutes, laws, rules, orders, regulations and ordinances (collectively, "Laws "), at Developer's sole cost and expense. Construction and installation of the Landscape Improvements shall be completed no later than twelve (12) months after this Agreement has been signed by Developer and City. Prior to commencing work, Developer shall obtain all permits required by law for the construction and installation of the Landscape Improvements. All fees for such permits shall be those in effect as of the date of application for such permits. 4. Developer's Duty to Maintain Landscape Improvements. Until Developer assigns its maintenance obligations hereunder to the homeowners association named Monterey Manor Community Association (the "Association") pursuant to the phasing schedule approved by the California Bureau of Real Estate, Developer shall, at its sole cost and expense, diligently maintain and care for, and repair and replace as necessary, the Landscape Improvements. Developer's obligations pursuant to this Section 4 shall include, without limitation, the following: (i) providing sufficient water, fertilizer and other nutrients to the turf and other plants to maintain them in a healthy and thriving condition; (ii) keeping plants trimmed by removing dead wood from trees and shrubs, trimming back foliage which has exceeded the landscape boundaries and shaping plants as necessary, and keeping turf mowed to a height of between two (2) and three (3) inches and trimmed back from edges of hardscape; (iii) pruning and trimming trees and shrubs, as necessary, in such a manner as to prevent interference with sight clearance for pedestrian, bicycle and vehicle traffic on adjacent roadways, walkways and rights of way; (iv) maintaining, repairing and replacing, as needed, the irrigation system serving the landscaping, and obtaining all legally required permits with respect to such work; (v) causing all weeds, trash and debris to be regularly removed fiom the Frontage Landscape Area; (vi) replacing plants which have died back or become unsightly on no less than a monthly basis; and, (vii) paying all costs and expenses for the water and electricity used to irrigate and light the landscaping and Frontage Landscape Area. Without limiting the generality of the foregoing, diligent maintenance and care includes persistent upkeep which employs the standard of care necessary to meet all requirements of applicable local ordinances and regulations and is in accordance with the generally 4826 - 2681- 7046v5 3 KKS104706084 accepted standards for maintenance and care observed by comparable uses located within the City. If and when Developer assigns its obligations hereunder to the Association, the Association's assumption of Developer's obligations shall be perpetual. 5. Insurance; Contractors; Encroachment Permit; Compliance with Laws. Developer shall maintain at all times during the term of this Agreement, and Developer shall require all contractors engaged to perform any work pursuant to this Agreement to maintain at all time during the performance of the work pursuant to this Agreement, policies of insurance in form and amount acceptable to City, including without limitation, (a) commercial general liability insurance, (b) automobile liability insurance, (c) employer's liability insurance, (d) business automobile liability insurance, and (e) worker's compensation insurance. Developer has received a copy of City's current required insurance schedule, which has been approved by Developer and City, and shall be complied with by Developer and the Association, when applicable, at all times. All work required of Developer pursuant to this Agreement shall be performed on behalf of Developer by licensed California contractors reasonably acceptable to City. At all times during the performance of work by Developer pursuant to this Agreement of work within the public right of way, Developer shall obtain from the City and maintain in effect, at Developer's sole cost, an encroachment permit upon terms and conditions reasonably acceptable to the City, to enable Developer to perform the work required within the public right of way. Developer shall, at its sole cost and expense, comply with all applicable Laws in the performance of its obligations pursuant to this Agreement. Thirty (30) days advance written notice must be given to City prior to termination, cancellation or modification of any such insurance policies. The insurance specified above shall name City as an additional insured. Developer hereby waives all rights to recover against City for any loss or damage arising from a cause covered by the insurance required to be carried pursuant to this Agreement or actually carried by Developer in connection with the work described in this Agreement, and will cause each insurer to waive all rights of subrogation against City in connection therewith All policies shall be written on an occurrence basis and not on a claims made basis and shall be issued by insurance companies acceptable to City. Prior to commencing any work pursuant to this Agreement, Developer shall deliver to City the insurance company's certificate evidencing the required coverage, or if required by City a copy of the policies obtained. 6. Licenses and Permits. Developer warrants to City that, except for the encroachment permit, it has all applicable licenses, permits, qualifications and approvals of whatsoever nature which are legally required for Developer to accomplish its obligations under this Agreement. Developer represents and warrants to the City that it shall, at its sole cost and expense, keep in effect at all times during the term of this Agreement any applicable licenses, permits, and approvals which are legally required for Developer to accomplish As obligations. 4826 - 2681- 7046v5 4 KKS104706084 7. Indemnity. To the fullest extent allowed by law, Developer shall indemnify, defend, and hold harmless City, its elected and appointed officials, officers, agents and employees from and against any and all claims, demands, causes of action, liabilities, losses, costs, expense, injuries, damages, judgments, findings, awards, suits and proceedings (including without limitation costs for staff time, copying costs, court costs and attorneys' fees) (collectively, "Claims and Liabilities") arising out of or in connection with: (a) the design, construction or installation of the Landscape Improvements, the performance of Developer's obligations under this Agreement by Developer or their respective agents, employees, contractors or sub - contractors, and/or any breach of any obligation of Developer under this Agreement; and/or (b) any violation or claim of violation of any current law, rule or regulation applicable to any portion or aspect of the Landscape Improvements by Developer or its agents, employees, contractors, or sub - contractors; excepting only Claims and Liabilities caused by the sole negligence or willful misconduct of City, its elected and appointed officials, officers, agents and employees in the performance of their obligations as the elected and appointed officials, agents and employees of City. It is the intent of the parties to this Agreement to provide the broadest possible coverage for the City, its elected and appointed officials, officers, agents and employees. 8. City's Right to Cure Developer's Default. (a) If Developer breaches any of its obligations under Sections 3, 4, 5, 6 or 7, and any breach of each and every material term and condition contained herein the breach is not cured within ten (10) days (or such longer period as may be specified in the Notice of Breach in City's sole and absolute discretion) after the City gives written notice ( "Notice of Breach ") to the Developer of the failure to perform, City shall have the right (but not the obligation), in addition to all other rights available to City under this Agreement, by law, or in equity, to enter upon the Frontage Landscape Area and perform all or any portion of Developer's obligation at Developer's sole cost, and all costs incurred by City shall be reimbursed by Developer to City not later than ten (10) days after written demand for payment is delivered to Developer. Any costs so incurred by City in performing Developer's obligations under Section 3, 4, 5, 6 or 7, which are not paid by Developer when due, shall bear interest from the date due until fully paid at the rate often percent (10 %) per annum (b) Delay by City in giving a Notice of Breach shall not constitute a waiver of any breach or default nor shall it change the time of resulting default. Any failures or delays by City in asserting any of its rights and remedies as to any default shall not operate as a waiver of any default or of any such rights or remedies, not deprive City of its right to institute and maintain any actions or proceedings which it may deem necessary to protect, assert, or enforce any such rights or remedies. 4826-2681- 7046v6 5 KKSA04706084 (c) The City shall not perform such maintenance activities upon breach of Developer's duties under this Agreement if the default cannot reasonably be cured within the 10 -day cure period. In that event, Developer shall have such additional reasonable time as may be necessary to cure the default provided Developer commences the cure within the 10 -day period and diligently prosecutes such cure to completion. (d) Developer hereby grants permission to the City, its elected and appointed officials, officers, agents, employees, contractors and other representatives to enter the Frontage Landscape Area at reasonable times to inspect the Frontage Landscape Area and Landscape Improvements to determine if Developer is complying with its obligations under this Agreement and, in the event of a continuing default of its obligations under this Section 8, Developer hereby grants permission to the City, its elected and appointed officials, officers, agents, employees, contractors and other representatives to enter the Frontage Landscape Area at reasonable times to perform Developer's obligations pursuant to this Section 8. Nothing in this Section shall be construed to limit any access or other rights City may have as it relates to the portion of the Frontage Landscape Area within the public right of way, it being acknowledged and agreed by Developer that City's rights with respect to the public right of way shall not be diminished by this Agreement and that Developer's consent is not required as it relates to any portion of the public right of way. (e) To the fullest extent allowed by law, Developer hereby waives any and all claims it may now or hereafter have against City, its elected and appointed officials, officers, employees, agents, contractors and other representatives as a result of entry onto the Frontage Landscape Area by City, its elected and appointed officials, officers, employees, agents, contractors and other representatives pursuant to this Section 8, including without limitation claims for personal injury, death and damage to property except to the extent resulting from the negligence or willful misconduct of City, its elected and appointed officials, officers, employees, agents, contractors or other representatives. 9. Developer not Agent of City. Neither Developer nor any of its agents or contractors are or shall be considered to be agents of City in connection with the performance of Developer's obligations under this Agreement. 10. Notices. Notices shall be effective upon delivery to the required address, or upon attempted delivery thereof if delivery is refused by the intended recipient or if delivery is prevented because the intended recipient has failed to provide a reasonable means for accomplishing delivery. 11. Recordation: Term; Covenant Running With the Land. Upon execution of this Agreement by all parties hereto, the City shall have the right to record this Agreement (as an exhibit to the Declaration) with the Santa Clara County Recorder's Office in the Official Records of Santa Clara County, California ( "Official Records "). The term of this Agreement shall commence on the date that it is signed by Developer and City, and shall continue thereafter in perpetuity unless and until terminated in writing signed by City and all persons and entities then being an Owner of all or any portion of the Property and recorded in the Official Records. This Agreement pertains to and runs with the Property and every part thereof and shall be deemed to run with the land. Developer, on behalf of itself and all subsequent fee owners of all or any portion of the Property, hereby subjects the Property to all terms and conditions set forth in this Agreement. This Agreement shall bind each Owner now owning �a fee interest in all or any portion of the Property, and all successors in interest of all or any portion of the fee interest in and to the Property, and all of their respective successors and assigns, each for the entire duration of its fee ownership of the Property, subject to this paragraph below. If the Association conveys, grants or otherwise transfers its fee title interest in any portion of Parcels B and C, the Association shall not be relieved of liability for any obligations accruing during the period of its ownership; however, from and after such transfer, if the Association no longer retains a fee ownership interest in Parcels B and C, then the Association shall be relieved of the obligation to perform future accruing obligations under this Agreement as to the portion of Parcels B and C that was transferred, but only if its transferee signs and causes to be recorded in the Official Records against the real property being transferred a written acknowledgment for the benefit of the City acknowledging the transferee's assumption of all obligations of the Association that 4826 - 2681- 7046v5 KKS104706084 accrue from and after the date of transfer (an "Assumption Acknowledgment "). Unless an Assumption Acknowledgement is executed and recorded as described in the prior sentence, the Association shall not be relieved of future accruing obligations upon a transfer of its interest in any portion of Parcels B and C. An Assumption Acknowledgment may be included in the transfer deed from the Association to the new Owner, if the new Owner also signs (with signatures notarized) such deed. Notwithstanding the foregoing, in no event shall the signing, delivery or recordation of an Assumption Acknowledgment be a pre - requisite to binding a future fee owner to all of the terms and conditions of this Agreement, it being agreed that this Agreement binds all future fee owners of all or any portion of Parcels B and C whether or not an Assumption Acknowledgment is signed, delivered or recorded. All obligations which accrue under this Agreement be the joint and several obligations of all Owners then having a fee ownership in all or any portion of Parcels B and C at the time of such accrual and at any time that such obligation has not been fully performed; provided however, that notwithstanding any other provision in this Agreement, in no event shall any obligation of any Owner be binding on the City, nor shall City be responsible for complying with the obligations of any Owner under this Agreement, notwithstanding that all or any portion of the Property or any portion of the Frontage Landscape Area, is owned by City or has been conveyed, granted or transferred to City unless agreed to in writing by the City (determined in the City's sole and absolute discretion). The Association shall advise City in writing of the names and addresses of the transferees of any portion of the fee interest of such Owner to Parcels B and C or any portion thereof not later than ten (10) days after conveyance of title. In addition to this Agreement running with the land, all terms and conditions set forth in this Agreement shall inure to the benefit of City and any successor governmental entity of City whether or not City or such successor governmental entity is an owner of any interest in real property. As used in this Agreement, "Owner" shall mean any and all persons, firms, corporations or other legal entities which own fee title to all or any portion of the Property. The term "Owner" shall not include a mortgagee or beneficiary under a deed of trust holding a security interest in the Property unless such mortgagee or beneficiary has entered into actual physical possession of the Property or becomes a fee owner of any portion of the Property. Nothing herein shall be construed to prohibit a transfer of any portion of the Property by an Owner to subsequent Owners. 12. Property Transfer. Nothing herein shall be construed to prohibit a transfer by the Developer to subsequent owners and assigns, including but not limited to the Association. 13. Breach of Agreement. Any breach by Developer of the terms and conditions of this Agreement shall be deemed a violation of the TM Approval and the A/S Approval. In addition to any other remedy available to City under this Agreement, by law or in equity, the City may bring an action against Developer to enforce the terms and conditions of the TM Approval, the A/S Approval and this Agreement. 14. Attorne3!�' Fees. If any party to this Agreement resorts to a legal action to enforce or interpret any provision of this Agreement, the prevailing party shall be entitled to recover reasonable attorneys' fees in addition to any other relief to which it may be entitled. 4826 - 2681- 7046v5 KKS104706084 15. Miscellaneous Terms and Provisions: (a) If any provision of this Agreement is adjudged invalid, unenforceable or void, the remaining provisions of this Agreement shall not be affected thereby and shall remain in force and effect. (b) The waiver of any party of any breach or violation of any provisions of this Agreement shall not be deemed to be a waiver of any breach or violation of any other provision nor of any subsequent breach or violation of the same or any other provision. (c) Except as set forth in this Agreement, no party to this Agreement may assign any right or obligation pursuant to this Agreement. Any attempted or purported assignment of any right or obligation pursuant to this Agreement shall be void and of no effect. Notwithstanding the foregoing, Developer is entitled to hire a general contractor and subcontract such portions of the work to be performed under this Agreement and Developer shall have the right to assign its rights and obligations under this Agreement to the Association, in which event, Developer shall be fully released from its obligation hereunder. (d) Notwithstanding any provisions of this Agreement, the City does not undertake any responsibility or liability for any claim, demand, cause of action, damage, cost, expense, loss, or liability, in law or in equity, of any kind and nature whatsoever, that in any way arises from or is in any way connected to the execution of this Agreement and/or to the performance of any and all of the work or obligation under this Agreement except as otherwise provided herein. (e) Nothing in this Agreement, whether express or implied, is intended to confer any rights on any persons other than the parties to it and their representatives, successors and permitted assignees. (f) This Agreement contains the entire agreement between the parties relating to Developer's_ obligations with respect to the installation and maintenance of landscaping within the Frontage Landscape Area, and all prior or contemporaneous agreements, understandings, representations or statements, oral or written, are superseded hereby. (g) The parties specifically acknowledge that the Project is a private development, that no party is acting as the agent of the others in any respect hereunder, and that each party is an independent contracting entity with respect to the terms, covenants and conditions contained in this Agreement. None of the terms or provisions of this Agreement shall be deemed to create a partnership between or among the parties, or the affairs of City, or otherwise, or cause them to be considered joint venturers or members of any joint enterprise. (h) This Agreement shall be interpreted and construed reasonably and not against any party, regardless of the degree to which any party participated in its drafting. Each of the parties has received the advice of legal counsel prior to signing this Agreement. The parties agree no provision or provisions may be subject to any rules of construction based upon any party being considered the party "drafting" this Agreement. When the context and construction so require, all words used in the singular herein shall be deemed to have been used in the plural, and the masculine shall include the feminine and neuter and vice versa_ . Whenever a reference is made herein to a particular provision of this Agreement, it means and includes all paragraphs, subparagraphs and subparts thereof and, whenever a reference is made herein to a particular paragraph or subparagraph, it shall include all subparagraphs and subparts thereof (i) All references in this Agreement to laws shall be understood to include such laws as they may be subsequently amended or recodified, unless otherwise specifically provided. �) All references to days herein are to calendar days, including Saturdays, Sundays and holidays, except as otherwise specifically provided. Unless otherwise required by a specific provision of this Agreement, time hereunder is to be computed excluding the first day and including the last day. (k) This Agreement may not be modified or amended in any respect except in writing signed by the parties. (I) Each of the Exhibits identified is attached hereto and incorporated herein and made a part hereof by this reference. (m) This Agreement shall be administered and interpreted under the laws of the State of California. Jurisdiction of litigation arising from this Agreement shall be in that state and venue shall be in Santa Clara County, California. (n) The section headings or captions of this Agreement are for convenience of reference only, and ,shall not be deemed to define or limit the scope or intent of any of the provisions of this Agreement. Hovnanian at Gilroy 60, LLC, a California limited liability company ( "Developer "), for the purpose of assigning responsibility for maintenance of the art piece named "Mother Garlic & Tots" described herein. City and Developer are sometimes referred to herein individually as a "Party and collectively as the "Parties." RECITALS A. WHEREAS, City is the owner of that certain right -of -way located in the City of Gilroy, depicted as Monterey Street, on Exhibit A attached hereto (the "Subject Premises "); and B. WHEREAS, Developer applied to the City of Gilroy to install the Mother Garlic & Tots art piece within a portion of the Subject Premises; and C. WHEREAS, City's City Council pursuant to TM 12 -02 condition 6 authorizes the placement, construction, maintenance and removal as necessary of the art piece "Mother Garlic & Tots" in City public right -of -way at the sole expense of the Developer; and D. WHEREAS, Developer applied to the City for the "Mother Garlic & Tots" art piece in the public right -of -way on the Subject Premises pursuant to the TM 12 -02 condition 6; and E. WHEREAS, on October 4, 2012, City approved TM 12 -02 which authorized Developer to construct and maintain the "Mother Garlic & Tots" art piece on Monterey Street Avenue, as described on Exhibit B attached hereto (the "Improvements "); and F. WHEREAS, Developer is required by the City, among other conditions of approval, to insure that the Improvements are maintained in good repair and operable condition within the City Right -of -Way, and that they present no danger to life or property. The Improvements shall be maintained to a level which provides at minimum, a clean, safe and visually acceptable condition, as further described in Exhibit C attached hereto (the "Level of Service "); and G. WHEREAS, Developer is required to maintain the Improvements in accordance with the terms and conditions of this License, which includes a revocable right of entry for Developer to enter the right of way and the Subject Premises for the purpose of maintenance, repair and removal of the Improvements; and H. WHEREAS, Developer desires to construct and maintain the Improvements in strict accordance with the terms and conditions of this License, the Permit, and of the conditions set forth in City of Gilroy for the approved TM 12 -02 condition 6; as further described in Exhibit E attached hereto (the "Permit "); and NOW, THEREFORE, in consideration of the above recitals and for good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, City and Developer agree as follows: Agreement License to Enter. City hereby grants to Developer a revocable license to enter the Subject Premises for the purpose of installing, maintaining, repairing, replacing and removing the Improvements, provided that Developer shall coordinate the timing of any of its installation, maintenance, repair and replacement activities on the Improvements with the City pursuant to the terms of this License. All installation shall be performed in a professional and safe manner meeting the "Level of Service ". 2. Term of License. The term of this License shall begin on the date of execution of this License, and (unless sooner terminated) shall continue through June 30, 2026 inclusive, at which time License shall automatically renew every year, subject to the provisions of Section 8 of this License. In addition, if Developer breaches or defaults with respect to any of its obligations under this License, City shall have the right to terminate the license granted hereunder immediately upon the delivery to Developer of written notice of City's election to terminate. In no event shall the license ripen into a permanent right, notwithstanding any improvement made to the Subject Premises or action taken by Developer pursuant to this License, it being agreed that this License is temporary and terminable at any time upon a breach or default or upon written notice in accordance with Section 8 below. 3. Standard of Maintenance Repairs. Developer shall, at its sole cost and expense, maintain the Improvements in good condition and repair. Developer's maintenance obligation shall also include replacement and restoration of the Improvements when reasonably determined to be necessary by either Developer or by City, as well as repair of any other improvements on the Subject Premises damaged by Developer or its contractors or agents in connection with its maintenance of the Improvements. All replacements, restorations and repairs shall be at least equal in quality to the Improvements in place as of the date of recordation of this License. The Level of Services required of Developer pursuant to this License shall be to maintain the Improvements in good working order and in a similar condition to that which was originally constructed, subject to normal wear and tear. Commencement of Maintenance Obligations. Developer's obligation to maintain the Improvements pursuant to this License shall begin immediately following the City's final inspection and acceptance of the Improvements. 5. Alteration of Improvements. Developer shall not add to or alter the Improvements from their original condition as installed by Developer pursuant to the plans referred to in Exhibit B hereto without the prior written approval of the City, which shall not be unreasonably withheld. However, in the event of threat or actual harm to life or property arising out of the condition of the Improvements or the need to cause repairs to the right - of -way, City or Developer may make such alterations to the Improvements as necessary for such work and Developer shall immediately restore the Improvements to comport with the plans referred to in Exhibit B upon timely completion of the necessary alteration or repair work at its sole expense and in accordance with the approved improvement plans referenced in Exhibit B. 6. Failure to Perform. If Developer fails to fulfill its maintenance or other responsibilities hereunder, City may provide Developer with written deficiency notice of such failure describing the deficiencies in reasonable detail (the "Deficiency Notice ") or City may terminate the License immediately pursuant to Section 8 below. If City opts to provide Developer with a Deficiency Notice and such deficiency is not corrected in accordance with the requirements set forth in Exhibit C, City shall have the right, but not the obligation, to cure the deficiency at City's standard rates and prices. Developer shall reimburse City for its costs incurred in curing the deficiency within fifteen (15) days of Developer's receipt of City's invoice for such costs, which invoice shall be accompanied by copies of receipts evidencing the actual costs to cure incurred by City. Upon City's termination of this License with or without cause, Developer shall remove the Improvements, at its own expense, no later than ninety (90) days after receipt of written notice of termination of the License from the City, shall restore the Subject Premises to their condition prior to installation of the Improvements and in a manner that will safely and effectively serve the use of the Subject Premises as public right -of -way. 7. Amendment. This License may be amended only by a written instrument approved and executed by both Parties. 8. Termination. (a) The City may terminate this License upon written notice to Developer with or without cause at any time upon sixty 60 days written notice to Developer. (b) Developer may terminate this License upon: (1) Sixty (60) days written notice to the City, and (2) completion of removal of the Improvements pursuant to Section 8 herein. Developer shall not be deemed to have terminated this License or its obligations under this License until such time as it has removed the Improvements and restored the Subject Premises to their original or better condition and in a manner that is safe and appropriate for use as a public right -of -way. In the event of Developer's failure to timely remove the Mother Garlic & Tots 3 October 22, 2014 4852 - 2482 -0316v7 Art Piece Agreement - Monterey Manor.doc TMOREW04706002 Improvements pursuant to this License, Developer shall be liable for all of City costs, including the fees and reasonable costs of attorneys, engineers and other experts, for the removal and restoration of such Improvements. 9. Removal upon Termination. Upon Developer's receipt of written notice of termination from the City, which shall be deemed received by Developer upon the fifth (5th) calendar day after mailing, Developer shall at its sole cost diligently pursue removal of the Improvements, as described in Exhibit F attached hereto (the "Demolition of Improvements and Restoration of Right of Way "). Such removal of the Improvements shall be completed immediately and in no event later than ninety (90) days from Developer's receipt of the written notice of termination, which restoration shall not be deemed complete until the City has inspected and accepted the restoration of the Subject Premises. 10. Security for Cost of Demolition. Developer, at Developer's sole cost and expense and for the full term of this License or any renewal thereof, shall obtain and maintain a cash account, or Certificate of Deposit (CD), as described in Exhibit G attached hereto (the "Demolition Security "), at all times sufficient to provide for the removal of the Improvements and restoration of the Subject Premises to the condition required by this License. 11. Cost of Inspection. City may schedule periodic or occasional inspections of the Improvements, or in response to public complaint or notification by other party; however, such inspection shall not relieve Developer of the duty to periodically inspect and maintain the Improvements as required herein and shall not relieve Developer of liability for failure to do so and maintain the Improvements in a manner that is safe to life and property and not unsightly. In accordance with the Conditions of Approval of the Planning permit as described in Exhibit E Developer shall reimburse City for all inspection costs within 30 -days of receipt of invoice. 12. Liens. Developer shall not allow or permit to be enforced against the City any mechanic, laborer, material men, contractor, subcontractor, or any other liens, claims or demands arising from any maintenance or other work performed by Developer on the Subject Premises, but Developer shall pay or cause to be paid all of said liens, claims and demands before any action is brought to enforce the same against the City or its Subject Premises. 13. Insurance. Developer shall, at Developer's sole cost and expense and for the full term of this License, shall obtain and maintain policies meeting at least the minimum insurance requirements described in Exhibit H prior to commencing any work under this License. Said insurance shall name the City as additional insured by endorsement and shall be filed with and approved by the City's Risk Manager before commencing any work under this License. Developer shall protect, indemnify, defend and hold City, its officers, agents, contractors, employees and any authorized City volunteers ( "Indemnified Parties ") harmless from and against any and all liability, loss, cost and obligations (collectively, "Claims ") arising out of or resulting from any injury or loss caused directly or indirectly by Developer's installation, maintenance, repair, replacement, or removal of the Improvements, or in any way in connection with Developer's activities on or about the Subject Premises relating to the Improvements, the exhibition of the Improvements therein, or Developer's breach or default of any of its obligations under this License, except to the extent that any such Claim is caused by the gross negligence or willful misconduct of the Indemnified Parties. Use of the Subject Premises by Developer shall be at the Developer's sole risk, without any obligation on the part of City to improve, repair, maintain, secure or protect the same. Use of the Subject Premises by Developer shall be at the Developer's sole risk, without any obligation on the part of City to improve, repair, maintain, secure or protect the same. Developer's obligations under this Section shall survive the expiration or sooner termination of this License. 15. Release and Disclaimer. To the fullest extent allowed by law, the Indemnified Parties shall have no responsibility whatsoever for any Improvements or other property brought to or left in any other area of the Subject Premises by Developer, or for any personal injury, death or property damage occurring in connection with Developer's activities in or about the Subject Premises, it being understood and agreed that all such matters shall at all times be the sole risk of the Developer. To the fullest extent allowed by law, Developer assumes and bears all risk of loss relating to the Improvements, by way of theft, damage, or due to any other cause, including without limitation the acts or omissions of the Indemnified Parties. To the fullest extent allowed by law, Developer releases and discharges the Indemnified Parties from any and all Claims and Liabilities resulting in connection with Developer's activities or rights under this License, whether known or unknown, suspected or unsuspected. Without limiting the foregoing, Developer fully understand and expressly waive the Section 1542 of the California Civil Code, which provides as follows: "A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM OR HER MUST HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR ". Without limiting the generality of the foregoing, (i) in no event shall City have any obligation to provide any kind of security service or undertake any kind of security measures with respect to the Subject Premises or the Improvements, and (ii) if City does at any time elect to provide any kind of security services or undertake any kind of security measures for the Subject Premises, such security services or measures shall be deemed to have been taken solely for City's benefit and City shall incur no liability to Developer with respect to such security services or measures. 16. Successors and Assigns. This License is binding on and shall inure to the benefit of each of the Parties hereto and their respective successors, assigns and legal representatives. This License shall not be assigned by Developer without the prior written consent of the City which shall be based upon proof that the assignee is able to perform all of the Mother Garlic & Tots 5 October 22, 2014 4852- 2462- 0316v7 Art Piece Agreement - Monterey Manor.doc TMOREW04706002 requirements of this License, including but not limited to maintenance, removal, insurance, inspection and indemnity and the sufficient funding thereof. Notwithstanding the foregoing, Developer shall have the right to assign this License, including its rights and obligations under this License, without the City's consent, to the Monterey Manor Community Association pursuant to the phasing schedule approved by the California Bureau of Real Estate, in which event, Developer shall be fully released from its obligations hereunder. 17. Notices. Choice of Law. This License shall be construed according to the laws of the State of California. 20. Venue. All disputes arising under this License shall be adjudicated in California State Court in and for the County of Santa Clara, or in the Federal Court in and for District of Northern California, as appropriate. If there is any legal action or proceeding between City and Developer arising from or based upon this agreement, the unsuccessful party to such action or proceeding shall pay to the prevailing party all costs and expenses, including reasonable attorney's fees and disbursements incurred by the prevailing party in such action or proceeding and in any appeal in connection therewith, and such costs, expenses, attorneys' fees and disbursements shall be included in and as part such judgment. Except as otherwise provided in Section 16 above, the License is personal to the Developer. The use of the Subject Premises by the Developer is expressly acknowledged to be, and shall remain, with the permission of City, without exception or qualification. 22. Miscellaneous. With respect to City's approval and consent rights under this License, City shall have the right to give or withhold its approval or consent as City determines in its sole and absolute discretion. If suit is brought to enforce or interpret any part of this License, the prevailing party shall be entitled to recover as an element of its costs of suit, and not as damages, reasonable attorneys' fees and costs. This License constitutes the entire agreement between the parties relating to subject matter hereof and supersedes all oral communication between the parties prior to the execution hereof, all understandings and negotiations regarding the same having been merged herein. If for any reason, any provision of this License shall be held to be unenforceable, it shall not affect the validity or enforceability of any other provision of this License. The Permittee also must comply with all the terms, conditions, rules, and procedures of the Encroachment Ordinance, Encroachment Agreement, and the Standard Specifications and Details ( "City of Gilroy Standards'') of the City of Gilroy. 1. Encroachment Permit Compliance Required. No person shall make a right -of -way encroachment or cause any street cut to be made without having secured the proper permit two (2) working days in advance of the date specified to begin work except when an emergency street cut is necessary. All work shall be performed in strict compliance with the terms and conditions of this permit. (Gilroy Muni Code 20.72b) Failure to Comply. Failure to comply with the requirements of this permit may result in one or more of the following: A. The City Engineer shall order immediate suspension of work until non - compliance is resolved. B. Should the Permittee or the Permittee's contractor fail to correct the non - compliances, the City Engineer may cause removal and replacement of deficient work and /or completion of work to bring the project into compliance at the Permittee's expense. C. The City Engineer shall cause traffic controls to be set, as deemed necessary by the City Engineer, at the expense of the Permittee. D. If the City Engineer deems emergency repairs necessary, he or she will attempt to notify the Permittee. If the Permittee cannot be contacted or fails to respond in a timely fashion, the City Engineer shall cause the work to be done at the Permittee's expense. Where corrective work described above is ordered by the City Engineer, the cost of that work shall be charged to the Permittee on a Labor, Equipment and Materials basis plus overhead to reimburse the City for its actual costs. Notification. The Permittee shall notify the City at least two (2) working days prior to start of work and at that time shall provide a project schedule. Permittee shall notify the Police Department if the work may impede the passage of emergency vehicles (Gilroy Muni Code 20.72b). Temporary "No Stopping," "No Parking," and /or "Tow- Away" signs shall be posted by the Contractor at least seventy -two (72) hours prior to commencement of work. Signs shall state days and hours when restrictions apply. Emergency Street Cut. A permit for an emergency street cut shall be secured no later than the working day immediately following the emergency street cut. If the emergency street cut is performed during business hours, the Permittee shall attempt to reach the City Engineer by telephone in advance of the work. If the completion /expiration date stated on the permit will be exceeded, an application for a time extension must be filed and approved by the City Engineer. The Permittee must keep the signed permit at the worksite or on the premises of the encroachment at all times. (Gilroy Muni Code 20.84a) 10. Emergency Call -out. A Permittee shall provide a 24 -hour emergency telephone number on the application and shall display its company name and emergency telephone number on its barricades. Failure to respond to an incident promptly shall require corrective measures by the City, the cost of which shall be bome by the Permittee. (Gilroy Muni Code 20.84c, 20.100) 11. Standards. Work shall be constructed in accordance with applicable ordinances, codes, and Gilroy Standards, for the City of Gilroy. A copy of the City of Gilroy Standards can be purchased at the Public Works Department at City Hall. (Gilroy Muni Code 20.89; 20.101) 12. Other Regulations. It is the Permittee's responsibility to comply with all City laws and regulations and to obtain all necessary permits. Such laws, regulations, and permits include, but are not limited to, the City Business License, Americans with Disabilities Act (ADA) and Division of Occupational Safety & Health standards. (Gilroy Muni Code 20.75c, 20.89a, 20.97c, 20.88a,) 13. Access. The Permittee shall provide access to all areas in the vicinity of the encroachment and shall provide necessary temporary sidewalk and warning signs. (Gilroy Muni Code 20.74b, 20.88, 20 96, 20.97) 14. Public Safety. The Permittee shall furnish, erect, and maintain barricades, lights, signs, flagmen, fencing, and other safety measures to give adequate protection to the public at all times. Failure of the Permittee to set required warning devices may result in a project shutdown and charges to the Permittee for costs incurred by the City. (Gilroy Muni Code 20.88) 15. Site Maintenance. Work areas shall be maintained in a neat, clean and safe condition at all times. Debris shall be removed daily. The site shall be treated for dust control as necessary. Dirt tracked from the work site shall be cleaned from City streets, curbs, gutters, and sidewalks. The flushing of dirt and debris to storm drain or sanitary sewer facilities is strictly prohibited. The Permittee shall employ construction practices that will prevent pollutants such as mud, silt, chemical residue, and washings from concrete and saw cutting from entering storm drains The site shall be properly secured during non -work hours. (Gilroy Muni Code 20.89d) 16. Excavations. All trenches created in existing pavement shall be neatly saw cut. Trench spoils shall be removed from the job site. Backfill shall consist of sand or approved granular material compacted to 95% Relative Compaction. Excavations within the public right -of -way shall be backfilled, compacted, and temporarily paved with cold mix "cut back" type A.C. prior to 4:00 P.M. to allow for vehicular and pedestrian traffic. The use of non -skid trench plates is allowed, provided the Contractor covers all edges of the plates with cold mix material. It shall be the Permittee's and the Contractor's responsibility to maintain on a daily basis, including weekends and holidays, the Gilroy Encroachment Perm it_Conditions of Approval FINAL 11.27 2013 Page 2 of 5 amount of material necessary to maintain the trench surface flush with the existing street or sidewalk In addition, the Contractor shall respond to and correct shifting trench plates regardless of the time of day. If Contractor fails to correct sinking backfill material or shifting trench plates in a timely manner, City reserves the right to correct the problem at the expense of the Contractor. All trenches shall be fully restored within thirty (30) days of first street cut. (Gilroy Muni Code 20.89d) 17. Vehicle & Pedestrian Traffic. The Permittee shall follow Caltrans standards for traffic control. The parking of any construction - related vehicles or storage of any material is not allowed on a public street or sidewalk unless approved in advance by the City Engineer. (Gilroy Muni Code 20.88, 20.103) 18. Travel Lane & Sidewalk Closures. The Permittee shall assure that all City streets, travel lanes, and sidewalks remain open at all times, unless a traffic control plan has bee_ n approved in advance by the City Engineer or his or her representative. A traffic control plan shall be submitted to the City Engineer or his or her representative for review and approval with Encroachment Permit Application. Depending on project scope and site conditions, traffic control plans may need to be prepared by a California - licensed Traffic Control Firm. Traffic control plans must follow the current edition of the California Manua! on Uniform Traffic Control Devices (CA MUTCD). Plans must be specific to the project site and conditions and phased, as appropriate, to the address construction of project improvements. Sample plans are not allowed City approval of the traffic control plan must precede notification of any closures. The City Engineer shall be notified of closure dates and duration at least five (5) working days in advance of proposed closure. (Gilroy Muni Code 20.89d) 19. Construction Staging Areas. Proposed locations of construction staging areas shall be approved by the City Engineer. Any construction staging area proposed outside of the public right -of -way shall be disallowed unless the Permittee has secured the prior written approval of the owner. (Gilroy Muni Code 20.89d) 20. Street Cuts. The Permittee shall use boring and jacking as an alternative to.open cut of streets if required by the City Engineer. No street pavement shall be cut unless specifically approved in writing pursuant to an Encroachment Permit. Trench restoration shall be according to the Gilroy Standards, except as modified by additional Special Conditions of Approval or a design by a licensed civil engineer approved by the City Engineer. (Gilroy Muni Code 20.92) 21. Hazardous Materials. The Permittee is responsible for satisfying all applicable procedures a_ nd regulations in the event hazardous materials are encountered. This includes notification to emergency phone number 911. (Gilroy Muni Code 20.89d) 22. Monument Preservation. Location of monuments shall be tied out prior to work. Any City monument damaged, displaced, or destroyed by Permittee's work shall be replaced by Permittee at Permittee's sole expense. (Gilroy Muni Code 20 106) 23. Removal of Markings. All sidewalk and /or pavement markings painted by Underground Service Alert (USA), utility companies, or Permittee shall be removed to the satisfaction of the City Engineer within ten (10) working days after completion of construction. (Gilroy Muni Code 20.90) 24. Work Hours. All work in the public right -of -way is restricted to non - holiday weekdays 7:00 A M. to 7:00 P.M and Saturdays 9:00 AM to 7:00 PM except as noted in Additional Special Conditions of Approval or Construction Guidelines for Continuing Encroachment Installations, if applicable. The Permittee is responsible for furnishing a performance bond to be executed in the face amount not less than one hundred 'percent (100 %) of the total construction cost. The Permittee is responsible for furnishing a completed Certificate of Insurance with proper endorsements naming as additional insured the City of Gilroy, its Officers, Officials, Representatives, Agents, Employees, and Volunteers. Certificate of Insurance forms are available at the Public Works Department at City Hall. (Gilroy Muni Code 20.76) 30. Indemnification. To the fullest extent permitted by law, Permittee shall defend through counsel approved by City (which approval shall not be unreasonably withheld,) indemnify and hold harmless the City of Gilroy, its officers, officials, representatives, agents, employees, and volunteers against any and all suits, damages, costs, fees; claims, demands, causes of action, losses, liabilities and expenses, including without limitation attorneys' fees, to the extent arising or resulting directly or indirectly from any act, errors or omissions of Permittee or Permittee's assistants, employees or agents, including all claims relating to the injury or death of any person or damage to any property. One Year Warranty. D. Other Insurance Provisions The policies are to contain, or be endorsed to contain, the following provisions: 1. Commercial General Liability and Automobile Liability Coverage a. The City of Gilroy, its officers, employees, and agents are to be covered as additional insureds as respects: Liability arising out of activities performed by or on behalf of Developer; products and completed operations of Developer; premises owned, leased or used by Developer; and automobiles owned, leased, hired or borrowed by Developer. The coverage shall contain no special limitations on the scope of protection afforded to City, its officers, employees, and agents. b.
