CHRISTOPHER, DONALD CHRISTOPHER, and THE CHRISTOPHER FAMILY PARTNERSHIP, a California limited partnership (collectively, "Owners"). RECITALS A. The term "Parcel Map" means that certain Parcel Map approved by the City on May 20, 2019, and will be filed and recorded in the official records of the County of Santa Clara. The term "Parcel 3" means Parcel 3 of the Parcel Map. Parcel 3 consists of approximately 9.6 acres, is located within the Glen Loma Ranch Specific Plan area and is intended to be developed as a multi -family residential project ("Project"). This Agreement shall be recorded against Parcel 3, which is further described on the Parcel Map, attached hereto as Exhibit "A" and incorporated herein by this reference. If a further or different legal description is needed for recordation, the parties agree that City may provide such legal description and replace the Parcel Map on Exhibit "A" therewith, and this Agreement shall continue in full force and effect with the new Exhibit "A." This Agreement shall be effective as between the parties and their successors and assigns regardless of recordation. B. Miller Avenue is a public street in the City. A portion of the existing Miller Avenue, consisting of a 40-foot right of way, is located on Parcel 3 ("Existing Miller Avenue Right of Way") and is to be abandoned by City in accordance with City Council Resolution 2014-19 and approved Tentative Map 13-08. The Existing Miller Avenue Right of Way will be abandoned at the time the Parcel Map is recorded. C. In order to develop the Project, the Existing Miller Avenue Right of Way will be abandoned and relocated in accordance with that certain Property Improvement Agreement No. 2019-01 ("PIA 2019-01") executed by the City and the Owners. The term "Miller Avenue Realignment" means the relocation of the Existing Miller Avenue Right of Way in accordance with PIA 2019-01. A drawing showing the Existing Miller Avenue Right of Way and the relocation of Miller Avenue in accordance with PIA 2019-01 is attached hereto and made a part hereof as Exhibit "B". D. The City desires to continue to have the Existing Miller Avenue Right of Way open and available for use as a public street (subject to agreed -upon closure and detour of traffic during construction) and the City desires to continue to use the existing water main lines located within the Existing Miller Avenue Right of Way (collectively, the "Existing Miller Avenue Use") until such time as the Miller Avenue Realignment is open to public traffic by the City and the City has activated the new water mains to be built in the Miller Avenue Realignment. The City desires to obtain an irrevocable license and right of entry ("License") from Owners in order to continue the Existing Miller Avenue Use and the Owners are willing to grant the License to City subject to the terms and conditions of this Agreement. E. The City and Owners intend that in exercising its rights under this Agreement, City's obligations with regard to maintenance and repair of the improvements to the Existing Miller Avenue Right of Way shall be no different than those borne by the City under the Existing Miller Avenue Use prior to the effective date of this Agreement. F. These Recitals shall be incorporated into and be a part of this Agreement. AGREEMENT NOW, THEREFORE, in consideration of the mutual covenants and promises set forth herein, and other good and valuable consideration, the receipt of which and sufficiency of which is hereby acknowledged, Owners and City hereby agree as follows: 1. Grant of License. Owners hereby grant to the City the License over Parcel 3 to allow the City to enter onto Parcel 3 and to continue all activities necessary or convenient to continue the Existing Miller Avenue Use. City is further authorized to enter onto and permit access to the Existing Miller Avenue Right of Way for all purposes necessary or convenient to the exercise of the License by City's officers, employees, agents, representatives, consultants, and contractors (collectively, the "City Agents") and by the general public in a manner consistent with the License granted herein. Owners reserve the right to use the remaining portions of Parcel 3 outside of the Existing Miller Avenue Right of Way in any manner not inconsistent with the License and not inconsistent with the historic and continuing use of the Existing Miller Avenue Use. 2. Term of License. The term of the License ("Term") shall commence upon the Effective Date of this Agreement and shall continue until the Miller Avenue Realignment is open to public traffic by the City and the City has activated the new water mains to be built in the Miller Avenue Realignment. This License is irrevocable and shall remain in effect until the end of the Term. 3. Use of Parcel, Maintenance. The License is subject to the following terms: (a) City's obligations with regard to maintenance and repair of the improvements to the Existing Miller Avenue Right of Way shall be no different than those borne by the City under the Existing Miller Avenue Use prior to the 'effective date of this Agreement. (b) City shall be have no obligations regarding the cost to repair any damage caused to the Parcel 3 or any area adjacent thereto by City and/or the City Agents and/or the general public different than those borne by the City with relation to the Existing Miller Avenue Use. 4. Indemnity. Each party shall defend, indemnify, and hold harmless the other party and its officers, employees, agents, representatives, consultants, and contractors from all claims, action, demands, causes of action, liabilities, losses, damages, attorney's fees, experts fees, and any other expenses for personal injury (including the injury, disability, or death of any person) or property damage (collectively "Claims") which result from or arise out of the negligent, reckless, or intentional actions of the indemnifying party, or its officers, employees, agents, representatives, consultants, or contractors, in connection with the indemnifying party's actions with respect to this Agreement, which obligation shall survive the termination of this Agreement. Notwithstanding the foregoing sentence, with respect to Claims arising out of the use or operation of the Existing Miller Avenue Right of Way by any persons or entities after the Effective Date of this Agreement, the rights and obligations of City and Owners with regard to indemnities one to the other shall be no different than those that exist under the Existing Miller Avenue Use prior to the effective date of this Agreement. 5. Notice. Any notice, demand or request sent pursuant to either subsection (a) or (c) hereof shall be deemed received upon the actual delivery thereof, and, if sent pursuant to subsection (b) shall be deemed received five (5) days following deposit in the mail. No waiver by a party of any provision in this Agreement shall be considered a waiver of any other provision or any subsequent breach of the same or any other provision including the time for performance of any such provision. The exercise by a party of any remedy provided in this Agreement or at law shall not prevent the exercise by that party of any other remedy provided in this Agreement or at law. This Agreement may be amended at any time and from time to time, but any amendment must be in writing and signed by both City and Owners. This Agreement is executed and intended to be performed in the State of California, and the laws of that state shall govern its interpretation and effect. If any term, provision, covenant or condition of this Agreement is held by a court of competent jurisdiction to be invalid, void, or unenforceable, the rest of the Agreement shall remain in full force and effect and shall in no way be affected, impaired, or invalidated. This instrument contains the entire agreement of the parties relating to the rights granted and obligations assumed in this instrument. This Agreement is not intended to modify in any way the conditions or terms of PIA 2019- 01, which remains in full force and effect. Any oral representations or modifications concerning this instrument shall be of no force or effect unless contained in a subsequent written modification signed by the party to be charged. Each party hereto will execute and deliver any and all additional instruments and documents, and perform such further acts, as may be reasonably necessary to make effective the terms and conditions of this Agreement. Time is of the essence of each and every provision of this Agreement. The parties may execute this Agreement in two or more counterparts, which shall, in the aggregate, be signed by all the parties; each counterpart shall be deemed an original instrument as against any party who has signed it. 7. Legal Expenses. In the event of any action at law or in equity, including an action for declaratory relief, between the parties arising from or in connection with this Agreement, then the prevailing party in such action shall be entitled to recover from the other party a reasonable sum as attorneys' fees and costs as determined by the court. 8. Successors and Assigns. The covenants, rights, duties, obligations and restrictions contained in this Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective successors and assigns. 9. Authority. Each person signing this Agreement on behalf of either Owners or City warrants and represents to Owners and City, as applicable, that such person is duly and fully authorized to License Agreement -Right of Entry, 4-16-2019 Page 4 Filice Family Estate -City of Gilroy 4822-5528-1814v.2 4822-5528-1814v3 ALF104706091 enter into this Agreement on behalf of such entity, that this Agreement will be binding upon such entity and that the execution of this Agreement has been approved and ratified as required by the organizational documents of such entity. Owners represent and warrant that they collectively have full authority to enter into this Agreement and to grant the rights to City conveyed herein, without needing the signature of any other persons or entities. 10. Condition Precedent. Owners and City agree that this Agreement is subject to the following condition precedent: the approval of the Parcel Map by the City and the filing of the Parcel Map with the County of Santa Clara.
