RESOLUTION OF THE BOARD OF DIRECTORS OF THE GILROY PUBLIC
FACILITES FINANCING AUTHORITY ELECTING OFFICERS AND APPOINTING
ASSISTANT TO ACT IN PLACE OF TREASURER
WHEREAS, the Gilroy Public Facilities Financing Authority ("Authority") was created
on March 21, 1994 pursuant to a joint powers agreement entitled "Joint Exercise of Powers
Agreement Gilroy Public Facilities Financing Authority" ("Agreement") entered into by and
between the City of Gilroy and the Redevelopment Agency of the City of Gilroy, also known as
the Community Development Agency of the City of Gilroy; and
WHEREAS, Section 3.01 of the Agreement specifies that the officers of the Authority
shall be the Chairman, Vice-Chairman, Secretary and Treasurer; and
WHEREAS, Section 3.01 of the Agreement states that the Board of Directors ("Board")
of the Authority shall elect a Chairman and Vice-Chairman from among the Board Members and
shall elect a Secretary who may be, but need not be, a member of the Board, and Section 3.02
specifies that the Director of Finance of the City of Gilroy is designated as the Treasurer of the
Authority; and
WHEREAS, the Board wishes to elect the Mayor of the City of Gilroy as the Chairman of
the Authority, elect the Mayor Protempore of the City of Gilroy as the Vice-Chairman and elect
the City Clerk of the City of Gilroy as the Secretary; and
WHEREAS, Section 3.07 of the Agreement authorizes the Board to appoint assistants to
act in the place of the officers other than Board Members; and
WHEREAS, the Board wishes to appoint the Treasurer of the City of Gilroy to assist and
act in the place of the Treasurer of the Authority from time to time.

NOW, THEREFORE, BE IT RESOLVED THAT:
A. The Board of Directors of the Authority does hereby elect the following officers:
Board Member Thomas W. Springer is elected Chairman;
Board Member Robert T. Dillon is elected Vice-Chairman;
City Clerk Rhonda S. Pellin is elected Secretary.
The Board of Directors does hereby appoint City of Gilroy Treasurer Michael Dom to
assist and act in the place of the Treasurer of the Authority from time to time.

I, RHONDA PELLIN, Secretary of the Board of Directors of the Gilroy Public Facilities
Financing Authority, do hereby certify that the attached Resolution No. 2003-02 is an original
resolution, or true and correct copy of an Authority resolution, duly adopted by the Gilroy Public
Facilities Financing Authority at a regular meeting of said Authority held on the 7th day of July,
2003, at which meeting a quorum was present.
