HomeMy WebLinkAboutAgreement - County of Santa Clara - 5th Amendment 25FD0110-5 Fifth Amendment to Agreement between the City of Gilroy and County of Santa Clara 911 Emergency Medical Services Page 1 of 2 FIFTH AMENDMENT TO THE 911 EMERGENCY MEDICAL SERVICES PROVIDER AGREEMENT BETWEEN THE CITY OF GILROY AND THE COUNTY OF SANTA CLARA This Fifth Amendment to the 911 Emergency Medical Services Provider Agreement (“Fifth Amendment”) is entered into by and between the City of Gilroy (“Provider”) and the County of Santa Clara (“County”), effective as of January 1, 2026 (“Effective Date”). Background The purpose of this Fifth Amendment is to extend the term. The Agreement is amended as follows: 1. Term of Agreement. Section 2.1 of the Agreement is hereby deleted in its entirety and replaced with the following: 2.1 Term of Agreement. This Agreement shall be effective as of 12:00 a.m. on July 1, 2011, and shall be in force and effect through December 31, 2026 at 11:59 p.m. Except as set forth herein, all other terms and conditions of the Agreement as amended by this Fifth Amendment shall remain in full force and effect; provided, however in the event of any conflict between the terms of the Agreement and this Fifth Amendment, the terms of this Fifth Amendment shall control. Capitalized terms not otherwise defined herein shall have the same meanings assigned to them in the Agreement. The Agreement, as amended by this Fifth Amendment constitutes the entire agreement of the Parties concerning its subject matter and supersedes all prior oral and written agreements, representations and understandings between the Parties concerning such subject matter. \\\ \\\ \\\ \\\ Docusign Envelope ID: C240A13C-CDEF-4F72-B390-2B1469BE0C8E Fifth Amendment to Agreement between the City of Gilroy and County of Santa Clara 911 Emergency Medical Services Page 2 of 2 This Fifth Amendment may be executed by the Parties in any number of separate counter parts, each of which shall be deemed an original and all of which, taken together shall be deemed to constitute one and the same instrument.
