FIRST AMENDMENT TO AGREEMENT FOR CITY-WIDE LANDSCAPE SERVICES
BETWEEN JENSEN LANDSCAPE SERVICES, LLC AND CITY OF GILROY
This First Amendment to the Agreement for Services (“First Amendment”) is made and entered
into as of June 2, 2026 (“Effective Date”), by and between the City of Gilroy, a California municipal
corporation (“CITY”), and Jensen Landscape Services, LLC (“CONTRACTOR”).
WHEREAS, CITY and CONTRACTOR are parties to that certain Agreement for Services
#24PW2042, effective on September 9, 2024, hereinafter referred to as “Original Agreement”; and
WHEREAS, CITY and CONTRACTOR have determined it is in their mutual interest to amend
certain terms of the Original Agreement.
NOW, THEREFORE, in consideration of the mutual covenants and agreements set forth below
and for other valuable consideration, the receipt and adequacy of which is hereby acknowledged, the
parties hereto agree as follows:
1. Article COMPENSATION (Consideration) of the Original Agreement shall be amended to
read as follows:
Consideration
“In consideration for the services to be performed by CONTRACTOR, CITY agrees to pay
CONTRACTOR the amounts set forth in Exhibit “D” (“Payment Schedule”). In no event however
shall the total compensation paid to CONTRACTOR exceed $1,072,695.00 for year 1, $1,189,295.00
for year 2, and $1,072,695.00 for year 3, plus an annual contingency of $53,634.74.”
2. Exhibit “B” (“Scope of Service”) of the Original Agreement shall be amended to add the
following work (in year 2 only) at the locations specified, as extra work and shall be performed by
September 8, 2026:
• Hecker Pass Trail Weed Abatement to be performed in Year 2 only. Work to include
weed removal, limb up bushes and small trees to minimum clearance of 8 feet (or
remove), remove dead plant material (i.e., wood, shrubs, grasses) along the trail
adjacent to Hecker Pass Road from Santa Teresa Boulevard to Burchell Road. The
work location shall include the area from the trail edge to edge of roadway.
• City Hall Landscape Enhancement to be performed in Year 2 only. Work to include
removal of soil around sidewalks, provide and install (80) eighty cubic yards of red
mulch at 2” depth at City Hall and Parking lot landscaping areas, demolition of and
amend soil, check the irrigation system to ensure that new plants have adequate
watering for optimal longevity. Provide plants and install as stated in Exhibit “D”.
3. Exhibit “D” of the Original Agreement shall be amended to add the following to the Payment
Schedule:

4. This Amendment shall be effective on June 2, 2026.
5. Except as expressly modified herein, all of the provisions of the Original Agreement shall
remain in full force and effect. In the case of any inconsistencies between the Original Agreement and
this Amendment, the terms of this Amendment shall control.
6. This Amendment may be executed in counterparts, each of which shall be deemed an original,
but all of which together shall constitute one and the same instrument.
