ASSIGNMENT AND ASSUMPTION AGREEMENT
This Agreement is entered into between Carry the Vision ("Assignor") and PitStop Outreach
("Assignee").
Carry the Vision is a party to the Opioid Remediation Services Agreement with the City of
Gilroy dated January 8, 2026 ("Agreement"). A copy of the Agreement is attached hereto as
Exhibit 1 and incorporated herein by this reference.
Effective July 1, 2026, Carry the Vision assigns to PitStop Outreach all remaining rights,
duties, responsibilities, and obligations under the Agreement, subject to the written
consent of the City of Gilroy.
PitStop Outreach accepts this assignment and agrees to assume and perform all remaining
duties, responsibilities, and obligations under the Agreement beginning July 1, 2026.
This Assignment and Assumption Agreement shall become effective upon written consent
by the City of Gilroy.

RE: Consent to Assignment and Assumption of Opioid Remediation Services Agreement
Dear Ms. Swan and Ms. Bernstein-Chargin:
The City of Gilroy ("City") is a party to that certain Agreement for Services with Carry the Vision dated
December 8, 2025, and effective December 9, 2025, for Opioid Remediation Services ("Agreement").
The City acknowledges receipt of the Assignment and Assumption Agreement between Carry the
Vision ("Assignor") and PitStop Outreach ("Assignee"), pursuant to which Assignor proposes to assign,
and Assignee proposes to assume, the remaining rights, duties, responsibilities, and obligations under
the Agreement effective July 1, 2026.
Pursuant to Article 5.E of the Agreement, and consistent with the action taken by the Gilroy City
Council on June 1, 2026, the City hereby consents to the assignment of the Agreement from Carry the
Vision to PitStop Outreach, effective July 1, 2026, subject to the following conditions:
1. PitStop Outreach shall assume and perform all remaining obligations of Carry the Vision under
the Agreement beginning July 1, 2026.
2. PitStop Outreach shall comply with all terms, conditions, insurance requirements, reporting
requirements, and other obligations contained in the Agreement as though it were the original
contracting party.
3. Carry the Vision shall remain responsible for all services performed and obligations incurred
prior to July 1, 2026, including submission of any outstanding invoices, reports, and deliverables
attributable to its period of performance.
4. All future notices, invoices, reports, and communications regarding the Agreement shall be
directed through PitStop Outreach following the effective date of the assignment.

Except as expressly modified by this written consent, all terms and conditions of the Agreement shall
remain in full force and effect.
Please retain this letter with the Agreement and the Assignment and Assumption Agreement as
evidence of the City's written consent.
