AMENDMENT NO. 18
TO THE
AGREEMENT FOR OPERATIONS, MAINTENANCE, AND MANAGEMENT
SERVICES
FOR THE GAVILAN COLLEGE PUMP STATION FOR THE CITY OF GILROY
This is Amendment No. 18 (“Amendment”) to the Agreement for Operations,
Maintenance and Management Services for the Gavilan College Pump Station for
the City of Gilroy, California entered into on July 3, 2003, as amended (the
“Agreement”), made on the date of signature by the City of Gilroy, California (set
forth below), to be effective July 1, 2026, by and between City of Gilroy, California,
whose address for any formal notice is 7351 Rosanna Street, Gilroy, California
95020 (hereinafter “Owner”), and Operations Management International, Inc., a
corporation organized and existing under the laws of the State of California, whose
address for any formal notice is 7001 E. Belleview Avenue, Suite 1000, Denver,
Colorado 80237 (hereinafter “OMI”).
NOW THEREFORE, the Owner and OMI agree to amend the Agreement as
follows:
1. Term Extension
Subject to Section 5.1 of the Agreement, the parties agree to extend the
Agreement for an additional six (6) months, commencing July 1, 2026, and ending
January 29, 2027. Upon expiration of this period, the Agreement shall terminate in
its entirety unless otherwise amended in writing by both parties.
2. Appendix B, Scope of Services, Section B.1.6 is hereby added to the Agreement
as follows:
B.1.6 Notwithstanding the scope of services set forth in this Appendix B, OMI shall
provide consulting and support services, including but not limited to
operational guidance, training, and limited hands-on assistance, on an as-
needed basis as directed by the Owner and consistent with the general
intent of the Agreement for the remainder of the Agreement commencing
July 1, 2026 and ending January 29, 2027.
For the avoidance of doubt, Appendix B, Sections B.1.1 – B.1.5 shall not
apply for the remainder of the Agreement commencing July 1, 2026, and
ending January 29, 2027.
3. Appendix E, Compensation, Section E.1.7 is hereby added to the Agreement as
follows:

E.1.7 Notwithstanding any prior provisions, including but not limited to Appendix
E of the Agreement, compensation for the scope in Section B.1.6 shall be
on a Time and Materials (T&M) basis in accordance with the attached rate
schedule (Exhibit A of this Amendment).
The total amount payable for the scope in Section B.1.6 shall not exceed
Fourteen Thousand Eight Hundred Eighty-Six Dollars and Zero Cents
($14,886.00). Any amount in excess of this not-to-exceed limit shall require
prior written approval from the Owner.
For the avoidance of doubt, Appendix E, Section E.1.1 – E.1.6 shall not
apply for the remainder of the Agreement commencing July 1, 2026, and
ending January 29, 2027.
4. Final Amendment
This Amendment represents the final extension of the Agreement. No further
amendments extending the term or increasing the compensation are anticipated.
5. No Other Changes
Except as expressly modified herein, all terms and conditions of the Agreement
shall remain unchanged and in full force and effect.
6. Binding Effect
This Amendment shall be binding upon and inure to the benefit of the parties and
their respective successors and assigns.
7. Integration
This Amendment, together with the Agreement, constitutes the entire
understanding between the parties with respect to the subject matter herein.
8. Counterparts
This Amendment may be executed in counterparts, each of which shall be deemed
an original.
9. No Modification Except in Writing
Neither this Amendment nor the Agreement may be modified except by a written
document signed by authorized representatives of both parties.
