Subject: Pacific Gas and Electric Company Acquisition of City-
owned Street Lighting System,
Dear Mr. Mead:
The City Council at its meeting of May 4, 1965, approved the sale
of the City-owned street lighting system to the Pacific Gas and
Electric Company. The City-owned street lighting system referred
to is as of January 1, 1965.

It is the City1s intent that it would request Pacific Gas and Electric
Company to install 38 additional steel poles on pole bases supplied
by the City and the amount of this installation to be deducted from
the total purchase price of $6,840_ The total purchase price, less
the cost of the 38 additional electroliers to be installed, would be
paid the City in cash. ~
Please refer to your letter of Apr i 1 22, ]965 and prepare a forma]
purchase agreement for submittal to the City.

BILL OF SALE
CITY OF GILROY, a California municipal corporation, herein-
after called Grantor, for and in consideration of $6,840.00, does
hereby grant, bargain, sell and convey unto PACIFIC GAS AND ELECTRIC
COMPANY, a California corporation, hereinafter called Pacific, its
successors and assigns, free and clear of all liens and encumbrances,
those certain street lighting facilities, now installed in various
streets of the City of Gilroy, County of Santa Clara, State of
California. Said street lighting facilities are more particularly
located and described in the list attached hereto marked Exhibit "A"
and made a part hereof.
IN WITNESS WHEREOF Grantor has executed these presents
this 7th day of September
, 1965.
