to County; provi.ded, that. before such termination, County shall use its best efiorts
in a prompt fashion to obtain a satisfactory replacement for Mr. Obcnlluber. If it
becomes necessary to terminate t.his agreement, County shall render an accounting to
all parties and return to each party t.he surplus, if any, in accordance vlith
paragraph 21 hereof.
