above mentioned agreement.

to County; provided, that before such termination, County shall use its best efforts
in a prompt fashion to o~tain a satisfactory replacement for Mr. Obenhuber. If it
becomes necessary to terminate this agreement, County shall render an 'accounting to
all parties and return to each party the surplus, if any, in accordance with paragraph
20 hereof.
