HomeMy WebLinkAboutGilroy Management Association - By-Laws Amended Mav 7. 2008 GILROY MANAGEMENT ASSOCIATION BY-LAWS In accordance with Article VII of the Constitution of the Gilroy Management Association (GMA), the following By-Laws shall govern the operations of the GMA. I. Executive Board A. President. The President shall: 1. Preside at all meetings of this GMA and the GMA Executive Board. 2. Represent the members of this GMA in all actions of the organization pertaining to their employment relations with the City of Gilroy. 3. The President may be assisted in this representation by other members of the GMA as provided for herein, or by duly appointed representation. Such representatives shall serve to disseminate information to their assigned members and to encourage and facilitate eligible employees to join the Association. 4. To call meetings of the GMA and the GMA Executive Board. 5. To review or sign official documents or correspondence and a co-signer of Association checks. B. Vice-President. The Vice-President shall: 1. Assist the President in the performance of all his/her designated duties. 2. Perform all of the above duties of the President in his/her absence and in the event of a vacancy in the Office of President. 3. To assist the President in conducting meetings of the GMA. C. Secretary. The Secretary shall: 1. Maintain minutes and records of all meetings and transactions of the Association. Such minutes and records shall be approved. Or approved as amended, by majority vote of the membership at the first meeting following the meeting or transaction so recorded. D. Treasurer. The Treasurer shall: 1. Handle the finances of the GMA: collect dues, maintain GMA funds in an interest bearing account, make disbursements as authorized by the membership, and maintain adequate records of all receipts and disbursals. Prepare monthly treasury report. Co-signer of all GMA checks. 2. Perform the duties of President in the absence of both the President and Vice-President, or in the event of a vacancy in both offices. II. Executive Board Duties A. To establish goals and objectives, and be accountable for the overall direction of the association. B. To formulate and be responsible for the interpretation, administration, and execution of the policies and procedures established by the Board. C. To handle all Association issues that arises from membership meetings, and to develop solutions, formulate policies and make recommendation for the good of the membership and the Association. o . To advise the President. E. To meet as often as required. III. Removal of Member/Officer A. A member having a complaint against any officer of the Board shall submit to the Executive Board a written statement of the complaint including the specific facts relied upon, the particular section or sections of the Constitution and Bylaws which allegedly have been violated, or any other basis upon which the complaint is made. The person charged shall be allowed an opportunity to rebut the charge at a hearing before the Board. The full Board may dismiss, warn, suspend, or remove the Officer upon by a simple majority vote of those members in attendance for conduct detrimental to the best interest of GMA. B. Any member who loses his/her management status shall relinquish membership in the GMA, in addition to an Executive Board Member. IV. Dues and Assessments A. Members of the GMA shall contribute per month as dues in support of the routine operations of the GMA. Such dues shall be paid via payroll deduction by the City of Gilroy. The Treasurer shall notify the President if any member has failed to submit a deduction authorization to the City Personnel Department. B. Under special circumstances, members shall be assessed a specific sum of money to pay for special activities, such as legal counsel, etc. Such assessments must be approved in advance by a simple majority vote of those members in attendance. C. The President or Acting President has discretion to spend up to $100.00 to conduct Association business without advance approval by the membership. Any discretionary expenditure by the President shall be presented to and ratified by a simple majority vote of the membership in attendance at the next meeting. V. NeQotiations A. The President is the principle representative of the GMA vis a vis the City Councilor their representative. B. The President shall be assisted in meet and confer or other negotiations with the City Councilor their representative by a Negotiating Team consisting of a member from Fire, Police, Middle Management, and an Analyst, approved by a simple majority vote of those members in attendance. C. The Negotiating team shall meet and confer with the City Councilor their representative within parameters given beforehand by consensus of the membership. Agreements shall be subject to approval by a simple majority vote of the membership before being presented to the City Council as approved by the GMA. VI. Social Activities A. Any social activity must be approved by a simple majority vote of those members in attendance. B. Non-paying members can pay to attend one social event at the cost of the event and sign up to become a member of GMA. C. The GMA can elect to invite non-members such as Department Heads, and/or the City Administrator by a simple majority vote of those members in attendance. The cost for the non-members will be determined by a simple majority vote of those members in attendance. D. The President shall appoint a committee to plan, organize, and conduct a social activity. E. The cost of such social activities shall be borne by the current GMA assets, or by assessment if needed. VII. Amendments These By-Laws may be amended at any time by a simple majority vote of those members in attendance.
