GILROY MANAGEMENT ASSOCIATION
CONSTITUTION
ARTICLE I: NAME
This organization shall be known as the GILROY MANAGEMENT ASSOCIATION
(GMA).
ARTICLE II: PURPOSE
The purpose of GMA is to serve its members, and to provide representation for
employees designated as "Exempt" in their employment relationships with the City of
Gilroy, excluding confidential and Council appointed employees.
ARTICLE III: PRINCIPLE
The following principles shall guide the activities of the GMA:
1. GMA shall be of and for the City of Gilroy Management employees.
2. GMA shall endeavor to maintain a high level of productivity and service, in the
most cost effective manner, throughout the City's work force.
3. GMA shall endeavor to maintain and increase the confidence and trust of the
public, the Council, and the rank-and-file work force.
4. GMA shall endeavor to maintain a high level of morale throughout the
representation unit. GMA shall provide a clear line of communications with the
Council regarding mutual expectations and a reasonable means of handling
salary/benefit negotiations.
ARTICLE IV: MEMBERSHIP
1. Membership shall be open to all employees designated by the City of Gilroy as
"Exempt". This currently includes the positions of:

Building Field Services Manager
Building Plan Check Engineer
Budget Analyst
City Engineer
Development Center Manager
Division Chief
Environmental Program
Coordinator
Facilities & Parks Project Manager
Facilities Superintendent
Financial Analyst
Fire Battalion Chief
Fire Chief
Fire Marshal
Fire/Ems Analyst
Fleet Superintendent
HCD Grant Coordinator
Human Resources Analyst
Information Technology Director
Network Administrator
Operations Services Manager
Planning Division Manager
Police Captain
Police Crime Analyst
Public Information Officer
Public Safety System Administrator
Recreation Manager
Revenue Officer
Senior Civil Engineer
Senior Environmental Engineer
Systems Administrator
Web Developer
2. Any member of GMA serving as City Administrator Pro Tempore shall for the
period of time he/she is so serving be temporarily disassociated from
membership in GMA.
3. Subsequent to the adoption of this constitution, a position shall become eligible
for GMA membership upon designation by the City of Gilroy as "Exempt".
4. Subsequent to the adoption of this constitution, a position shall no longer be
eligible for GMA membership upon its elimination, or upon its being declared by
the City of Gilroy no longer to be "Exempt".
5. GMA membership shall be open to all employees designated as "Exempt"
regardless of race, color, creed, religion, national origin, sex or age.
6. Only dues paying members of GMA may vote, hold office, participate in
negotiations or otherwise enjoy privileges of membership in GMA.
7. The City of Gilroy Administration has certified that all Exempt positions are
eligible for membership in the GMA, excluding Confidential, and Council
Appointed employees.
ARTICLE V: EXECUTIVE BOARD
1. The Executive Board of the GMA shall be:
President
Vice-President
Secretary
Treasurer
2. The Executive Board shall be elected at the organizational meeting and shall
hold office until the first annual meeting and until their successors is duly elected.
Thereafter, the Executive Board members shall be elected at the annual meeting
and shall hold office for a term of one year and until their successor is duly
elected.
3. The members may remove an Executive Board Member with or without cause at
a special meeting called for that purpose, and shall fill the vacancy resulting
therefore at the same meeting.
4. In the event of a vacancy in the office caused by other than removal by the
membership, a special meeting to fill such vacancy will be called within thirty (30)
days by the President, or in his/her absence by the Vice-President or in both their
absences on the twentieth working day following the vacation of office.
5. The duties of the Executive Board shall be as specified in By-Laws duly adopted
by membership.
ARTICLE VI: MEETINGS
1. Quarterly GMA meetings shall be held at 12:00 O'clock noon on the second
Thursday of the first month of each quarter (Jan, Apr, July, and Oct).
2. Special meetings of the GMA may be called by the President, upon twenty-four
(24) hours notice to all members of the GMA.
3. The President shall designate the location of all meetings.
4. A simple majority vote of those members in attendance shall constitute a quorum
for the transaction of business.
5. Action of GMA shall be taken by a simple majority vote of those members in
attendance.
6. Proxy vote can be granted to any member and by written notification to an
Executive Board Member received prior to meeting called to order.
ARTICLE VII: BY-LAWS
By-Laws for the Association shall be adopted by a simple majority vote of those
members in attendance. Such By-Laws may be amended at anytime by a simple
majority vote of those members in attendance as constituted at the time of said
amendment.
ARTICLE VIII: AMENDMENTS
This Constitution may be amended by majority vote of the entire membership as
constituted at the time of said amendment.
