HomeMy WebLinkAboutGranicus - Software Product License Agreement -2007 Amendment No. 1FIRST AMENDMENT TO THE SOFTWARE PRODUCT LICENSING AGREEMENT BETWEEN GRANICUS, INC. AND THE CITY OF GILROY, CALIFORNIA This First Amendment the Granicus, Inc. Software Product Licensing Agreement dated November 1, 2007 ( "First Amendment ") is made and entered into by and between Granicus, Inc., a California "C" Corporation (hereinafter referenced to as "Granicus "), and the City of Gilroy, California, a California municipal corporation (hereinafter referred to as "City "), with reference to the following: WHEREAS, Granicus, a California -based company, provides a full- service solution that includes hardware, software, automated indexing capabilities, website page design and integration with Council Agendas, a meeting minutes module, on -site user training and 24/7 technical support which meet City needs; and WHEREAS, after research, including discussions with other municipal agencies that offer archived streaming video, Granicus is the only firm that can offer a solution that meets the specific needs of the City, as well as the integration services that are required for timely implementation; and WHEREAS Granicus represents that it has the qualities, expertise, skills, and abilities to perform such work; and WHEREAS, the City wishes to extend the use of its solution to the Gilroy Dispatch ( "Newspaper ") for the purpose of including and posting additional streaming of the City's public meeting content on the Newspaper website; NOW, THEREFORE, in consideration of the premises, the parties intend that the agreement be amended as follows: FIRST AMENDMENT 1. The Newspaper shall have use of and access to the City's Granicus solution for streaming of content on the Newspaper website at no additional cost to the City or the Newspaper. Newspaper shall enter into a separate Software Product Licensing Agreement with Granicus. 2. Except as amended by this First Amendment, all other terms and conditions of the Agreement shall remain in full force and effect. 3. In the event of any inconsistency between the provisions of this First Amendment and the attachments hereto, the inconsistency shall be resolved by giving precedence to the documents in the following order: A.
