Re: Single Tenant Lease dated December 29,2009 between The City of Gilroy ("Landlord"), as
landlord, and Theater Angels' Art League ("Tenant"), as tenant, for Premises commonly known
as the Old Salvation Army Building and adjacent vacant properties ("Lease")
Dear Tenant:
Tenant has advised Landlord that it desires to enlist the help of various volunteers to prepare,
install and maintain a community involved garden, to teach life skills and gardening techniques to
school groups, clubs and community members (the "Demonstration Garden") on the portion of the
leased Premises being [the lots between 6th and ih Streets and Monterey and Eigleberry and
described as APN 799-08-060, 799-08-051,799-08-050, and 799-08-049 in the Lease] (the "Garden
Site"). Tenant has also advised Landlord that:
Tenant is working with a landscape designer, Judy Hess, to design the Community Garden.
The Leadership Gilroy Class of 2010 has volunteered to prepare the Garden Site and create
the Demonstration Garden. Upon completion of the Leadership Gilroy Class of 2010's work,
Tenant will oversee, manage and coordinate with other volunteers to maintain and cultivate the
Demonstration Garden and provide the gardening programs in furtherance of the project's
goals.
To facilitate the Demonstration Garden program, the volunteers will need access to the Garden
Site. Section 9.1 prohibits Tenant from permitting any part of the Premises from being used by
anyone other than Tenant and Tenant is therefore seeking Landlord's consent to Tenant allowing the
volunteers to access the site for the purposes outlined in this letter above. The City of Gilroy hereby
consents Tenant allowing the volunteers to access the Garden Site for the purposes outlined in this
letter above, subject to the following conditions:

1) Prior to entry onto the Garden Site to perform the above work, the Leadership Gilroy
Class of 2010 and any other volunteer organization performing such work shall obtain
insurance coverage described in Section 7.1 of the Lease, and shall maintain such
coverage at all times while on the Garden Site in connection with the Demonstration
Garden. Such insurance shall meet the requirements set forth in Sections 7.1 and
7.2 of the Lease, including without limitation naming the City of Gilroy as an additional
insured. Evidence of such insurance must be delivered to Landlord prior to entry and
not later than thirty (30) days before cancellation as described in Section 7.2 of the
Lease,
2) Prior to entry onto the Garden Site to perform the above work, all volunteer
individuals must sign and deliver to the City a General Release and Waiver ("Release
Form") in favor of Landlord, in the form attached hereto as Exhibit A. In no event
shall Tenant allow anyone to enter onto the Garden Site to perform the above
described work without first having obtained and delivered to Landlord a Release
Form signed by such person.
3) The work described above shall continue to be governed by the terms and conditions
of Section 6.4 of the Lease and all other terms and condition of the Lease, including
without limitation the requirement that Tenant submit plans and specifications for the
work for Landlord's approval and that Tenant obtain all permits legally required in
connection with such work.
4) Prior to any volunteer's entry onto the Garden Site to perform the above described
work, Tenant shall sign, date and return a copy of this letter, acknowledging Tenant's
agreement to the terms and conditions set forth in this letter. This letter may be
executed in counterparts, and copies of this letter transmitted by one party to the
other by fax or email shall be treated as originals.
