AMENDMENT 1 TO THE AGREEMENT FOR SERVICES
BETWEEN THE CITY OF GILROY AND PACIFIC MUNICIPAL CONSULTA1n~

This Amendment is entered into as of October 14, 2010, between the City of Gilroy (hereirbt':WL:',QIf'AY':J
and Pacific Municipal Consultants, dba PMC (hereinafter "CONSULTANT").
RECITALS
WHEREAS, CITY and CONSULTANT entered into that certain agreement entitled "Agreement for
Services" dated of March 12,2010, for the preparation of an Initial Study in relation to the Rancho
Meadows IV Subdivision project, and
WHEREAS, CITY desires to revise the Initial Study due to changes in the site plan proposed by the
project site's new owner/applicant, and
WHEREAS, CONSULTANT has the desire to provide the additional services and has submitted a Letter
Proposal dated August 26,2010 which has been accepted by CITY.
NOW THEREFORE, CITY AND CONSULTANT MUTUALLY AGREE to amend their original
Agreement as follows:
1. ARTICLE 3, SERVICES TO BE PERFORMED BY CONSULTANT, Specific Services: IS
amended to read: "CONSULTANT agrees to: Perform the services as outlined in Exhibit B-1
(Cost Proposal to Revise the Rancho Meadows IV Initial Study), attached hereto and incorporated
herein, within the time periods described therein."
2. ARTICLE 4, COMPENSATION, SECTION A (CONSIDERATION) is amended to state:
"In consideration for the services to be performed by CONSULTANT, CITY agrees to pay
CONSULTANT the amounts set for in Exhibit B-1. Payment by CITY shall be due according to
the payment schedule set forth in Exhibit B-1."
All other terms and conditions specified in the original Agreement shall remain in full force and
effect.
IN 'VITNESS 'VHEREOF of the parties has caused this Amendment to be executed by their duly
authorized representatives as of the day first written above.

Subject: Cost Proposal to Revise the Rancho Meadows IV Initial Study
Dear Melissa:
In response to your letter of August 13, we are pleased to provide you with our proposal to revise the
Rancho Meadows IV Initial Study. The revisions are necessary to reflect changes in the site plan
proposed by the new owner/applicant. We understand that the changes are modest, but will
nonetheless affect the environmental review previously conducted.
To revise the Initial Study, PMC will perform the following tasks:
Revise Noise Analysis
To support the Initial Study and appendices, PMC has requested an updated noise study from AMBIENT
Air Quality and Noise Consulting. The revised noise report will include a description of the existing
noise environment, based on information and noise measurement data contained in the previously
prepared noise barrier analysis. Relevant background information, including noise fundamentals,
descriptors, and applicable federal, state, and local regulatory framework, will be included in the report.
No additional noise measurements are anticipated to be required for this analysis.
The noise barrier analysis previously prepared for the proposed project will be updated to reflect
changes in onsite receptor locations. AMBIENT Air Quality & Noise Consulting will conduct a barrier
analysis of the proposed sound barrier and home locations to be constructed along the eastern property
boundary, adjacent to Santa Teresa Boulevard. As part of this analysis, predicted traffic noise levels for
Santa Teresa Boulevard will be modeled using the Federal Highway Administration's Traffic Noise Model
(TNM). The barrier analysis module of the TNM model will be used to evaluate the effectiveness of the
proposed noise barrier design. Traffic assumptions used for the TNM model (i.e., traffic speeds,
roadway specifications, traffic volumes, ete.) will be derived from existing environmental documentation.
Proposed barrier design specifications (i.e., build material, site elevations, barrier base elevations, and
barrier heights) are to be provided by the project applicant. The effectiveness of the proposed barrier
design will be calculated and predicted traffic noise levels at the nearest onsite land uses will be
summarized in the report. This analysis includes evaluation of up to four alternative barrier design
heights. The effectiveness of the proposed barrier, at varying heights, will be summarized and included

in the report. This information will provide valuable data for both the city and the applicant in terms of
optimal barrier design.
Initial Study Revisions
PMC will make other revisions as necessary to update the existing draft Initial Study. Such revisions
include any narrative associated with the project description, tables and graphics. At this time we do not
anticipate any significant changes to the analysis (with the exception of the noise analysis); however, all
sections will need to be reviewed and updated to accurately reflect the current site plan description and
number of units.
