MEMORANDUM OF UNDERSTANDING
Agreement Relating to Donation of Vehicle Inventory
This Memorandum of Understanding (MOU) entered into this ZS"?Jiday of Se , 2012 is
by and between the Gilroy Police Department (GPD) and the South Bay Regional Public Safety
Training Consortium ( "SBRPSTC" or "Consortium "), and shall be effective on the date it is fully
executed.
A. Purpose of the MOU:
The primary purpose of this MOU is to reflect the mutual intent of the parties to establish an
agreement relating to the transfer and disposition of specific GPD owned vehicle inventory to the
Consortium.
B. Statement of Mutual Benefit and Consideration to Support this MOU:
The parties believe that their collaborative and cooperative efforts will enhance their ability to
deliver cost effective public safety training through the reduction of redundancies, containment and
recovery of respective costs, and increased efficiencies in business operations.
C. Scope of Agreement:
1. GPD agrees to donate and transfer ownership of two decommissioned skid -car vehicles to the
Consortium.
2. In exchange, The Consortium agrees to make two skid -car training vehicles available to the
GPD, at no charge, for intra- agency training activities.
3. The parties understand and agree that the Consortium will bear all financial costs associated
with the aforementioned transfer of the vehicles.
4. The parties further understand and agree that the Consortium will bear all maintenance and
repair costs of those SBRPSTC training vehicles made available to GPD for intra- agency
training.

PARTNERSHIPS
E. Mutual Hold Harmless:
Mutual Hold Harmless agreements previously in place between GPD and the Consortium remain in
effect and shall apply equally to the understanding and agreements of this MOU.
F. Term:
The term of this MOU shall take effect on the signing date(s) and will remain in force until and
unless mutually agreed to by the parties to amend or terminate it.
