MEMORANDUM OF UNDERSTANDING
ON PROJECT COORDINATION
BETWEEN
CITY OF GILROY AND
SANTA CLARA VALLEY TRANSPORTATION AUTHORITY
This Memorandum of Understanding is entered into between the City of Gilroy (CITY)
and Santa Clara Valley Transportation Authority (VTA).
1. SCOPE OF MOU
This Memorandum of Understanding (MOD) sets forth the general provisions for
the coordination of construction items between VfA's Gilroy Caltrain Transit
Center project and CITY's Monterey Streetscape Improvement project. The MOU is
a preface to the preparation of a Cooperative Agreement between the parties
regarding this matter which shall contain the agreed upon terms set forth herein.
This MOU is not intended to be a legally binding document.
II. COMMON PROJECT BOUNDARIES
The common project boundary between the two aforementioned projects on
Monterey Road between 71lt Street and gilt Street is defined in Exhibit A, Limit of
Work, City of Gilroy Streetscape.
ill. OBUGATIONSOFVfA
· All work within the VfA property and the project boundary line detailed in Exhibit A
shall be constructed by VfA.
· VfA shall transfer to CITY the construction, inspection and administration of the
Monterey Road improvements originally included in VfA's Gilroy Caltrain Transit
Center project located within the project boundary of CITY's Monterey Streets cape
Improvement project, including median modification, striping, curb, sidewalk,
signage, landscaping and irrigation.
· VfA shall reimburse CITY for the construction cost of the transferred Monterey
Road improvements, with the maximum reimbursement not to exceed the contract
change order price that VfA negotiates with VfA's contractor, Golden Bay
Construction, Inc.
· CITY may review Vf A's negotiations for the contract change order with Golden
Bay Construction, Inc.

· VT A shall also reimburse CITY for the PG&E design fee for the service box for the
traffic signals and a controller cabinet included in the VTA's Monterey Road
improvements transferred to CITY.
· VTA shall remove the VTA bus shelter located on Monterey Road adjacent to Gilroy
Caltrain Station prior to the start of the Monterey Streetscape Improvement project.
IV. OBLIGATIONS OF CITY
· CITY shall develop the design and construction documents and shall construct,
inspect and administer, at its sole cost, all Monterey Road improvements
transferred to CITY from VTA's Gilroy Caltrain Transit Center project, including
median modification, striping, curb, pavement, sidewalk, signage, landscaping and
irrigation.
· CITY shall pay for the design and construction documents and the construction
inspection and administration of all Monterey Road improvements transferred to
CITY.
· VTA's Monterey Road improvements transferred to CITY shall meet all applicable
ADA and Title 24 requirements.
V. CONSENT FOR NEGOTIATIONS
· VT A shall agree to discuss and determine whether the traffic signal work at
Monterey Road and 71lt and gilt Streets should be included in VfA's Gilroy Caltrain
Transit Center project or CITY's Monterey Streetscape Improvement project. All
costs associated with the traffic signal work, including design, construction
inspection and administration, will be negotiated and transferred to the
appropriate agency.
· CITY and VfA shall agree to negotiate appropriate compensations, if any, for all
future unforeseen costs to VfA and CITY arising from this MOU/Cooperative
Agreement (additional contract change orders, contractor claims, etc.).
VI. SCHEDULE FOR COOPERATIVE AGREEMENT
· CITY to prepare the draft Cooperative Agreement: September 22, 2000
· VT A comment on the draft Cooperative Agreement: September 29, 2000
· Finalize the Cooperative Agreement: October 4, 2000
· VT A Board of Directors action on the Cooperative Agreement: October 5, 2000
· City Council action on the Cooperative Agreement: October 16, 2000
