AMENDMENT TO STATE AND LOCAL GOVERNMENT LEASE-PURCHASE AGREEMENT
This Amendment to that certain State and Local Government Lease-Purchase Agreement (together with all Exhibits and this Amendment, the
"Agreement") dated as of September 2, 2011, between De Lage Landen Public Finance LLC (together with its successors and assigns,
"Lessor"), and City of Gilroy (together with its successors and assigns, "Lessee"), is incorporated in and is hereby made a part of the
Agreement.
Lessor and Lessee hereby agree that capitalized terms used herein and not otherwise defined herein shall have the terms assigned to such
terms in the Agreement and that the following changes and additions are hereby made to the Agreement:
1. Section 23 of the Agreement is further clarified to mean: State of California for choice of law,
