WHEREAS, the City of Gilroy, a municipal corporation ( "City "), and SYSERCO, INC. entered into that
certain agreement entitled SYSERCO, INC. AGREEMENT FOR SERVICES, effective on OCTOBER 15,
2013, hereinafter referred to as "Original Agreement"; and
WHEREAS, City and SYSERCO, INC. have determined it is in their mutual interest to amend certain
terms of the Original Agreement.
NOW, THEREFORE, FOR VALUABLE CONSIDERATION, THE PARTIES AGREE AS
FOLLOWS:
1. EXHIBIT B, SCOPE OF SERVICES of the Original Agreement shall be amended to read as follows:
Annual Preventive maintenance service, owner directed support, and technical support for Alerton
Controls for Heating, Ventilation, and Air Conditioning (HVAC) systems at Gilroy City Hall (7351
Rosanna Street, Gilroy, CA 95020) and Gilroy Police Department ( 7301 Hanna Street, Gilroy, CA
95020) per pages 1 through 14 of the Proposal dated December 20, 2012, and specifically excluding
pages 15 and 16 of the Proposal notwithstanding any terms and conditions stated on page 14 of the
Proposal.
Necessary repairs that are not part of the preventive maintenance service shall be submitted as a price
quote and accepted by the City before repairs are made. The purchase order for the preventive
maintenance service shall be amended as necessary for the repairs.
2. This Amendment shall be effective on DECEMBER 30, 2013
3. Except as expressly modified herein, all of the provisions of the Original Agreement shall remain in full
force and effect. In the case of any inconsistencies between the Original Agreement and this Amendment, the
terms of this Amendment shall control.
4. This Amendment may be executed in counterparts, each of which shall be deemed an original, but all of
which together shall constitute one and the same instrument.
IN WITNESS WHEREOF, the parties have caused this Amendment to be executed as of the dates set
forth besides their signatures below.
