Dokken Engineering - 2004 Agreement - Amendment No. 09
NINTH AMENDMENT TO AGREEMENT FOR SERVICES FOR ON -CALL CIVIL ENGINEERING SERVICES WHEREAS, the City of Gilroy, a municipal corporation ( "City "), and Dokken Engineering ( "Dokken ") entered into that certain agreement entitled Agreement for Services, effective on August 16, 2004, hereinafter referred to as "Original Agreement "; and WHEREAS, City and Dokken have determined it is in their mutual interest to amend certain terms of the Original Agreement. NOW, THEREFORE, FOR VALUABLE CONSIDERATION, THE PARTIES AGREE AS FOLLOWS: 1. Article 5, section B, first paragraph under "Insurance ", of the Original Agreement shall be amended to read as follows: In addition to any other obligations under this Agreement, CONSULTANT shall, at no cost to CITY, obtain and maintain throughout the term of this Agreement: (a) Commercial Liability Insurance on a per occurrence basis, including coverage for owned and non -owned automobiles, with a minimum combined single limit coverage of $1,000,000 per occurrence for all damages due to bodily injury, sickness or disease, or death to any person, and damage to property, including the loss of use thereof; and (b) Professional Liability Insurance (Errors & Omissions) with a minimum coverage of $1,000,000 per occurrence or claim, and $2,000,000 aggregate; provided however, Professional Liability Insurance written on a claims made basis must comply with the requirements set forth below. Professional Liability Insurance written on a claims made basis (including without limitation the initial policy obtained and all subsequent policies purchased as renewals or replacements) must show the retroactive date, and the retroactive date must be before the earlier of the effective date of the contract or the beginning of the contract work. Claims made Professional Liability Insurance must be maintained, and written evidence of insurance must be provided, for at least five (5) years after the completion of the contract work. If claims made coverage is canceled or non- renewed, and not replaced with another claims -made policy form with a retroactive date prior to the earlier of the effective date of the contract or the beginning of the contract work, CONSULTANT must purchase so called "extended reporting" or "tail" coverage for a minimum of five (5) years after completion of work, which must also show a retroactive date that is before the earlier of the effective date of the contract or the beginning of the contract work. As a condition precedent to CITY'S obligations under this Agreement, CONSULTANT shall furnish written evidence of such coverage (naming CITY, its officers and employees as additional insureds on the Comprehensive Liability insurance policy referred to in (a) immediately above via a specific endorsement) and requiring thirty (30) days written notice of policy lapse or cancellation, or of a material change in policy terms. 2. Exhibit `B" (Scope of Services) of the Original Agreement shall be amended to incorporate the following services: a) Delete design of Sixth Street barrier replacement; b) Delete design of painted curb extensions and replace with add alternate curb extensions at Sixth- Eigleberry intersection; C) Incorporate LEDs for all new proposed streetlights; 4845 -821 ss540v1 MDOLINGER104706083 d) Incorporate streetlight conversion to LED of existing decorative streetlights on Monterey Street, Lewis Street, and Sixth Street; e) Conduct photometric analysis to determine appropriate wattages based on streetlight spacing, pole height, and type of light distribution; 0 Provide bid support, address requests for information, and review shop drawings; and g) Prepare As -Built plans upon completion of construction. 3. Exhibit `B" (Scope of Services) of the Original Agreement shall be amended to incorporate the attached proposal dated May 2, 2014. 4. Exhibit "C" (Payment Schedule) of the Original Agreement shall be amended to incorporate the attached proposal dated May 2, 2014. Total compensation for this amendment shall not exceed $10,940. 5. This Amendment shall be effective on August 16, 2004 and valid until December 30, 2015. 6. Except as expressly modified herein, all of the provisions of the Original Agreement shall remain in full force and effect. In the case of any inconsistencies between the Original Agreement and this Amendment, the terms of this Amendment shall control. 7. This Amendment may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. The proposed scope of services, Exhibit A, includes the following: 1) street light conversion to LED on portions of Sixth, Lewis and Monterey Streets , 2) address 100% review comments and deleting barrier replacement from the bid package, 3) provide bid support and 4) providing design support during construction. Significant funds remain in the contract from prior Amendments 7 and 8, making and increase of only $10,940 necessary to complete the scope of services in Exhibit A. The existing contract amounts from Amendments 7 and 8, along with this request are shown in the following table. The Estimated Labor Hours and Cost for the remaining work are attached as Exhibit B. The amendment also covers street light conversion to LED on Monterey Street and Sixth Street. The modifications to the bid documents include simplifying the curb extension bidding, eliminating the barrier reconstruction and adding the LED street light conversions. All remaining design contract tasks are deleted and budgets are re- allocated with this amendment in accordance with the attached Exhibit B. In doing so, only a modest new budget request is necessary. EXHIBIT "A" SCOPE OF SERVICES TASK 6 — SIXTH STREET BID & CONSTRUCTION SUPPORT Task 6.1 LED Street Light Conversion Dokken Engineering (Dokken) will prepare plans, quantities and estimate to replace the high pressure sodium decorative street light fixtures with LED street light fixtures in the following locations. • Monterey Street from Fourth Street to Eighth Street • Lewis Street from Monterey Street to Railroad Street • Sixth Street from Eigleberry Street to beyond the US -101 Overcrossing Also included will be replacement of fixtures at all the intersections along Sixth Street within the same area. Dokken will also perform a lighting analysis to determine the appropriate wattage of the replacement LED fixtures. Using the lighting analysis Dokken will recommend the appropriate distribution type for the LED fixtures using either Type III or Type IV distribution patterns. Dokken will prepare special provisions to be included with the bid of the Sixth Street Improvement Project to address the street light head replacement. The appropriate items for replacing the street light heads will be added to the bid schedule. The special provisions will be based on 2006 Caltrans Standard Specifications with modifications for City preferences and standards. Task 6.2 Address 100% Comments & Complete Bid Package Replacement of the Sixth Street Trail Barrier over US -101 will be deleted from the bid package for the Sixth Street Improvement Project. Dokken will remove the plans, special provisions and bid items for the barrier work from the bid documents. In addition to removing the barrier replacement, Dokken will replace the painted curb extensions at Sixth and Eigleberry Streets (previously the base bid) with the "Add Alternate" curb extension design that included a full set of raised curb extensions throughout the intersection. For this task, Dokken will be incorporating design work prepared by Harris and Associates (Harris), to avoid the need for a separate City construction contract. This work was prepared by Harris under a prior design contract and accepted by the City. The Harris plan sheets will be revised to delete the previous base bid painted extensions and make the full raised curb extension design part of the base bid contract. Street lighting from the "Add Alternate" will also be made a part of the current bid package. Dokken will continue to provide updates, coordinate support from Harris, respond to inquiries from the City, and meet with the City as needed to get the project ready and out to bid with the above changes. Task 6.3 Bid Support EXHIBIT A, Scope of Services DO 1 KKEN Il Dokken will provide the City assistance during bidding including answering questions from bidders and providing interpretation of the construction documents. Task 6.4 Requests for Information During construction, Dokken will provide ongoing consultation and interpretation of contract documents, as requested. Written responses will be provided to all requests for information (RFI's) and supplemental or revised drawings may be issued to provide clarity to the Resident Engineer and contractor. Task 6.5 Review Shop Drawings Dokken and Harris will review shop drawings for the street lighting and landscape upon submittal from the City Resident Engineer. The shop drawings will be reviewed and stamped as either approved, approved with corrections noted, or returned for corrections. Task 6.6 Prepare As -Built Plans after Construction Dokken will prepare as -built drawings of the completed construction. Dokken will revise the design CADD files to incorporate any changes, grade revisions, or field adjusted recorded by the Resident Engineer. A stamp will be added to the drawings indicating either the sheet includes "As- Built, Changes as Noted" or "No As Built Changes ", as appropriate. The final as -built plans will be provided to the City in hard copy, pdf and electronic CAD files. Any other insurance available to that person or or- ganization is excess and noncontributory with this insurance, or; b. Damage to Invitees' Automobiles from Falling Trees or Tree Limbs - Limited Coverage The policy applies to direct physical damage to automobiles owned by invitees subject to all of the following: 1. Provided such damage originates from prem- ises owned, managed, leased or rented by an insured; 2. Coverage applies only to invitees of an in- sured or an insured's tenant; 3. Such damage is directly caused by wind - driven falling trees or tree limbs; 4. The most we will pay for any one loss is the lesser of the actual cash value of the damaged automobile as of the time of the loss; or the cost of repairing or replacing the damaged automobile with another automobile of like AB9189 8 -07 kind and quality; subject to a limit of 525,000 in any one policy period; and 5. This coverage is not subject to the General Liability General Aggregate Limit. 21. Expected or Intended Injury - Amendment to Ex- clusion SECTION 1. - 2. EXCLUSIONS a.
