Letter Agreement Between Office
The City of San Jose and City of Gilroy
For Silicon Valley Regional Communications System JAN/
Equipment Reimbursement

RECITALS
Whereas, the City of San Jose has received $2,012,035 in Assistance to Firefighter Grant
( "AFG ") funding from the Federal Emergency Management Agency ( "FEMA ") and the
Department of Homeland Security ( "DHS ") in a regional partnership with the cities of Gilroy,
Mountain View and the County of Santa Clara ( "Partnering Agencies "), for purposes of
improving voice interoperability through the purchase and deployment of multi -band radios for
each jurisdiction's fire agency.
Whereas, the total project costs for the purchase of this equipment amounts to $2,367,100 of
which the federal share is 85 %, or $2,012,035 in grant funds, and the collective Partnering
Agencies' share of the costs is 15 %, or $355,065.
Whereas, the City of San Jose is responsible for receiving and administering the AFG funds
in accordance with DHS requirements for Grant No. EMW- 2013 -FR -00427 and collecting each
Partnering Agency's 15% pro rata share of costs.
The Parties Agree As Follows:
1. Each Partnering Agency shall immediately pay its 15% pro rata share of costs detailed in
the invoice being provided to such agency prior to delivery of the multi -band radio equipment.
2. As a subgrantee of Grant No. EMW- 2013 -FR- 00427, each Partnering Agency must
adhere to the Federal Fiscal Year 2013 AFG Grant Agreement Guidelines and must respond to
all City of San Jose audit requests within a reasonable time period.
3. Each Partnering Agency agrees to maintain all records and equipment and the City of San
Jose must be consulted prior to the destruction of any record or disposal of any equipment.
By signing this document, the Partnering Agency is agreeing to the above stated terms and
conditions.
