AGREEMENT FOR LEGAL SERVICES
This First Amendment to Amended and Restated Agreement for Legal Services (the
"First Amendment ") is an amendment to that certain Amended and Restated Agreement for
Legal Services (the "Agreement ") effective July 1, 1999, between the City of Gilroy, a Charter
City of the State of California (`CITY "), and Berliner Cohen, Attorneys, a partnership (BC ").
In consideration of the continuation of the contractual arrangement between the parties
and of the mutual covenants and conditions set forth herein, the parties agree as follows;
Paragraph 3(a) of the Agreement shall be deleted in its entirety and replaced with
the following text:
"(a) For the services described in paragraph 2 above, on an hourly basis at the
rate of Two Hundred Seventy -Five Dollars ($275) for attorneys, and at the rate published by BC
for paralegals and other staff aides, due and payable upon the terms set forth in subparagraph (e)
below."
2. This modification shall be effective for work performed by BC commencing
January 1, 2015. The rate specified in Paragraph 3(a) of the Agreement, as amended, shall be
used as the base rate for calculating the next adjustment to compensation pursuant to Paragraph 4
of the Agreement.
3. In case of any conflict between this First Amendment and the Agreement, the
terms of this First Amendment shall control. In all other respects, the terms of the Agreement
shall remain in full force and effect, unmodified.
