RE: Exclusivity Agreement - Great Woff Resorts
Dear Gabe:
This letter expresses Great Wolf Resorts' commitment to negotiate exclusively with the
City of Gilroy for a period of 60 days, commencing August 1, 2017, concerning potential
development of a Great Wolf Resort In the San Francisco Bay Area.
In exchange for such commitment, Great Wolf requests:
(a) the City negotiating team meet with Great Wolf on Tuesday, August 1, to
commence discussions and begin outlining the potential economic terms of a
public/private partnership between the City and Great Wolf; and
(b) the City negotiating team meet with Great Wolf regularly thereafter (at least
biweekly) during the exclusivity period with the shared goal of reaching
agreement on a non- binding term sheet that addresses, among other items, a
City-Great Wolf lease and site improvements for the approximately 35 acres
adjacent to Gilroy Gardens, City impact and development fees, and use of the
Transit Occupancy Taxes generated by the Resort to support such
Improvements while ensuring significant benefits to the Gilroy community.
