Home My WebLink AboutPlaceWorks - 2015 Agreement - Amendment No. 2.L- -V, SECOND AMENDMENT TO AGREEMENT WITH PLACEWORKS FOR PREPARATION OF AMENDMENTS TO THE DOWNTOWN SPECIFIC PLAN ASSOCIATED WITH A DOWNTOWN HIGH -SPEED RAIL STATION WHEREAS, the City of Gilroy, a municipal corporation ( "City "), and PlaceWorks entered into that certain agreement entitled Downtown Gilroy Specific Plan Amendment and EIR, effective on April 24 2015, hereinafter referred to as "Original Agreement"; and WHEREAS, City and PlaceWorks have determined it is in their mutual interest to amend certain terms of the Original Agreement. NOW, THEREFORE, FOR VALUABLE CONSIDERATION, THE PARTIES AGREE AS FOLLOWS: 1. The Introduction to the Scope of Work of the Original Agreement shall be amended to read as follows: This exhibit describes the modified scope of services, schedule, products and meetings for the Downtown Gilroy Specific Plan Amendment and EIR to be conducted by PlaceWorks for the City of Gilroy in cooperation with Hatch Mott McDonald (HMM), Hexagon Transportation Consultants (Hexagon), and BAE Urban Economics (BAE). Additional scope and budget were added to Task X. See Task X for details. Furthermore, with authorization from the City of Gilroy, the additional services listed in Task H have been partially completed. For Task H, about $9,000 has been billed to the City of Gilroy thus far. 2. Task H: Invoicing Narrative Reports of Table 1: Work Program Summary, shall be added to the Original Agreement to read as follows: Task H: Invoicing Narrative Reports 1. Supporting Narratives for City of Gilroy's Invoice Submittals to CHSRA for Fiscal Year 2016 2. Supporting Narratives for City of Gilroy's Invoice Submittals to CHSRA from Fiscal Year 2016 to Fiscal Year 2017 3. Supporting Narratives for City of Gilroy's Invoice Submittals to CHSRA from Fiscal Year 2017 to Fiscal Year 2018 3. Task H: Additional Invoicing Narrative shall be added to the Original Agreement to read as follows: Task H. Additional Invoicing Narratives 1. Supporting Narratives for City of Gilroy's Invoice Submittals to CHSRA for FY 2015 PlaceWorks will coordinate with the City of Gilroy, CHSRA, and the project's subconsultants to create an invoicing narrative report template acceptable to CHSRA's auditing process. Once an acceptable template has been approved by CHSRA, PlaceWorks will provide additional narrative write -ups to the City for inclusion in the City's monthly invoices to CHSRA, including descriptions of tasks completed, work percent complete, a summary of labor details 4845 -8215- 5540v1 _ 1 MDOLINGERN04706083 for PlaceWorks and the project's subconsultants, and backup of expenses for each submitted invoice from June 2015 to June 2016. 2. Supporting Narratives for City of Gilroy's Invoice Submittals to CHSRA from FY 2016 to FY 2017 PlaceWorks will provide additional narrative write -ups to the City for inclusion in the City's monthly invoices to CHSRA, including descriptions of tasks completed, work percent complete, a summary of labor details for PlaceWorks and the project's subconsultants, and backup of expenses for each submitted invoice. 3. Supporting Narratives for City of Gilroy's Invoice Submittals to CHSRA from FY 2017 to FY 2018 PlaceWorks will provide additional narrative write -ups to the City for inclusion in the City's monthly invoices to CHSRA, including descriptions of tasks completed, work percent complete, a summary of labor details for PlaceWorks and the project's subconsultants, and backup of expenses for each submitted invoice. Task H Deliverables: a) Invoicing Narrative Reports for FY 2016 b) Invoicing Narrative Reports from FY 2016 to FY 2017 c) Invoicing Narrative Reports from FY 2017 to FY 2018 4. An introduction to Task X: Comparative Assessment shall be added to the Original Agreement to read as follows: The following scope with modifications reflects the optional tasks that were and were not performed for Task X per the City's request and includes additional travel costs (totaling $1,407.17) incurred by BAE for Task X, Comparative Assessment, for attendance of the May 15, 2017 City Council meeting. The Comparative Assessment agenda item was pulled from the agenda as BAE staff members were traveling to Gilroy for the meeting. _ 5. Optional Expense: Cultural Resources Records Search of Task X: Comparative Assessment shall be deleted from the Original Agreement. 6. Optional Task 2: City Council Presentation of Task X: Comparative Assessment of the Original Agreement shall be amended to read as follows: Task 2: City Council Presentation If requested, a PlaceWorks representative will attend a City Council Hearing to present the Comparative Assessment Memorandum and be available to answer any questions for a fixed fee of $1,400. If requested, a BAE representative will be available to present the economics assessment at a fixed fee of $3,907.17. The costs include the cost for a single meeting ($2,500), including preparation, travel, and meeting attendance, as well as travel costs incurred ($1,407.17) for the attendance of the May 15, 2017 City Council meeting. PlaceWorks and BAE representatives can attend additional meetings for the same per meeting cost. 7. Section III COSTS of the Original Agreement shall be amended to read as follows: 4845 -8215 -55400 -2- MDOLINGEM04706083 III. COSTS The total cost for services provided by P1aceWorks is based on the following time -and- materials, cost not to exceed amounts: • Finalize Phase I: $30,000 • Phase II: $568,989 • EIR: $185,121 Please refer to Tables 2A and 2B for detailed cost information. Additional cost for proposed Contract Modification 2: $17,686.37 ($1,407.17 for Task X and $16,279.20 for Task H) 8. Table 2A of Exhibit B, Scope of Services of the Original Agreement shall be amended by the addition of Task H Budget Cost Table and the revised Comparative Assessment (Task X) Cost Table, which are included as Attachment 1 to this Amendment. 9. This Amendment shall be effective on August 14, 2017. 10. Except as expressly modified herein, all of the provisions of the Original Agreement shall remain in full force and effect. In the case of any inconsistencies between the Original Agreement and this Amendment, the terms of this Amendment shall control. 11. This Amendment may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
