COVERAGE PERIOD: 7/1/2019 through 7/1/2020 MEMBER AGENCY Silicon Valley Regional Interoperability Authority 601 El Camino Real Santa Clara, California 95050 ADDITIONAL COVERED PARTY City of Gilroy 7351 Rosanna Street Gilroy, CA 95020 This endorsement modifies the Liability Coveraqe Agreement provided under the following: General Liability -'Bodily Injury - LCA-SDRMA-201819 - Per Occurrence - $1,000,000 General Liability - Property Damage - LCA-SDRMA-201819 - Per Occurrence - $1,000,000 It is hereby agreed that this endorsement is added to the Liability Coverage Agreement issued to Silicon Valley Regional Interoperability Authority by Special District Risk Management Authority ("SDRMA") adding the following as an Additional Covered Party. The City of Gilroy, its officers, agents, employees and volunteers are named as additional covered parties with respect to the MOU for the "Silicon Valley Regional Communications System ". Unless required by a contract between Silicon Valley Regional Interoperability Authority and City of Gilroy, coverage afforded by this ENDORSEMENT shall be excess and non-contributory with respect to any other valid and collectible insurance or risk financing providing coverage to City of Gilroy, including any self -insured retention the City of Gilroy may have, and any other insurance or risk financing providing coverage to the City of Gilroy shall be considered primary to this coverage. If required by a contract between Silicon Valley Regional Interoperability Authority and City of Gilroy, the coverage afforded by this ENDORSEMENT shall be primary with respect to any other valid and collectible insurance or risk financing providing coverage to the City of Gilroy including any self -insured retention the City of Gilroy may have, and any other insurance or risk financing providing coverage to the City of Gilroy shall be considered excess to this coverage. The coverage afforded by this ENDORSEMENT is afforded only with respect to liability arising out of the ongoing operations of the SDRMA Member named above and provided further that this coverage does not apply to the sole negligence of the additional covered party named above. Coverage shall not be extended for the active negligence of the City of Gilroy in any case where an agreement to indemnify the additional named party would be invalid under Subdivision (b) of Section 2782 of the Civil Code. All other terms and conditions remained unchanged. Coverage provided by this endorsement, under the terms, conditions and exclusions contained in the Liability Coverage Agreement issued by SDRMA to Silicon Valley Regional Interoperability Authority shall not be reduced or canceled without 30 days written notice given to the City of Gilroy via certified mail. THIS ENDORSEMENT CHANGES THE LIABILITY COVERAGE AGREEMENT. PLEASE READ IT CAREFULLY. The inclusion of more than one Covered Party shall not operate to impair the rights of one Covered Party against another Covered Party and the coverages afforded shall apply as though separate policies have been issued to each Covered Party except that the inclusion of more than one covered party shall not increase the limit of liability of SDRMA.
