HomeMy WebLinkAboutPeckham & McKenney - Executive Management Search Services (2019) - Amendment No. 1FIRST AMENDMENT TO AGREEMENT BETWEEN THE CITY OF GILROY AND PECKHAM & MCKENNEY. INC. WHEREAS, the City of CTilroy, a mt�ncnal comoration ("City"), and Peckham McKenney, Inc. entered into Agreement for Services (Executive Search Services), effective March 1, 2019, hereinafter referred to as "Original Agreement"; and WHEREAS, City and Peckham & McKenney, Inc. have determined it is in their mutual interest to amend certain terms of the Original Agreement. NOW, THEREFORE, FOR VALUABLE CONSIDERATION, THE PARTIES AGREE AS FOLLOWS: 1. Article 3. Services to be Perfornied by Consultant shall be amended to include a revised Exhibit B. 2. Article 4. Compensation of the Original Agreement shall be amended to read as follows: "In consideration for the services to be performed by CONSULTANT, CITY agrees to pay CONSULTANT the amounts set forth in the attached revised Exhibit D ("Payment Schedule"). In no event however shall the total compensation paid to CONSULTANT EXCEED 3. This Amendment shall be effective on October 8, 2019. 4. Except as expressly modified herein, all of the provisions of the Original Agreement shall remain in full force and effect. In the case of any inconsistencies between the Original greement and ti'us ^ m=dment, the terms of this ^ mendmen+ shall control. 5. This Amendment may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. Gonzalez [employee name] City Administrator [title/department] Date: / 2 011f PEC & MCKENNEY, INC. signature] Phil McKenney [gel Chief Operating Officer [title] Date: //O/9 4835-2267-0361vl LAC104706083 -1- APPROVED AS TO FORM: City Attorney AIfeerk 4835-2267-0361v1 _2_ LAM04706083 EXHIBIT "B" SCOPE OF SERVICES Executive Management Search Services: Fire Chief, Community Development Director, Deputy City Manager - Economic Development, and Police Captain Searches Task 1 - Project Organization Task 2 - Development of Candidate Profile Task 3 - Recruitment Task 4 - Preliminary Interviews/Recommendations Task 5 - Final Interviews/Selection Task 6 - Qualification, including detailed background check 4835-2267-0361 v1 _3 _ LAC104706083 EXHIBIT "D" PAYMENT SCHEDULE The cost per recruitment process is as follows: $26,000 - Fire Chief search - search fee and all expenses $24,500 - Community Development Director - search fee and all expenses $23,000 - Deputy City Manager (Economic Devleopment) - search fee and all expenses $22,500 - Police Captain - search fee and all expenses Additional expenses for additional search expenses of up to $3,999 for repeated recruitment efforts Maximum contract amount not to exceed $99,999.00 For each of the above recruitments, Peckham & McKenney will invoice the City of Gilroy as follows: One third of the fee is due as a retainer at the start of the recruitment process The remainder of the fee will be divided and billed in two separate, monthly invoices. Each recruitment fee is an all inclusive fee for professional services and expenses. Expenses include out-of-pocket costs associated wth administrative support/printing/copying/postage/materials, consultant travel, advertising, telephone/technology, and background check expenses (partial checks on recommended candidates and full background check on selected candidate). Additional expenses incurred due to requested additional meetings as well as full backgorund checks on more than one candidate will be billed accordingly. 4845-8215-5540v1 MDOLINGER104706083
