RE: Notice of Termination for "Agreement for Services — 7255 to 7261 Monterey St. Property
Management (Cherry Blossom)"
Bradley,
It has come to our attention that the Agreement between Prospector's Property Management,
Inc. ("Prospector's") and the City of Gilroy ("City"), referenced in the subject line above, has not
been formally terminated. The purpose of this letter is to provide you formal notice of termination
of this Agreement pursuant to Article 7 of the Agreement.
Based on our records and past correspondence with you and your staff, Prospector's ceased all
contractual services as outlined in Exhibit B to the Agreement in January 30, 2018, when the
City received the last monthly remittance from Prospector's. Prospector's remitted to the City in
full for all services completed through that date, in accordance with the terms of this Agreement.
Prospector's has not performed any further services under the Agreement between the
aforementioned date and the date of this notice. Prospector's is therefore not entitled to any
further payment.
Unless otherwise agreed to in writing by the City, Prospector's shall incur no further expenses in
connection with this Agreement. Prospectors shall promptly deliver to the City all work done
towards completion of the services required under the Agreement, including but not limited to
any and all originals or copies of lease agreements (valid or expired), housing applications,
tenant background and/or credit checks, correspondence with tenants, tenant complaints,
management notes, building rules/policies, and termination or eviction notices. Such records or
information should be mailed to the City at the following address:

Finally, pursuant to the Agreement, Prospector's shall act in such a manner as to facilitate the
assumption of Prospector's duties by any new contractor hired by the City to complete such
services.
