SECOND AMENDMENT TO THE AGREEMENT FOR SERVICES BETWEEN THE CITY OF
GILROY AND CSG CONSULTANTS, INC.
WHEREAS, the City of Gilroy, a municipal corporation (“City”), and CSG Consultants, Inc.
entered into that certain agreement entitled “Agreement for Services”, effective on September 9th, 2019,
hereinafter referred to as “Original Agreement”; and
WHEREAS, City and CSG Consultants, Inc. have determined it is in their mutual interest to
amend certain terms of the Original Agreement.
NOW, THEREFORE, FOR VALUABLE CONSIDERATION, THE PARTIES AGREE AS
FOLLOWS:
1. The first paragraph of Article 1 (TERM OF AGREEMENT) of the Original Agreement shall be
amended to read as follows:
“This Agreement will become effective on 9/16/2019 and will continue in effect through
6/30/2022 unless terminated in accordance with the provisions of Article 7 of this Agreement.”
2. This Amendment shall be effective on May 1, 2021.
3. Except as expressly modified herein, all of the provisions of the Original Agreement shall remain
in full force and effect. In the case of any inconsistencies between the Original Agreement and this
Amendment, the terms of this Amendment shall control.
4. This Amendment may be executed in counterparts, each of which shall be deemed an original,
but all of which together shall constitute one and the same instrument.

Hello Cyrus,
I hope you are doing well. I wanted to update you on our agreements with the City of Gilroy and how
the City plans to address them.
On-Call Building and Fire Plan Check Services: This contract expired back on March 18, 2021.
However, it is the City desire to exercise an extension of this agreement and we plan to get
the administrative tasks going soon. We are seeking to extend the agreement until July 15,
2021 and we also plan to increase your contract capacity to compensate for the additional
services. This would require the approval of council. It is a ministerial item and we don’t
expect any hiccups to extending the agreement.
We are also planning on issuing a new Request for Proposals (RFP) for renewed on-call plan
check and inspection services to replenish our list of on-call consultants. The reason why the
City is choosing to go this route is because within the 3 year timeframe, we have already
nearly reached our contract capacity on all of our building and fire consultants that there
isn’t enough capacity to last for the additional two, one-year options. We believe it is the
most prudent route to issue another RFP for these services to reevaluate and replenish our
list of consultants for these divisions going forward. When the RFP is published, we will be
sure to forward you a copy of it and CSG is welcome to submit a proposal if they wish to do
so.
On-Call Engineering Plan Check and City Surveyor services: To date, out of the $175,000 in
contract capacity available for these services, only $14,270 in services has been utilized, of 8%
of contract capacity. Given the low usage this fiscal year, but the continued need for these
services to be available, the City will extend these agreements for an additional year without
increasing the contract capacity. We will send you these amendments to your contract
specialist, Paramjit, prior to processing the amendments.
Stormwater Compliance Project: As I understand it, the state still has not provided comments
on our submittal to address the Notice of Violations. Given the pending nature of this work,
we will extend this agreement as well. I will also send a draft amendment to Paramjit as well
prior to processing.
