This Amendment (the "Amendment") is to that certain Performance Guarantee Agreement dated February 26, 2016 (the
"Agreement"), between SolarCity Corporation ("Purchaser") and South County Regional Wastewater Authority ("Seller") for the
SCRWA Solar Project with Demand Logic is hereby amended effective when executed by the Parties below as follows,
