4885-5914-7809v2 SSCORDELIS\04706083 FIRST AMENDMENT TO THE AGREEMENT WITH PRESENTATION PRODUCTS, INC. FOR AUDIO ENHANCEMENT EQUIPMENT AND SERVICES THIS FIRST AMENDMENT TO THE AGREEMENT (this “First Amendment”), by and among the CITY OF GILROY, a California municipal corporation (“CITY”), and PRESENTATION PRODUCTS, INC. (dba Spinitar), a California corporation (“CONSULTANT”), is entered into as of August 16, 2023. Capitalized terms not otherwise defined herein shall have the meanings ascribed to them in that Senior Center AV Upgrade Scope of Work, effective September 1, 2023 (the “Agreement”), by and between the CITY and CONSULTANT. RECITALS WHEREAS, the CITY and CONSULTANT entered into the Agreement, whereby the CONSULTANT provides audio enhancement equipment and services; and NOW, THEREFORE, FOR GOOD AND VALUABLE CONSIDERATION, THE RECEIPT AND SUFFICIENCY OF WHICH ARE HEREBY ACKNOWLEDGED, THE PARTIES AGREE TO AS FOLLOWS: 1. Incorporation of Recitals. The foregoing recitals are agreed to, accepted and incorporated herein by reference. 2. Term of Agreement. The first sentence of Article 1, entitled “TERM OF AGREEMENT" is amended to read as follows: This Agreement will become effective on September 1, 2023 and will continue in effect through August 30, 2024 unless terminated in accordance with the provisions of this Agreement. 3. Ratification. All other terms and provisions of the Agreement shall remain in full force and effect. 4. Authorization. Each party executing this Amendment represents and warrants that it is duly authorized to cause this Amendment to be executed and delivered. Force Majeure – Spinitar shall be excused from performance hereunder during the time and to the extent that it is prevented from performing by Acts of God, terrorism, war, pandemics, epidemics, medical emergencies, supply line interruptions, acts of government or administrative suspension, limitation or shut-down, and shall not be held liable for any impacts, delays, defaults or damages related to the work arising out of the foregoing, or from the direct or indirect consequences or aftermath of any of the foregoing; further, in case of such delay, Spinitar shall be entitled to equitable relief, including but not limited to extension of the Contract Time at least equal to the duration of the delay. Due to these issues and lack of resolution with the original firm, the City engaged with Spinitar to troubleshoot and resolve them. The City has invested a significant number of hours in troubleshooting various audio issues related to its Council Chambers audio and video broadcast capabilities. Spinitar, now known as Solutionz, has also a invested significant amount of time into learning the City's system and has provided recommendations to resolve the remaining audio and video issues. Due to the required investment of many hours to resolve the city's AV issues, a single source exception is requested to allow the City to enter into an agreement with Solutionz to implement their recommendations and resolve the city's remaining Council Chamber audio issues.
